RECITALS: A. The City and ORION Scientific Systems, Inc. ("ORION"), entered into Agreement A-2002-078, dated June 28, 2002, ("said Agreement") by which ORION has provided computer software design and development for City's Case Management Software ("CMS") to interface with ORION's TaskForce® Investigations application. B. SRA purchased ORION in January, 2004, which is now fully integrated into SRA. C. The City consented to the assignment of said Agreement to SRA, whereas SRA assumed all rights and responsibilities thereunder. D. In accordance with the terms and conditions of said Agreement, the parties wish to amend said Agreement to provide an enhancement to the City's CMS system. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Third Amendment to Agreement, the parties agree as follows: The CMS System will be enhanced and modified, at the cost to the City of $93,750.00, receipt of which is acknowledged by SRA, in the following manner: ^ The upgraded Nitro version of the CMS system will be installed. ^ The Nitro system will be modified to accept user-entered case numbers. ^ SRA will make up to SO label changes on screens throughout the application. The scope of these changes pertains to text labeling of input fields, and shall not effect changes to the TaskForce database schema. ^ The "Case Investigation Checklist" form will be modified to change/add investigatory database system names (E.g. Utilities, Law Enforcement Systems) in the Case Investigation Checklist segment to reflect existing Santa Ana working environment. ^ Nitro's existing Report Workflow groups and permission levels will be configured to accommodate SAPD's business rules for investigative case workflow. Reports will be visible to multiple Workflow group types at various stages of the report. Workflow modifications are limited to the existing Nitro paradigm and security model. .. ^ SRA will modify up to 25 picklists in the Nitro system to better reflect SAPD business. These picklist values must conform to the existing picklist value limitations and type. ^ SRA will "Brand" Nitro to include SAPD logos on forms in place of existing placeholder logos. This includes the Home Page screen, Logon screen, and the top left logo on all forms. SRA will also identify SAPD at existing placeholder locations. ^ SRA will enhance the system to support capability enabling a user to export existing statistical/input reports to Adobe PDF format. ^ SRA will modify the Nitro "Personnel Assignment Form" to indicate Personnel case load information. This modification will be made to conform to the existing standards and GUI paradigm of the TaskForce applications. ^ SRA will modify SAPD's TaskForce applications (Nitro, TF Bridge, and INV) to allow for integration between these systems that includes: 1. Searching of INV data through the Nitro interface 2. Propagating data from Nitro into INV (using existing Nitro-to-INV data transformations in the TF Bridge) upon Nitro case closure. 2. The work referenced in Paragraph 1 shall be done in accordance with and governed by the attached proposal, dated August 1, 2008. 3. Except as herein amended all terms and conditions of said Agreement shall remain in full force and effect. Santa Ana Police Department -CMS Enhancement 1 EXECUTIVE SUMMARY This document defines the SRA tasks for the CMS Enhancement to the existing TaskForceO Case Management System (CMS) at Santa Ana Police Department (SAPD). The goal of the CMS Enhancement is to make targeted specific enhancements to SRA's latest version of CMS for enhanced usability by SAPD. 1.1 SCOPE It is understood by SRA that the scope of this enhancement to the CMS System is: • To upgrade Santa Ana PD's TaskForce®Investigations (INV) system to the latest version (INV Version 7) as detailed in the Statement of Work • To upgrade and enhance Santa Ana PD's TaskForce Case Management System (CMS) as detailed in the Statement of Work, including specific enhancements to the CMS and the TaskForce Bridge to provide a fully integrated solution that is branded and configured for SAPD • To provide training for the CMS as detailed in the Statement of Work 1.2 STATEMENT OF WORK SRA proposes to perform the following: 1.2.1 INV Upgrade 1.2.2 CMS Upgrade and Enhancements The CMS System will be enhanced and modified in the following manner: ^ The CMS system will be modified to accept user-entered case numbers. ^ SRA will make up to 50 label changes on screens throughout the application. The scope of these changes pertains to text labeling of input fields, and shall not effect changes to the TaskForce database schema. ^ The "Case Investigation Checklist" form will be modified to change/add investigatory database system names (E.g. Utilities, Law Enforcement Systems) in the Case Investigation Checklist segment to reflect existing Santa Ana working environment. ^ CMS's existing Report Workflow groups and permission levels will be configured to accommodate SAPD's business rules for investigative case workflow. Reports will be visible to multiple Workflow group types at various states of the report. Workflow modifications are limited to the existing CMS paradigm and security model. SRA International, Inc. This modification will be made to conform to the existing standards and GUI paradigm of the TaskForce applications. ^ SRA will modify SAPD's TaskForce applications (CMS, TF Bridge, and INV) to allow for integration between these systems that includes: o Searching of INV data through the CMS interface o Propagating data from CMS into INV (using existing CMS-to-INV data transformations in the TF Bridge) upon CMS case closure. 1.2.3 CMS Training ^ SRA will provide one three-day training session on site at a location provided by the Santa Ana PD, for up to 20 people with necessary computer and network access to the SAPD TaskForce CMS application. 1.3 PERIOD OF PERFORMANCE The period of performance for the CMS Enhancement task order is September 1, 2008 through August 31, 2009. Dates in this proposal are based on Date of Award no later than September 1, 2008. SRA shall not be responsible for delays that are beyond its reasonable control. SRA shall complete the work effort to deliver the fully-functional CMS Enhancement as detailed in this proposal prior to August 31, 2009 to the production INV environment at Santa Ana PD. Support for the CMS Enhancement will be provided under the existing INV/CMS Extended Warranty. 1.4 DISCLAIMER It is understood that SRA is not responsible for the content of the data in the SAPD INV system and other integrated data sources. As such, SRA shall not be responsible for any errors, omissions, or duplication of data at any time and SRA shall not be liable for any claims for damages due to any errors, omissions, duplication, or reliance upon data in the database. Santa Ana Police Department -CMS Enhancement ~~1~~ ASSUMPTIONS The following assumptions are made in regard to performance of the proposed work: • SRA will deliver replacement versions of the TaskForce applications for which SAPD is currently licensed (INV, CMS, and TF Bridge) as these replacement versions currently exist, except as specified in this SOW. Additional enhancements or integrations not specified in the SOW are out of scope for this project. Effort to recreate existing integrations, customizations and functionality of SAPD's current CMS system in the upgraded .NET CMS deployment are out of scope for this project. ^ Santa Ana PD will provide unhindered VPN access to SRA to perform this work. ^ Santa Ana PD business users and IT representatives will be active participants in each of the focus areas, providing team members and subject matter experts to collaboratively work to address the requirements, refine the direction and implement the CMS Enhancement enhancements; Santa Ana PD will make available appropriate personnel to assist SRA in the gathering of requirements during the time specified in the project schedule. ^ Santa Ana PD will provide: o A single individual designated as a point of contact and decision-maker on behalf of SAPD in the execution of this project (referred to herein as the SAPD Project Manager) o Relevant documentation, business rules, and knowledge in a timely manner o Documents for review as requested a timely manner o Timely access to key staff and stakeholders o Coordination and access to SAPD organization members participating in this project ^ Santa Ana PD will provide the hardware, equipment, system software, and DBMS software to support CMS Enhancement, including licensed versions of SQL Server 2005 and ColdFusion MX7 to support this implementation. ^ Santa Ana PD will respond by indicating acceptance or request modifications within ten (10) business days of receipt of a deliverable. No response within this period will indicate Santa Ana PD's acceptance of the deliverable. ^ Work will be performed in accordance with an approved Project Plan. Changes to the Project Plan are subject to the Project Change Control Procedures and require approval of both the SRA Program Manager and the Santa Ana PD Project Manager. ^ Activities will be performed over a consecutive time frame unless otherwise agreed to and recorded in the Project Plan. SRA's Program Manager will inform the SAPD Project Manager when task estimates are being exceeded ^ Santa Ana PD team members will participate in User Acceptance Testing during the time frame specified by the Project Plan. ^ Santa Ana PD team members will participate in project status meetings. ^ If Santa Ana PD resources are not available in a timely fashion, a delay in the development of deliverables may result which may, in turn, result in a change in price and schedule administered via the Project Change Control Procedure. SRA International, Inc. Santa Ana Police Department -CMS Enhancement ^ Export to PDF functionality, as described in the SOW, requires that client computers have Adobe PDF writer installed. Licenses to Adobe PDF writer are not provided as part of the scope of this agreement. Additional Terms Applicable to this SOW: 1. Notwithstanding anything to the contrary in the Agreement, SRA shall not be liable for any consequential, incidental, special, exemplary, or punitive damages, regardless of whether either Party has been advised of the possibility of same. Under no circumstances shall either Party be liable for damages in excess of the total dollar amount actually paid to SRA under this Modification. 2. Notwithstanding the confidentiality and intellectual property provisions in the Agreement, for any work performed under this effort, SRA is free to use any ideas, concepts, know- how, or techniques which are developed or provided by SRA during the project. SRA is free to enter into similar agreements with others and to develop and provide materials or services which are similar to those provided under this Agreement. SRA International, Inc. Santa Ana Police Department -CMS Enhancement ~~1,~{1. 2 EXECUTION AND DELIVERABLES This section outlines the stages of execution of the CMS Enhancement Task Order, as well as delineates specific deliverables and acceptance criteria. SAPD will receive a deliverable transmittal letter with each deliverable. SAPD will respond in writing by indicating acceptance or request modifications within ten (10) business days of receipt of a deliverable, unless otherwise specified on the delivery transmittal letter. No response within the specified period will indicate SAPD's acceptance of the deliverable. SAPD shall send all responses to the following SRA point of contact: Mark Mayhugh 4300 Fair Lakes Court Fairfax, VA 22033 703-502-4668 (p) 703-803-1793 (f) Mark_mayhugh@sra.com 2.1 PROJECT MANAGEMENT Major criterion for the successful implementation of the CMS Enhancement include: ^ Full Santa Ana PD subject matter expert involvement ^ Strong Santa Ana PD change advocacy ^ Proactive program governance with the ability to make decisions quickly when needed ^ Open and frequent communications between SRA and SAPD Our technical approach and adherence to schedule depends upon these factors. SRA Project Manager will be fully involved in task development and customer support areas as they relate to this work and will provide continual and clear communication of status, issues and dependencies to the SAPD Project Manager. 2.2 PROJECT CHANGE CONTROL PROCEDURE When both parties agree to a change to this SOW, a written description of the agreed change (called a "Change Authorization") will be prepared which both parties must sign. The Change Authorization will describe the change, the rationale for the change, and specify any change in the charges, estimated schedule, or other terms. Depending on the extent and complexity of the requested changes, SRA may charge SAPD for the effort required to analyze it. When charges are necessary in order to analyze a change, SRA will provide a written estimate and begin the analysis upon written authorization from SAPD. The terms of a mutually agreed-upon Change Authorization will prevail over those of this SOW or any previous Change Authorizations. SRA International, Inc. Santa Ana Police Department -CMS Enhancement ~~11' 2.3 REQUIREMENTS/DESIGN SRA will assign experienced requirements engineers to work with Santa Ana PD stakeholders promptly following the date of award, to ascertain and document Santa Ana PD's specific requirements for the CMS Enhancement solution. Santa Ana PD will receive a deliverable transmittal letter with the requirements/design deliverable, and upon Santa Ana PD's signature of acceptance the CMS Enhancement requirements shall be considered baselined. In order to control project scope, reduce risk to Santa Ana PD, and ensure a successful on-time delivery of the CMS Enhancement, any requested changes to baselined requirements will be tracked through SRA's change management processes. Change requests will be evaluated with regard to baselined scope, and tasks determined to be outside the scope of the project may require modifications to the contract. 2.3.1 Requirements/Design Deliverables ^ Software Modification Specification (SMS) for the TF CMS enhancements. 2.3.2 Requirements Completion Criteria The requirements/design task will be complete when SRA provides the SMS for the CMS enhancements to the SAPD Project Manager for review and approval, and provides SAPD a deliverable transmittal document indicating delivery of this document to SAPD. 2.4 APPLICATION DEVELOPMENT The following application development tasks will be performed: ^ SRA will provide engineering resources to upgrade/enhance the TaskForce CMS and Investigations systems as per the Statement of Work above. 2.4.1 Application Development Deliverables ^ The CMS Enhancement described in the Statement of Work, as executable code deployed to the SAPD User Acceptance Testing (UAT) environment: o Upgraded/Enhanced TF CMS system o Upgraded TF Investigations system 2.4.2 Completion Criteria CMS Enhancement application development will be complete when SRA deploys the executable code for all the application development deliverables listed above into the CMS/Investigations UAT environment and when SRA provides SAPD a deliverable transmittal document indicating delivery of this executable code to SAPD. 2.5 APPLICATION DEPLOYMENT The following application deployment tasks will be performed: ^ SRA will support deployment and testing of the following application development deliverables in the UAT environment: SRA International, Inc. Santa Ana Police Department -CMS Enhancement ~HA~ o Upgraded/Enhanced TF CMS system o Upgraded TF Investigations system • SRA will support deployment of the entire set of application development deliverables to SAPD's Production environment. 2.5.1 Application Deployment Deliverables ^ Correction of any system deficiencies discovered during the User Acceptance Testing period. ^ The CMS Enhancement and TF Investigations upgrade as described in the Statement of Work, as executable code deployed to the production environment. ^ Investigation Version 7.x User Manual and System Administrator Manual in Digital Format. ^ CMS User Training as described in the Statement of Work 2.5.2 Completion Criteria CMS Enhancement deployment will be complete when all of the following are satisfied: • SRA deploys the executable code for alf the application deployment deliverables listed above into the Production environment ^ SRA conducts the CMS Training session ^ SRA provides SAPD a deliverable transmittal document indicating delivery of this executable code to SAPD.
