UNTlL INuU?~-A',-~~~ ~~,~~ ~•-~_ C CLERK OF CG'~w~i~= DATE Sip ~ (~ 2009 CHANGE NOTICE #1 TO PURHASE AND INSTALLATION AGREEMENT THIS CHANGE NOTIE #1 TO AGREEMENT is entered into on September 15, 2009, by and between Sentry Control Systems, a California corporation ("Sentry") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"). S/`~ RECITALS: ~~~, A. The parties entered into that certain Ageement A-2009-093, dated June 8, 2009, (hereinafter `~ "said Agreement") by which Sentry is obligated to install parking control systems in various L ~ Santa Ana Civic Center parking structures. d ~; B. In accordance with the terms and conditions of said Agreement, the parties wish to process a Change Notice to provide SmartCard keycards allowing access to the parking structures. ~ ~ WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this First Amendment to Agreement, the parties agree as follows: 1. Section 1, SENTRY OBLIGATIONS, shall be amended to include the provision of keycards as set forth in Change Notice #l, attached hereto as Exhibit A-1, and incorporated by reference. 2. Section 2, COMPENSATION, shall be amended to increase compensation by $55,100, to pay for the SkiData Smart Cards provided pursuant to Change Notice #1. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
