THIS FIRST AMENDMENT TO AGREEMENT is entered into on this 1St day
of July 2009, by and between Municipal Code Corporation, a Florida corporation
("Consultant") and the City of Santa Ana, a charter city and municipal corporation of the
State of California ("City").
RECITALS
A. The parties entered into Agreement # N-2008-084, dated July 1, 2008,
(hereinafter "said Agreement") by which Consultant has provided municipal code
republication services.
B. In accordance with the terms and conditions of said Agreement, the parties wish
to extend the term of said Agreement and increase the compensation to pay for an
additional one-year period of municipal code republication services.
NOW THEREFORE, in consideration of their mutual and respective promises, and
subject to the terms and conditions of the Agreement as hereby amended, the parties
hereby agree as follows:
1. Section 2.a., COMPENSATION, shall be deleted in its entirety and replaced with
the following:
"a. City agrees to pay, and Consultant agrees to accept as total payment for its
services, the rates and charges identified in Exhibit A-1, attached hereto and
incorporated by this reference. The total sum to be expended under this
Agreement shall not exceed $10,000.00 during the 2009-2010 fiscal year."
2. Section 3, TERM, shall be amended to read, in full, as follows:
"This Agreement shall commence on and terminate on June 30, 2010, unless
terminated earlier in accordance with Section 12, below. The term of this
Agreement may be extended for an additional one-year period unless cancelled or
changed by either party upon sixty (60) days written notice prior to the end of the
then current term."
3. Except as hereinabove amended, all terms and conditions of said Agreement shall
remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Agreement on the date and year first written above.

This proposal shall be valid for a period of ninety {90) days from the date appearing below unless signed
and authorized by MCC and the Client.
Term of Agreement. This Agreement shah{ begin upon execution of this Agreement and end after one
year. Thereafter, the Supplement Service shall be automatically renewed from year to year provided that
each party may cancel or change this agreement with sixty {60) days written notice.
