SECOND MODIFICATION TO
NOVATION OF LEASE BETWEEN
CITY OF SANTA ANA
AND
RIVER VIEW GOLF
THIS MODIFICATION executed in duplicate in Santa Ana,
California, this day of ~.Y,QY 1975, between
the City of Santa Ana, a chartered municipal corporation, here-
inafter called "LESSOR", and River View Golf, a California
corporation, hereinafter called "LESSEE".
R E C I T A L S:
1. On March 11, 1974, the parties hereto entered into
a Novation of Lease of certain real properi.y in the City of
Santa Ana. A copy of said document is attached hereto as Ex-
hibit "B" and incorporated herein by reference as if fully set
forth. Said Novation of Lease was modified by Modification to
Novation of Lease, executed by the parties on t~-~qy 5 1975,
a copy of which is attached hereto as Exhibit "D", and incor-
porated by reference as if fully set forth.
2. The City of Santa Ana, LESSOR, desires to construct
an asphalt bike path across the Santa Ana River to connect Edna
and Alona Parks. The proposed bike path will cross a certain

ASSIGNMENT OF LEASE BY to execute the Consent
TRUST DEED - APPROVED to Assignment of Lease
by Trust Deed requested
by Novel James, Lessee of the Riverview Golf Course, on the
motion of Councilman Bricken, seconded by Councilman Garthe,
carried 5:0 unanimously. The assignment of Riverview's lease-
hold interest is to be made to First National Bank of Orange
County as security for a $200,000 refinancing loan and was
recommended for Council approval by Richard E. Lay, Deputy City
Attorney, in his report dated March 28, 1978. A-1971
UNDERGROUND UTILITY DISTRICT A public hearing was set
N0. 15 - FOURTH STREET for May 1, 1978 at 7:30
PUBLIC HEARING SET FOR MAY 1 P.M. for the purpose of
determining the necessity
;:~f converting the existing overhead utility system to an under-
ground system within the area generally defined as Fourth Street
from the Santa Ana Freeway to Tustin Avenue, on the unanimously
carried 5:0 motion of Councilman Bricken, seconded by Councilman

John Burk, Senior Civil Engineer, in his March 16, 1978 report
points out that overhead electrical lines could become a serious
}iazard to motorists and pedestrians in the event of an accident
or natural disturbance, and that undergrounding of utility lines
also enhances the aesthetic qualities of the .City.
CODE ENFORCEMENT - NS-14()2 The report of the Planning
DISPLAY F, SALE OF VEHICLES Department dated March 29,
REPORT - FILED 1978 regarding the enforce-
ment of the ordinance
prohibiting the display of vehicles for sale in parking lot
locations, was received and filed on the motion of Councilman
Bricken, seconded by Councilman Garthe, carried 5:0 unanimously.
The report stated that all major concentrations of the prohibited
activity had been abated, and that continued enforcement would be
conducted by the Planning Department with the use of a courtesy
notice of violation and a follow-up telephone call or personal
contact by the Land Use Investigator prior to the issuance of
a citation. The report also stated that citation authority had
greatly assisted in the enforcement effort, although only two
citations were actually issued.
Vice Mayor Ward suggested that ordinance violations in the area
of Fairview and Warner Avenues be investigated. CA 78
CONDOMINIUM CONVERSION STUDY On the motion of Council-
UPDATE ~ STATISTICAL ANALYSIS man Bricken, seconded by

- 5:0 unanimously, the
Condominium Conversion Study Update and Statistical Analysis
dated March 28, 1978 was received and filed. The report updates
the preliminary condominium study approved by the Planning
Commission November 27, 1977 and provides statistics on City
and County housing stock occupancy, condominium conversion
activity, building permit activity and apartment house occupancy.

Background
On February 4, 1975, the Orange County Flood Control District and the City
of Santa Ana entered into an agreement to construct a bike trail crossing
(from Edna to Alona Park) and a trail extension (from 17th St, to Alona
Park on the east levee of the Santa Ana River). Plans are being revised
per county requirements, but due to its alignment, the proposed bike path
will cross properties of both Towner Manufacturing and Riverview Golf Course.
Negotiations to acquire property from Towner Manufacturing, through a land
swap, are being prepared and finalized. The encroachment on to Riverview
Golf Course leasehold will necessitate the relocation of an existing tee
area of the lessee. To accomplish this, the City will extend a 48" diameter
culvert pipe approximately 136 feet, install an 8'-0" chainlink fence along
the north property line, to protect the bike trail, and pay a sum of
$2,950.00 to backfill, grade, mulch, reseed, replant and replace other
items necessary for the relocation of the tee. The attached amendment to
Riverview Lease Agreement indicates the above and needs Council approval.
The amendment has been approved by the Recreation and Park Board on April
28, 1975. Funding is presently available in Account No. 403-117-631 Edna
River Crossing through County Revenue Sharing Funds.
Recommendation
1) City Council approve amendment to Riverview Golf Course lease agreement,
to allow the continuation of bike trail into Alona Park.

At Council's discretion, approval of Consent to Assignment of Lease
by Trust Deed.
BACKGROUND:
Mr. Novel James of River View Golf has requested the consent of the
City of Santa Ana, as Lessor, to the assignment of River View's leasehold
interest as security for a $200,000 refinancing loan from First National
Bank of Orange County. The City's consent is a prerequisite for any such
assignment under the terms of the lease.
The original loan was made in 1975, at which time the lease between
the City and River View was amended to provide the City with several addi-
tional options in the event of River View's default on the loan, including
the right to cure the default and take possession of the property subject
to the loan obligation, the right to substitute a new tenant in place of
River View, the right to bid at any foreclosure sale, and a right of first
refusal in the event of acquisition and sale of the leasehold by the
lender.
The Consent to Assignment form has been drafted by this office to
expressly reserve these same options to the City. Our recommendation of
approval is based on the assumption that the Council will wish to approve
this refinancing loan on the same terms and conditions as it approved the
original loan in 1975.

CONSENT TO ASSIGNMENT OF LEASE BY TRUST DEED
The undersigned, the City of Santa Ana, as Lessor under that
certain lease, entitled "Novation of Lease," dated March 11, 1974, as
amended by that certain "Modification to Novation of Lease between
City of Santa Ana and Riverview Golf," dated April 21, 1975, both of
which said documents are matters of public record on file in the
Office of the Clerk of the Council, City of Santa Ana, Orange County,
California, of that certain real property described in Exhibit A,
attached hereto and incorporated herein, (hereinafter referred to as
"said lease as amended"), does hereby consent to the assignment by the
Lessee under said lease as amended, of the leasehold interest thereunder
by-deed of trust dated March 15, 1978 (hereinafter referred to as "the
trust deed") in favor of the First National Bank of Orange County
(hereinafter called "encumbrancer"), to secure a note in the principal
sum of $200,000.00, and other obligations set forth in the trust deed,
which trust deed is recorded concurrently herewith in the Office of
the County Recorder of Orange County, California. The foregoing
consent is made and accepted upon and subject to the covenant and
condition, which shall be binding upon and inure to the benefit of the
encumbrancer and its transferee(s), that said trust deed and all
rights acquired thereunder shall be subject to each and all of the
covenants, conditions and restrictions set forth in said lease as
amended and to all rights and interests of the Lessor thereunder.
