THIS SIXTH AMENDMENT TO RECREATION SERVICES AGREEMENT is made
and entered into this 1st day of January, 2010 by and between Janet Schermer, an
individual, (hereinafter "Provider"), and the City of Santa Ana, a charter city and
municipal corporation of the State of California ("City").
RECITALS:
The parties entered into Agreement N-2004,060, dated November 6, 2007, as
amended from time to time, (hereinafter the "Agreement") by which Provider has
conducted piano lessons in the City's leisure program.
In accordance with the terms and conditions of said Agreement, the parties wish
to amend the Scope of Services and renew said Agreement for an additional one-
year period.
WHEREFORE, in consideration of the covenants contained in said Agreement, and
subject to all the terms and conditions of said Agreement, except those amended in this
Sixth Amendment to Recreation Services Agreement, the parties agree as follows:
1. Section 1, SCOPE OF SERVICES, shall be amended to read as set forth in Exhibit A
attached to this Sixth Amendment.
2. Section 3, TERM, shall be amended to extend the termination date to December 31,
2010.
3. Except as herein amended, all terms and conditions of said Agreement shall remain in
full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this Sixth Amendment to
Recreation Services Agreement on the day and year first set forth above.

EXHIBIT A
SCOPE OF SERVICES
1) Provider will instruct classes once a week in Beginning, Intermediate and Advanced
piano. Intermediate and advanced students must have more than one year of lessons.
Sessions shall be monthly.
2) Classes will be held Mondays as follows: 4pm to 5 pm-Beginner; Spm to 6pm-
Beginning & Intermediate; 6pm to 7pm-Advanced.
3) Provider will provide and be responsible for equipment, records, personnel and clean
up of the facilities and materials necessary to ensure the safety and effectiveness of said
instruction.
4) If Provider allows others to teach classes, those teachers must be over 21, hold a valid
instructor rating and be covered by Provider's insurance. Provider shall provide City
with documentation of compliance with the foregoing.
CLASS SIZE
1) Each class shall have a minimum number of 5 paid students and no more than 12. No
registration shall be permitted after the second meeting of the class.
2) In the event the minimum number of enrollees is not realized by the second meeting of
class, the class shall be cancelled. Provider will be under no obligation to provide
services and the City will be under no obligation to pay Provider compensation.
CLASS FEES
1) Each participant shall pay $30.00 class registration fee per session. Anticipated
revenue from this class shall be $10,000.00.
2) No refunds shall be made to participants after the second class meeting unless class is
canceled by the City.
3) City shall collect registration fees from participants during the registration period.
Provider shall not collect fees but shall refer interested participants to the City. City shall
prepare class rosters on provide copies to Provider.
4) Provider shall receive seventy percent (70%) of the total fees collected each month.
City shall retain thirty percent (30%) of the fees collected. Provider shall not waive fees.
6) The City shall be entitled to audit Provider's records to insure compliance with this
Agreement.

The limits of insurance apply separately to each event insured by this policy as if a separate po]icy of insurance has been issued for that event.
"Who is insured" is amended to include, as an insured, the person or organization shown in this schedule, but only with respect to liability arising out of the
ownership, maintenance or use of the premises used by the named insured (event holder). This insurance does not apply to: Any "occurrence" which takes place
after the event holder ceases to be a tenant in that premises.
