CLERK OF COUNCIL SECOND AMENDMENT TO AGREEMENT

THIS SECOND AMENDMENT TO AGREEMENT is entered into on January1, 2010,
by and between Specialty Environments Co., Inc., a California corporation ("Contractor") and the
City of Santa Ana, a charter city and municipal corporation organized and existing under the
Constitution and laws of the State of California ("City").
RECITALS:
'1 A. The parties entered into that certain Agreement A-2007-006, dated January 16, 2007,
(hereinafter "said Agreement") by which Contractor has provided landscape maintenance
services. Said Agreement was amended by the First Amendment dated October 28, 2008.
B. In accordance with the terms and conditions of said Agreement, the parties wish to extend the
a term of the Agreement and increase compensation to pay for services during the extended
term.
WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all
the terms and conditions of said Agreement, except those amended in this Second Amendment to
Agreement, the parties agree as follows:
1. Section 2, COMPENSATION, shall be amended to increase compensation by $12,500.00, to
pay for services during the extended term. Said section shall be amended to read, in full:
"City agrees to pay and Contractor agrees to accept, as full compensation for the services
provided pursuant to Exhibit A to said Agreement, a monthly fee of $t 839.00. The total
amount to be expended pursuant to this Second Amendment to Agreement shall not
exceed $12,500, during the amended term."
2. Section 3, TERM, shall be amended to extend the term for an additional six month period,
through June 30, 2010. The Agreement can be terminated without cause with thirty (30) days
prior written notice.
3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in
full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment to
Agreement on the date and year first written above.
