Pursuant to Section 1 ("Scope of Services") of Agreement No. A-2023-194-08 entered into by Ardurra
Group, Inc. ("Consultant")and the City of Santa Ana,dated November 7,2023, Consultant hereby accepts
this Letter Agreement for an assignment for on-call environmental and planning services for the project
listed above. Consultant shall complete environmental and planning services by March 31, 2025 per the
proposal dated November 7, 2024 (attached as Exhibit A to this Letter Agreement). City shall recognize
and compensate Consultant for any services provided from December 4, 2024 to the effective date of this
Letter Agreement. Compensation is subject to Section 2 of the Agreement and the total compensation for
this assignnent shall not exceed $26,015. All other terms and conditions of said Agreement remain
unchanged and in full force and effect.

Dear Ms.Jacinto:
Thank you for this opportunity to provide a proposal to the City of Santa Ana (City) for California Environmental
Quality Act(CEQA) peer review.Ardurra's environmental team is available and ready to support City staff with
peer review of the proposed Meritage Homes project materials that have been submitted as supporting
information to discretionary applications for redevelopment of 2020 E. I'Street. Ardurra will verify approach,
methodology, and conclusions of the applicant's technical studies, pursuant to CEQA Statute and Guidelines
and industry standards for each type of technical analysis. Our peer review wilt also verify overall consistency
of the proposed project with findings and environmental determinations from previous environmental
certifications on the Metro East Mix-use (MEMU) Overlay District EIR and subsequent MEMU Expansion SEIR.
PROJECT UNDERSTANDING
The project is located within the boundaries of the MEMU Overlay Zone on Assessor's Parcel Number 402-
191-03. This project site consists of 3.72 acres of land that is currently developed with a five-story office
building and surface parking lot. The City of Santa Ana Planning Department has received applications for
discretionary review of a site plan for mixed-use development and a density bonus for project eligibility on
concessions/incentives and/or waivers. Plans submitted with the application show demolition of the existing
building and parking and the construction of eighty-six (86) multi-family dwelling units, including six (6)
live/work duplex units, 194 parking spaces,and site landscaping. The City's approved MEMU zoning overlay
at the project site is intended to result in future development of mixed-use residential land use patterns with
amenities promoting an active commercial and residential community, expansion of the economic base that
maximizes property sales and sales tax revenue, jobs/housing balance, and a range of available housing
options within Santa Ana.
The City needs third-party peer review of the applicant's technical studies to verify and inform staff and decision
makers an the completeness of the studies, to verify that each analysis is compliant with CEQA, and to verify
project conformance with previous CEQA certifications on the MEMU Overlay(SCH#200603 1 04 1) and the
Draft Subsequent EIR for the MEMU Overlay Expansion.

Ardurra is submitting this proposal to provide peer review of the applicant's materials. This proposal includes
a description of the scope of work, schedule/timeline of reviews, assigned staff and qualifications, fees,
attendance and availability for in-person or virtual meetings as requested in the City's Request for Proposal.
Our proposed scope of work is described in the following section. Ardurra's scope of work is only for peer
review and excludes additional analysis and processing. Ardurra's proposed scope of work will be managed
by Ms. Lori Trottier, AICP CEP from Ardurra's Newport Beach office, located 4 miles (14 minutes) from City
Hall. Throughout the duration of the contract, Ms. Troffier will be available by telephone, in-person meetings,
or virtual meetings.
SCOPE OF WORK
TASK 1: NOTICE TO PROCEED AND KICK-OFF
Upon completion of contract documents and issuance of notice to proceed from the City, Ardurra will prepare
for and attend a kick-off meeting. This task includes either in-person or virtual meeting attendance and
preparation of a meeting agenda and updated schedule for use at the meeting as well as and meeting minutes
following the meeting. The meeting minutes will be disseminated to all attendees for review and comment.
Ardurra anticipates receiving and addressing one (1) round of comments and edits.
TASK 2: REVIEW OF TECHNICAL STUDIES AND CEQA CONSISTENCY MEMO
Upon our receipt of the applicant's technical studies and CEQA Consistency Memo, Ardurra and our
subconsultants will begin peer review. Peer review will look at assumptions for analysis, and report conclusions
regarding project consistency with applicable City ordinances, previous analysis, and CEQA Statute and
Guidelines. Ardurro's environmental team will verify the accuracy and conclusions of the applicants reports on
traffic, air quality/GHG, health risk, noise, and CEQA Consistency Memo as follows:
o Verify project description, assumptions and data for consistency with application materials.
o Verify adequate description of existing conditions.
o Verify consistency between baseline conditions of the previous analysis and existing conditions.
o Review project consistency with the Metro East Mixed-Use Overlay District Expansion and Elan
Development Projects Subsequent EIR (June 2018) ["MEMU SEIR"] and determine if
additional analysis or mitigation measures are necessary for compliance with CEQA.
o Verify the adequacy of analysis methodology, assumptions, approach, modeling,
recommended mitigation, and level of significant impacts for consistency with CEQA.
TASK 3: SUMMARY MEMORANDUM OF FINDINGS
Ardurra will prepare a technical memorandum for City use that summarizes the peer review findings from Task
2 for each technical study and the CEQA Consistency Memo. Ardurra's environmental team will review a
second submittal and prepare a letter to confirm any comments noted in the initial peer review are adequately
addressed. Separate stand-alone memos will be attached as an appendix for each technical study.

TASK 4: MEETINGS
Ardurra's fee includes two (2) additional pro'ect meetings with the City and applicant to discuss peer review
findings, Meetings will be billed on a time and materials basis. Ardurra is available to meet in person or virtually
at the City's request, In-person meetings with subconsultants are excluded from the fee and can be added to
the scope and fee if requested by the City and applicant.
TASK 5: PROJECT MANAGEMENT, COORDINATION, QA/QC
Ardurra's fee includes up to 4 hours for contract administration, coordination via telephone and emails with
the City, and Quality Assurance/Quality Control on deliverables. Time spent under this task will be billed on
a time and materials basis.
SCHEDULE (TIMELINE OF REVIEWS)
Initial technical reviews described in Tasks 2 and 3 above will be completed within fifteen (15) business days
of notice to proceed. Second reviews will be completed within ten (10) business days from the date of receipt
of the submittal. Upon completion of these reviews a memo of findings will be submitted to the City in PDF
format via email.
ASSIGNED STAFF, AVAILABILITY, AND QUALIFICATIONS
Ardurra offers a knowledgeable, thorough and unbiased interdisciplinary approach to environmental
services. We support our clients with a multidisciplinary team of experienced technical experts. Our
technical staff is supported by skilled administrative staff and senior management who provide contract
administration via Ardurra's established procedures for time management, billing, and senior review
for quality assurance/quality control.
Ardurra's environmental team has delivered environmental services successfully to numerous clients
throughout southern California. We will quickly focus on key issues and will efficiently provide the City
with a thorough administrative record for decision snaking. We will facilitate project reviews that are
focused so that informed decisions can be made quickly. Our staff qualifications and availability are
shown below.
Lori Trottier, AICP CEP I Environmental Lead/Project Manager 175 Percent Availablity
The project will be managed by Ms. Lori Trottier, AICP CEP. Ms. Trottier has over 34 years of
experience in CEQA compliance. She is an expert in CEQA and is experienced with mixed-use
development. She will take personal responsibility for working with the City in establishing and
maintaining the schedule and for objective review of the applicant's materials in meeting requirements
of CEQA, industry standards, and the City's Municipal Code. She will verify Ardurra's quality
assurance/quality control program (QA/QC) is applied to every deliverable prior to release to the
City. It will be her objective to maintain quality work products through Ardurra's QA/QC process.

Cynthia Peraza, PE I Quality Assurance/Quality Control 150 Percent Availability
Ms. Peraza brings over 28 years of experience in public works engineering and project management.
Ms. Peraza has completed many improvement projects for various agencies throughout Southern
California. She is familiar with the approval and permitting procedures of federal, state, county, and
local jurisdictions. Ms. Peraza will be responsible for QA/QC reviews.
Giancarlo Ganddini, PE, PTP [ Ganddini Group, Inc. 150 Percent Availability
Prior to founding Ganddini Group, Mr. Ganddini developed his technical expertise and project
management skills at notable local and international engineering services firms where he performed
and directed work on numerous projects involving transportation analysis for both public and private
sector developments throughout California. Ganddini Group, Inc., (Ganddini) specializes in traffic,
air quality and noise has serviced over 300 projects since its founding in 2018 — a testament to the
strong working relationships their staff has developed over previous years with a range of clients.
Ganddini's traffic, noise, and air quality team consists of highly educated engineers and environmental
analysts with a successful history of preparing a comprehensive range of technical analyses, including
traffic impact assessments, vehicle miles traveled analysis, acoustical modeling, regulatory review and
impact assessment, emissions inventories, greenhouse gas/climate change analysis, air dispersion
modeling, health risk assessment, and energy consumption.
Roma Stromberg, MS + Ganddini Group, Inc. 150 Percent Availability
Roma Stromberg is a Senior Associate/Environmental Analyst at Ganddini Group, Inc. She has been
actively involved in the planning, development, and environmental review industry for over 25 years.
Her technical expertise is focused on all aspects of noise and vibration analysis, including noise
measurements, acoustical modeling, regulatory review and impact assessment, and the development
of mitigation measures. She is highly proficient in various noise modeling software programs, including
Sound32, TNM, SounclPLAN, and RCNM.
Katie Wilson, MS I Ganddini Group, Inc. 150 Percent Availability
Katie Wilson is a Senior Associate/Environmental Analyst at Ganddini Group, Inc. She brings over
17 years of professional experience in environmental sciences. Her professional background has
focused on preparation of air quality/greenhouse gas and related studies for environmental
documentation, including comprehensive studies for residential, commercial, and industrial
developments as well as public sector projects throughout California. Katie also instructs a chemistry
laboratory at California State University San Bernardino. She is an active member and former board
member of the Association of Environmental Professionals (AEP) Inland Empire Chapter.
FEE
Not to exceed fees to complete peer review for the Scope of Work and Tasks through 5 above are
broken down in the following Table 1 and are based on 41 hours of Ardurra staff time:

Ganddini Group, Inc. is pleased to submit this proposal to provide consulting services for the Meritage Homes
(2020 E, First Street) project in the City of Santa Ana.This proposal contains a scope of services and budget
based on the information provided by ARDURRA GROUP, INC. (Client) and our understanding of the
requirements for the project.
PROJECT UNDERSTANDING
The 3.72-acre project site is located at 2020 East First Street (east of the Zoo Lane and First Street
intersection) in the City of Santa Ana, California. The project site is currently developed with a five-story,
118,109 square-foot office building and surface parking.
The proposed project involves demoing the existing office building and constructing eighty-six (86) multi-
family dwelling units, including six(6) live/work duplex units, (194) parking spaces, and site landscaping.
The project site is located within the Metro East Mixed-Use Overlay District. It is understood that the project
will be subject to the measures outlined in the 2018 MMRP for the Metro East Mixed-Use Overlay District
Expansion and Elan Development Projects.
SCOPE OF SERVICES
Task 1 Traffic Impact Analysis Peer Review
Ganddini Group shall perform a peer review of the Traffic Impact Analysis report consisting of the following
tasks:
■ Review of the project description, project assumptions and project data to ensure that the analysis is
based on a project that is substantially consistent with that presented to City of Santa Ana for review.
• Review project consistency with the Metro East Mixed-Use Overlay District Expansion and Elan
Development Projects Subsequent EIR(June 2018)["MEMU SEIR"]and determine if additional analysis
or mitigation measures are necessary. Based on preliminary review,the proposed project appears to be
consistent with land use assumptions in the MEMU EIR and consists of fewer than 100 dwelling units
that would require a project specific traffic impact study as required in Mitigation Measure MM-TRA-1

Task 2 Noise Study Peer Review
Ganddini Group shall perform a peer review of the Noise Study report for the proposed project consisting of
the following tasks:
■ Verify that the noise study provides an adequate description of the existing conditions.
■ Review the modeling, the analysis and any mitigation recommended related to potential noise and
vibration impacts to adjacent land uses as a result of project construction.
■ Review the modeling, the analysis and any mitigation recommended for potential noise impacts to off-
site receptors due to project generated vehicle traffic.
■ Review the modeling, the analysis and any mitigation recommended for potential transportation noise
impacts to the proposed project.
■ Review the modeling,the analysis and any mitigation recommended for potential noise impacts to off-
site receptors due to project operation,
■ Prepare a technical memorandum that documents the peer review findings and comments. If necessary,
review a second submittal and prepare a second letter to confirm any comments noted in the initial
peer review are adequately addressed.
Task 3 Air Quality, Greenhouse Gas,and Health Risk Assessment Peer Review
Ganddini Group shall perform a peer review of the Air Quality, Greenhouse Gas, and Health Risk Assessment
(HRA) reports)for the proposed project consisting of the following tasks:

■ Review of air quality analysis technical study methodology, approach and assumptions to ensure that
the technical analyses are adequate and accurate for use in the CEQA document, meet the

with CEQA.

gas analysis is based cn a project that is substantially consistent with that presented to the City for
review and to ensure that all potential impacts are identified and addressed.
■ Review of the project data and site conditions to ensure that the baseline data used in the greenhouse
gas analysis is essentially unchanged since the time the study was completed and provide confirmation
that no change in site conditions is anticipated or updates required.
■ Prepare a technical memorandum that documents the peer review findings and comments. If necessary,
review a second submittal and prepare a second letter to confirm any comments noted in the initial
peer review are adequately addressed.
Health Risk Assessment(HRA)Analysis Review
■ Review of the HRA analysis methodology, approach and assumptions to ensure that the technical
analysis is adequate for use in the CEQA document, meet the requirements of the SCAQMD, GARB
and OEHHA, and is in accordance with CEQA.
■ Review of the project description, project assumptions and project data to ensure that the HRA is based
on a project that is substantially consistent with that presented to the City for review and to ensure
that all potential impacts are identified and addressed.
■ Review of the project data and site conditions to ensure that the base#ine data used in the HRA is
essentially unchanged since the time the study was completed and provide confirmation that no change
in site conditions is anticipated or updates required.
■ Prepare a technical memorandum that documents the peer review findings and comments. If necessary,
review a second submittal and prepare a second letter to confirm any comments noted in the initial
peer review are adequately addressed.

SCHEDULE&DELIVERABLES
Each technical review is estimated to be completed within two (2)weeks from the date of authorization and
receipt of the applicable technical report(s)to be reviewed. The peer review memorandums will be delivered
to the Client in electronic format(PDF).
Ganddini Group is not liable for any delays resulting from circumstances beyond our control,including but not
limited to project redesign, changes in public policy, employee illness or departure, equipment malfunction, or
inclement weather, which shall extend the time schedule. If such a delay occurs, the Client shall be informed
of the revised project schedule.
PROFESSIONAL FEE
The scope of services outlined herein shall be performed for a not-to-exceed fee of$13,400.00 based on the
following breakdown:
Task 1 Traffic Impact Analysis Review $ 4,200
Task 2 Noise Analysis Review $ 3,500
Task 3 AQ/GHG Analysis Review $ 3,800
HRA Review $ 1,900
Total $ 13,400
The fee does not include permit/review fees that may or may not be required by approving agencies. Invoices
shall be submitted on a percent complete basis. The fee schedule for time-and-materials tasks (if any) is
provided in Attachment A.
ADDITIONAL SERVICES
Additional work items outside the Scope of Services outlined above may or may not be required in support of
the project review process. If necessary, a work amendment outlining the additional scope, fee, and revised
schedule will be submitted to the Client for authorization prior to commencement of additional work.
Additional services that may require a work amendment include, but are not limited to:
■ Additional rounds of review (beyond two rounds included in Scope of Services).
■ Participation in on-going conference calls, in-person meetings, or public hearings.
LIABILITY
Ganddini Group, Inc.carries both general and professional liability and worker's compensation insurance.The
Client agrees to limit Ganddini Group's liability to the Client and to all contractors and subcontractors on the
project due to Ganddini Group's negligent acts, errors, or omissions, such that the total aggregate liability of
Ganddini Group to all those named shall not exceed the total fee for services rendered on this project.
RELATED PROJECT EXPERIENCE
Ganddini Group has successfully prepared technical studies for similar projects in the City of Santa Ana and

Effective Through December 31, 2024. Mileage shall be billed at the IRS standard mileage rate for business
travel at the time the expense is incurred. Hourly rates subject to annual increase.
GENERAL PROVISIONS OF THE AGREEMENT
1. Hourly rates apply to work time as well as travel and waiting time associated with meetings and public hearings.
Meeting attendance after normal business hours(i.e.,outside of Monday through Friday from 8:00 AM to 5:00 PM)
may be billed at 125%of the standard hourly rate.
2. Invoices are due upon receipt and will be submitted monthly for work in progress based on percentage complete
and/or upon completion of work. Invoices will be submitted electronically to the e-mail address(es)on record unless
otherwise instructed and may be paid by check or ACH transfer.Any invoice unpaid after 30 days shall be subject to
a service charge of the maximum interest rate allowed by law.
3. This agreement assumes the scope of services will be completed within six(6)months from the date of authorization
to proceed.After six(6)months,Ganddini Group reserves the right to request an amendment for inflationary costs,
and/or terminate the agreement and invoice all costs incurred, including but not limited to hours worked and other
direct costs.
4. Client agrees that the balance in a billing statement is correct and binding unless the Client notifies Ganddini Group,
Inc. in writing within fifteen days of the date of billing of the alleged incorrect item.
5. All documents and electronic files prepared by Ganddini Group, Inc, are Instruments of Service for use solely with
respect to this project. Ganddini Group, Inc, shall be deemed author and owner of the Instruments of Service and
shall retain all common law,statutory,and other reserved rights.Any unauthorized use of the Instruments of Service
shall be at the Client's sole risk and without liability to Ganddini Group, Inc.
6. Ganddini Group, Inc, will provide services in an objective, professional manner, and may not arrive at the findings
desired by the Client.Ganddini Group,Inc.will provide its services using the level of care and skill ordinarily exercised
by reputable members of its profession practicing contemporaneously under similar conditions in the locality of the
project. No other warranty,expressed or implied,is made or intended.
7. The services rendered under this proposal may be terminated,with or without cause, by either party at any time by
written notice. Upon termination, Ganddini Group will stop all work associated with this agreement and prepare an
invoice for any unbilled work completed prior to the stop work notice.
8. Any controversy or claim arising out of or relating to this agreement, or the breach thereof, shall be settled by
arbitration in accordance with the rules of the American Arbitration Association, and judgment upon the award
rendered by the arbitration may be entered in any court having jurisdiction thereof.
9. Where Ganddini Group,Inc.initiates arbitration proceedings relating to this agreement,any resultant fees to process
arbitration,such as filing fees and attorney fees,shall be borne by the Client.
10, If any term, condition,or provision of this agreement is declared void, unenforceable, or limited in its application or
effect,such event shall not affect any other provisions hereof and all other provisions shall remain fully enforceable.
