9 THIS AMENDMENT NO. 1 is effective this 30 day of e- , 2025, by and between the
10 Orange County Transportation Authority ("AUTHORITY"), 550 South Main Street, P.O. Box 14184,
11 Orange, California 92863-1584, a public corporation of the State of California (hereinafter referred to as
12 "AUTHORITY"), and the City of Santa Ana, 20 Civic Center Plaza, Santa Ana, CA 92701, (hereinafter
13 referred to as"CITY"),which are individually referred to as"Party"and collectively referred to as"Parties".
14 WITNESSETH:
15 WHEREAS, AUTHORITY and CITY entered into Cooperative Agreement No. C-0-2201, dated
16 June 15, 2020, to define the specific terms, conditions, and funding responsibilities between the
17 AUTHORITY and CITY for completion of final design and construction associated with the
18 State Route 55 (SR-55) Improvement Project(herein referred to as"PROJECT"); and
19 WHEREAS, AUTHORITY and CITY agree to extend the term of Agreement for two (2) years
20 through June 30, 2027; and
21 NOW, THEREFORE, it is mutually understood and agreed by AUTHORITY and CITY that
22 Agreement No. C-0-2201 is hereby amended in the following particulars only:

1 1. Amend ARTICLE 11. ADDITIONAL PROVISIONS, page 10 of 13, paragraph A, line 10,
2 to delete "June 30, 2025" as the expiration date of the Agreement and, in lieu thereof, insert
3 "June 30, 2027".
a The balance of Cooperative Agreement No. C-0-2201 remains unchanged.
5 IN WITNESS WHEREOF,the parties hereto have caused this Amendment No. 1 to Cooperative
6 Agreement No. C-0-2201 to be executed as of the date of the last signature below.
