RE: CONSENT TO ASSIGNMENT
That certain Agreement dated as of January 30, 2025 referred to as Agreement A-
2021-015-01, Information Technology As Needed Professional Services (the
"Agreement"), between Sierra Cybernetics, Incorporated ("Sierra Cybernetics") and
City of Santa Ana ("Client").
To whom it may concern:
Client hereby acknowledges that Sierra Cybernetics is entering into a definitive agreement for
the sale of substantially all of its assets (the "Transaction"). The Transaction, which is subject to
satisfaction of customary closing conditions, will result in an assignment of the Agreement (the
"Assignment") to Sierra Cyber, LLC, a Delaware limited liability company ("Sierra Cyber"). Pursuant to
Agreement Clause 14, this Assignment will require Client's consent. By signing this document, Client
hereby consents to the Assignment by Sierra Cybernetics of all of Sierra Cybernetics' right, title, and
interest in, to, and under the Agreement to Sierra Cyber, effective as of date of closing of the
Transaction.
Please acknowledge Client's consent to the proposed assignment by countersigning this letter
and returning an executed copy to my attention.
