MSURANCE ON FILE <br /> WORK MAY PROCEED <br /> UNTtt INSURANCE FXPI t.S N-2025-224 <br /> _oti123t2a2� .. <br /> CITY CLERK <br /> P,WE:SEP 0 5 2025 <br /> °'.P N A (z) AGREEMENT WITH SANTA ANA COMMUNITY ARTIST COALITION TO <br /> �"2i Forj'a"'r_(02) PROVIDE COMMUNITY ENGAGEMENT, DOCUMENTATION AND ARTIST <br /> CONSULTATION <br /> THIS AGREEMENT is made and entered into on the 1 lth day of August, 2025 by and between <br /> Santa Ana Community Artist Coalition,a general partnership("Consultant"),and the City of Santa <br /> Ana, a charter city and municipal corporation organized and existing under the Constitution and <br /> laws of the State of California("City"). <br /> RECITALS <br /> A. The City of Santa Ana's Memorial Park Aquatic Center contains a mural by Emigdio <br /> Vasquez entitled "Chicano Gothic,"which is located on a freestanding masonry wall. The <br /> City intends to preserve and restore the mural while renovating the Aquatic Center and <br /> therefore desires to retain a consultant to provide community engagement, documentation <br /> and artist consultation throughout this process. <br /> B. Consultant submitted a proposal to the City on July 22, 2025, which outlines the proposed <br /> scope of work and budget. Consultant represents that it is able and willing to provide the <br /> services described in the proposal, which is attached hereto as Exhibit A. <br /> C. In undertaking the performance of this Agreement, Consultant represents that it is <br /> knowledgeable in its field and that any services performed by Consultant under this <br /> Agreement will be performed in compliance with such standards as may reasonably be <br /> expected from a professional consulting firm in the field. <br /> NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br /> terms and conditions hereinafter set forth, the parties agree as follows: <br /> 1. SCOPE OF SERVICES <br /> Consultant shall perform during the term of this Agreement the services described in the <br /> scope of work included in the July 22 proposal, which is attached hereto as Exhibit A and <br /> incorporated in full. <br /> 2. COMPENSATION <br /> a. City agrees to pay and Consultant agrees to accept as total payment for its services <br /> under this Agreement the rates and charges identified in Exhibit A. The total sum to <br /> be expended under the term of this Agreement, including any extension periods, shall <br /> not exceed$13,000. <br /> b. Payment by City shall be made within 45 days (forty-five) days following receipt of <br /> proper invoice evidencing work performed, subject to City accounting procedures. <br /> City and Consultant agree that all payments due and owing under this Agreement shall <br /> be made through Automated Clearing House (ACH) transfers. Consultant agrees to <br /> execute the City's standard ACH Vendor Payment Authorization and provide required <br /> Page 1 of 10 <br />
