10 RECITALS

12 Greenville-Banning Channel is Project No. D-3 of the Engineer's
13 Report dated March, 1955, elltitiod "General Plans, Specificetions and
14 Estimates of Cost of Rights of Way and Construction of Improvements for
15 Drainage Facilities for Flood Control in Oranee County, California ,
16 on file in the office of the County Clerk of OrapFe County, California.
17 The preparation of plans and specifications for said Proect D-3
18 was authorized by the Board of Supervisors of District or December
19 1956. The wori, of said Project oetween Gisler and Delhi Road will
20 consist of construetine anproxinately 3 Ales ot earte channel, re-
21 inferred concrete culverts at street crossing, and two railroad bridges.
22 Obligation of District when constructing reinforced concrete
23 culverts at street crossing is to construct a 40-foot culvert at
24 Delhi Road.
25 City desires that the culvert be constructed to ultimate length
26 which would be a 104-foot culvert.
27 The best interests of the parties hereto will be served b.),
28 constractin„ saLd e'alvert in accordance with the desire of City, and
29 by apportioninE, costs of i;he construction of said culvert between
30 District and City.
31 NOW, THEREFORE, in consideration of the mutual benefits,
32 covenants, and :-.:)..Lations herein contained, both parties hereto agree

2 i . District's Flood Control Enj.neer shall prepare or cause
3 to be prepared, plans and specifications for said culvert and submit
4 same to the City Engineer of City for checAng and approval.
5 2. Upon approval of said culvert plans and specifications
6 by sale Engineer, and when plans and specifications for that portion
7 of Project D-3 between Gisler and Delhi Road have been approved by
8 City in accordance with the applicable provision of the Orange County
g Flood Control Act, District shall promptly undertake and perform all
10 of the wore of advertisie , for bids and awarding a contract, all
11 in accordance with the provisions of law governing the mile.
12 3. Levrin construction of said culvert District shall furnish
13 a resident engineer to geriZOIn the usual functions of a resident
14 engineer. Durinr, said construction City may also furnish a resident
15 engineer, and in such case the two resident engineers will cooperate
16 and consult with each other, but the orders of the District' s resident
17 engineer shall be final.
18 4 . As hereinafter provided, City shall pay to District, Citl, ' s
19 percentage of the cost of said culvert; said percentage of cost Shall
20 be computed on the following basis:
21 (a) The actual contract unit costs shall be used to deter-
22 Irdne the total cost for said culvert, said unit costs
23 shall be the cost of structural excavation, compacted
24 backfill, reinforced concrete, reinforcing steel, and
25 crushed roe:- for subflrade preparation.
26 ( ) The total cost of said culvert shall be divided eL:
27 the length to arrive at a per foot cost for said
28 eulvert. The per foot cost shall then be multiplied
29 by 64.
30 (c) City's percentage shall be the above mentioned product
31 plus 5% of said product to cover Distriet's cost of
32 design, inspection, field en,-,sineerin ;, and final

2 5. Upoll completion of construction and notice. of
3 completion of same, City shall pay to District its percentage of the
4 cost heretofore set forth in Paragraph 4.
5 6. Froi, and after the completion of said construction, the
6 maintenance of said culvert shall be the sole responsibility of
7 District.
8 IN WITNESS WHEREOF, the District has caused this Agreement to
9 be executed by the Chairman of its Board of Supervisors and
10 attested by its Clerk, and the City has caused this Agreement to be
11 executed by its Mayor and attested by its Clerk, all on the dates
12 written opposite their si natures.
