CITY OF SANTA ANA, a Charter City and Municipal Corporation duly organized under the Constitution and laws of
the State of California.,(hereinafter referred to as"Grantor"),hereby grants to SOUTHERN CALIFORNIA EDISON COMPANY,
a corporation, its successors and assigns (hereinafter referred to as "Grantee"), an easement and right of way to construct, use,
maintain, operate, alter, add to, repair, replace, reconstruct, inspect and remove at any time and from time to time overhead and
underground electrical supply systems and internal communication systems for SCE's sole use (hereinafter referred to as
"systems"), consisting of poles, guys and anchors, crossarms, wires, underground conduits, cables, vaults, manholes, hndholes,
and including above-ground enclosures, markers and concrete pads and other appurtenant fixtures and equipment necessary or
useful for distributing electrical energy and for transmitting intelligence by electrical means, solely for the purpose of providing
electrical power to vehicle charging stations, in, on, over, under, across and along that certain real property in the City of Santa
Ana,County of Orange, State of California,described as follows:
FOR LEGAL DESCRIPTION AND SKETCH TO ACCOMPANY LEGAL DESCRIPTION, SEE EXHIBITS "A" AND
"B"BOTH ATTACHED HERETO AND MADE A PART HEREOF.
Grantor agrees for itself, its heirs and assigns, not to erect, place or maintain, nor to permit the erection, placement or
maintenance of any building, planter boxes, earth fill or other structures except walls and fences on the hereinbefore described
easement area. The Grantee,and its contractors, agents and employees, shall have the right to trim or top such trees and to cut such
roots as may endanger or interfere with said systems and shall have free access to said systems and every,part thereof,at all times,
for the purpose of exercising the rights herein granted; provided, however, that in making any excavation on said property of the
Grantor,the Grantee shall make the same in such a manner as will cause the least injury to the surface of the ground around such
excavation, and shall replace the earth so removed by it and restore the surface of the ground to as near the same condition as it
was prior to such excavation as is practicable.
Upon written request, Grantee shall relocate its facilities installed hereunder to another mutually approved area on
Grantor's property and provided that Grantee has first been given an easement over such new area on terms identical to those set
forth herein. Such relocation shall be at Grantor's sole cost and expense. Upon completion of the relocation, Grantee shall execute
a quitclaim of this easement on terms reasonably acceptable to Grantor and Grantee.

Grantee hereby agrees to defend,indemnify,and hold harmless Grantor from and against any and all claims,liability,and
damages caused by Grantee's activities related to said easement,except to the extent that such claims arise from the negligence or
willful misconduct of Grantor,its employees,agents and contractors.
To the extent Grantor removes the vehicle charging stations, and such removal is not part of a relocation,Grantor may,
upon sixty(60)days written notice,terminate this easement and Grantee shall execute a quitclaim on a mutually acceptable form.
However, except in connection with a termination of that certain Charge Ready Participation agreement affecting Grantor's
property(the "CR Agreement) in accordance with the terms thereof, in no event will the vehicle charging stations be removed for
a period of ten (10) years from "In-Service Date" (as defined in the CR Agreement). Upon termination, Grantee shall have a
limited right to access the property for the purpose of removing its facilities or Grantee may abandon its systems in place. In
addition,upon written request, Grantee will execute a quitclaim of this easement on terms reasonably acceptable to Grantee and
Grantor.

All that real property situated in the City of Santa Ana, County of Orange, State of California,
being a portion of Lot 47 as shown on that certain Tract No. 2752 filed in Book 79 of
Miscellaneous Maps, at Pages 30-31, Orange County Records, and more particularly described
in the following 3 routes:
1. Within a strip of land 6 feet in width, the centerline of which is described as follows:
Commencing at the southwest corner of said Lot 47; said point being in the northerly
right-of-way line of Chestnut Avenue as shown on said Tract Map; thence, along the
west line of said Lot 47, North 00022'06" West a distance of 36.64 feet; thence, leaving
said west line at a right angle, North 89°37'54" East a distance of 31.84 feet to the Point
of Beginning;

AGREEMENT FOR INSTALLATION AND CONVEYANCE OF FACILITIES
This AGREEMENT is made this 6 day of January 2026 by and between
City of Santa Ana _ , hereinafter called "Customer," and
Southern California Edison Company, a corporation, hereinafter called"SCE".
I. SCE has requested Customer to furnish and install at P5422446 the facilities
specified below at a location on said property as designated by SCE.
2, Customer agrees, at Customer's expense, to furnish and install the facilities specified as follows:

3. Customer further agrees that immediately upon completion of said facilities and acceptance by SCE,title
to each and every component thereof shall pass to SCE free and clear of all liens and encumbrances without
further action upon the part of Applicant. Upon such conveyance, SCE agrees to pay to Customer SCE's
estimated-installed cost of the facilities which is agreed to be
4. SCE shall have the right of ingress to and egress from Customer's premises and access to the facilities
for operation and/or maintenance purposes.
