N-2026-111 <br /> 3 j no I ko2i- <br /> MAY <br /> AGREEMENT WITH MAGIC MAKERS ENTERTAINMENT TO PROVIDE <br /> �vp++� PalumureStDi) LIVE MAGIC SHOWS FOR VARIED CITY EVENTS <br /> THIS AGREEMENT is made and entered into on this 7"'day of May,2026 by and between <br /> Magic Makers Entertainment dba Richard the Magician("Performer"), and the City of Santa Ana, <br /> a charter city and municipal corporation organized and existing under the Constitution and laws of <br /> the State of California("City"). <br /> RECITALS <br /> A. The City desires to retain a Performer having special skill and knowledge in the field of <br /> providing live magic shows for varied City events on behalf of the City's Parks,Recreation, <br /> and Community Services Agency. <br /> B. Performer represents that it is able and willing to provide such services to the City. <br /> C. In undertaking the performance of this Agreement, Performer represents that it is <br /> knowledgeable in its field and that any services performed by Performer under this <br /> Agreement will be performed in compliance with such standards as may reasonably be <br /> expected from a professional consulting firm in the field. <br /> i <br /> NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br /> terms and conditions hereinafter set forth, the parties agree as follows: <br /> 1. SCOPE OF SERVICES <br /> a. Performer shall perform the services that are described in Exhibit A, attached hereto <br /> and incorporated by •reference. To schedule services other than those specifically <br /> references in Exhibit A, Performer will provide a quote to City detailing services and <br /> costs for the event,and City will provide a letter agreement to Performer,to be executed <br /> by the Executive Director of Parks, Recreation, and Community Services, or their <br /> designee and Performer. Work by Performer may not proceed without a letter <br /> agreement, signed by the parties,for a scheduled Event. <br /> b. City grants Performer right to enter its property for purpose of delivery, set-up, <br /> operation, and pick-up on the days of scheduled Events. i <br /> c. The equipment shall be disassembled and removed by Performer at the conclusion of <br /> each Event. <br /> d. City shall have the sole discretion as to engagement of Performer for services/events <br /> not detailed in Exhibit A.The City reserve the right to administratively change events, <br /> locations, dates or services for any mutually agreed upon services/events. <br /> Page 1 of 8 <br /> #2185178vl <br />
