A-2026-061 IRK MAY 2 7 2026 FIRST AMENDMENT TO AGREEMENT WITH BERNARDS BROS.,INC FOR CONSTRUCTION MANAGEMENT SERVICES FOR THE STATE BUILDING DEMOLITION THIS FIRST AMENDMENT to the above-referenced agreement is entered into on April 21,2026 by and between Bernards Bros., Inc. ("Consultant") and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California("City"). RECITALS A. The parties entered into Agreement No. A-2024-131, dated August 20, 2024 C Agreement") by which Consultant agreed to provide construction management services for the demolition of the State Building located at 28 Civic Center Plaza. B. The term of the Agreement runs through August 19,2027, and is current and in effect. C. The Agreement utilizes a Construction Manager at-Risk delivery method, whereby Consultant is the single entity to complete plans,publicly bid the project,and oversee the demolition.As part of delivery, the project was divided into two phases. The first phase included pre-demolition planning, environmental analysis and preparation of plans and specifications.The second phase includes specific services related to the implementation of the demolition plans and is further delineated in the supplemental scope of work,attached hereto as Exhibit A-1. D. The parties now wish to amend the Agreement to update the Scope of Work to incorporate tasks required for Phase 2,and also to increase the overall compensation to Consultant under the Agreement to account for the additions to the Scope of Work under Phase 2. E. No other changes are contemplated by this Amendment. The Parties therefore agree: l. Section L,SCOPE OF SERVICES,is amended to add Exhibit A-1,which is attached hereto to this Amendment and incorporated fully into the Agreement. 2. Section 2.a., COMPENSATION, is amended to increase the overall compensation by $923,076. The total amount to be expended under the term of this Agreement, including any extensions exercised by the parties,shall not exceed$1,773,076.This section is also amended to add rates and charges in Exhibit B-1,which is attached hereto to this Amendment and incorporated fully into the Agreement. 3. Except as modified by this First Amendment, all terms and conditions of the Agreement shall remain in full force and effect. [signature page to follow]
