between the CITY OF SANTA ANA, a charter city and municipal corporation existing under the
Constitution and laws of the State of California("City"),and Stanley D.Fear and Denise M.Fear,Trustees
of the Fear Family Living Trust,dated August 27,2008 ("Licensees").
RECITALS
A. Licensees are the owners of that certain real property located at 2144 North Mona Street
("2144 Mona"), described as Lot 182 of Tract No. 1724(APN 001-091-14). This property is bordered to
the west by the parking lot of the River View Golf Course.
B. City owns the land upon which the River View Golf Course parking lot is located.
Beginning in 1964, the City leased the land to River View Golf corporation for the construction and
operation of a public golf course. On November 21, 1966,the City granted Novel B.James,then owner of
2144 Alona, an "easement" to pass over the City's land for ingress and egress to and from the two-car
garage on the property. The "easement" stated that it would terminate upon the termination of the City's
lease with River View Golf for operation of the golf course. River View Golf and its successors operated
the golf course until the end of the lease on April 30,2026. The"easement"has therefore terminated.
C. Licensees continue to maintain a garage at 2144 Alona which is accessible for vehicle
ingress and egress only by crossing over the River View Golf Course parking lot and therefore request a
non-exclusive license to provide continued access to the garage.
D. The proposed portion of area for access to Licensees' garage is depicted in the attached
Exhibit 1(hereinafter"License Area").
E. City has determined that granting a non-exclusive license solely for the purpose of
accessing the garage at 2144 Mona will not interfere with the operations of the golf course.
F. Accordingly, City has agreed to grant a non-exclusive license to use the License Area, on
the terms and conditions set forth in this Agreement.
NOW THEREFORE, for and in consideration of the mutual covenants and agreements herein
contained and for other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged,the parties hereto agree as follows:
1. License. The City hereby grants to Licensees a non-exclusive license for the right to enter
and use the License Area beginning on May 1, 2026, upon the terms and conditions set forth herein
("License"), subject to Licensee's performance of all of its obligations under this Agreement. Licensees
shall have the right to access the License Area via the "Ingress/Egress Limits" depicted in Exhibit 1. This
License shall remain in effect for a period of 15 years and may be extended upon mutual written
agreement of the Parties. The License may be terminated by City upon ninety (90) days written notice.
This Agreement is intended and shall be construed only as a revocable license to use the License Area
and not as a lease or grant of any possessory or other interest.
2. Permitted Use. Licensees are hereby granted non-exclusive right to use the License Area
solely for the purpose of ingress and egress to and from their garage at 2144 Alona. Licensees shall not
park or leave any motorized or non-motorized vehicles within the License Area at any time,with limited
exceptions for accessing and opening gates, loading and unloading, and similar incidental activities.

Licensees shall not place, store, or position any personal property, equipment, materials or other items
within the License Area. Any use of the License Area exceeding the uses discussed herein shall constitute
a material breach of this Agreement.
3. Compliance with Laws. Licensees shall cause all activities under this Agreement and all
activities on the License Area to be performed in compliance with all applicable federal, state, and local
laws,ordinances, and regulations,and permits.
4. Licensee Duties. By execution of this Agreement,Licensees accept full responsibility for
all damages and restoration to the License Area caused by Licensees or their agents pursuant to Licensees
activities stated herein. In the event that Licensees damage any portion of the License Area,Licensee shall
immediately repair the damage at Licensees' sole cost.
5. Fee. As consideration for this Agreement, Licensees shall pay City a one-time initial fee
of$380, due within 30 days of the execution of this Agreement. Licensees shall also pay an annual fee of
$720, subject to annual increases equal to the percentage increase,if any, in the Consumer Price Index for
All Urban Consumers (CPI-U) for the Los Angeles-Long Beach-Anaheim, CA area (1982-84=100), as
published by the Bureau of Labor Statistics (BLS). The first annual fee payment shall be due within 90
days of the execution of this Agreement. Thereafter, City shall provide Licensees with an invoice showing
the annual fee inclusive of any CPI increases.
6. Acknowledgment. Licensees formally acknowledge the current condition of 2144 Alona
is not compliant with legal requirements. Specifically,the lack of access from a public street to the garage
located on 2144 Alona. In the event this License is terminated or expires, Licensees are aware the non-
conforming condition may need to be corrected in order to bring the property into compliance with
applicable law. City has not waived or otherwise allowed for this non-conformance by entering into this
License.
7. AS-IS Condition. City makes no representation or warranty of any kind as to the condition
of the License Area or any other matter relating to Licensee's use of the License Area. Licensee hereby
disclaims and waives any and all objections to the physical and other characteristics and conditions of the
License Area. Licensee acknowledges and agrees that the use of the License Area will be on the basis of
Licensee's own investigation of the condition of the License Area. The License to use the License Area
shall be granted on an "AS-IS," "WITH ALL FAULTS" basis, without representation or warranty
expressed or implied by City, or by operation of law. City expressly disclaims, which Licensee hereby
acknowledges and accepts, any implied warranty of condition or fitness for a particular purpose or use.
Licensee's use of the License Area shall be subject to the License Area being in a usable and safe condition
at the time of Licensee's use and Licensee shall be responsible for determining whether the License Area
is in such condition. In the event the License Area is determined by Licensees to be unsafe or unusable,
Licensees' sole remedy shall be to elect not to use the License Area and discontinue the Agreement. Any
fees paid by Licensees for the ongoing Term shall be fully refunded by City.
8. Insurance. Licensees shall procure and maintain for the duration of the contract insurance
against claims for injuries to persons or damages to property which may arise from or in connection with
use of the License Area.
Coverage shall be at least as broad as:
• Homeowners Insurance: Personal liability coverage with limit no less than $300,000 per
occurrence and medical payment coverage of no less than$1,000 per person.
• Automobile Liability:covering Licensees' vehicles with limit no less than$100,000 per accident
for bodily injury and property damage.

9. Indemnity. Licensees shall indemnify, defend, and hold harmless City, and its respective
agents, representatives, employees, subsidiaries and affiliates ("Covered Parties") from and against any
and all actions, suits, claims, demands,judgments, losses, expenses, or liabilities, injuries and damages to
persons and property, including death, arising out of or related to Licensee's use of the License Area or
Licensees' breach or default in the performance of any of its obligations under this Agreement; provided,
however, that Licensees will not be obligated to indemnify the Covered Parties from any claims arising
solely from the gross negligence or willful misconduct of a Covered Party. If any action or proceeding is
brought against any Covered Party by reason of any such claim,Licensees, upon receipt of written notice
from Covered Party,shall defend the same at Licensees' expense with legal counsel reasonably acceptable
to Covered Party.Payment shall not be a condition precedent to recovery under any indemnification in this
Agreement,and a finding of liability or an obligation to indemnify shall not be a condition precedent to the
duty to defend. The provisions of this Section shall survive the termination or expiration of this Agreement.
10. Miscellaneous.
10.1 Entire Agreement, Waiver and Amendments. This Agreement incorporates all of
the terms and conditions mentioned herein, or incidental hereto, and supersedes all negotiations and
previous agreements between the parties with respect to the subject matter of this Agreement. All waivers
of the provisions of this Agreement must be in writing and signed by the appropriate authorities of the party
to be charged. Any amendment or modification to this Agreement must be in writing and executed by the
appropriate authorities of the City and Licensee.
10.2 Liens. Licensees shall not permit any mechanics, materialman's or other liens of
any kind or nature ("Liens") to be filed or enforced against the License Areas in connection with this
Agreement. Licensees shall indemnify,defend and hold harmless City,its officers,employees and agents,
free from all liability for any and all liens, claims and demands, together with costs of defense and
reasonable attorneys' fees,arising from any Liens.
10.3 Severability. If any term, provision, covenant, or condition of this Agreement is
held by a court of competent jurisdiction to be invalid,void, or unenforceable,the remaining provisions of
the Agreement shall continue in full force and effect,unless and to the extent the rights and obligations of
one or both parties has been materially altered or abridged by such holding.
10.4 No Assignment. Licensee shall not assign or transfer or otherwise convey any
interest in this Agreement to any party without the express prior written consent of City, which consent
may be withheld in City's sole and absolute discretion.
10.5 Applicable Law. This Agreement shall be construed and enforced in accordance
with the internal laws of the State of California.
10.6 Litigation Expenses. If either party to this Agreement commences an action
against the other party to this Agreement arising out of or in connection with this Agreement,the prevailing
party shall be entitled to recover reasonable attorneys' fees, expert witness fees, costs of investigation,and
costs of suit from the losing party.
10.7 Authority. The persons executing this Agreement on behalf of the parties hereto
represent and warrant to the other party that they are duly authorized to execute and deliver this Agreement
on behalf of such party,and by so executing this Agreement,said party is formally bound to the provisions
of this Agreement.

10.8 Notices. Any notices,requests,or approvals given under this Agreement from one
party to another shall be in writing and shall be personally delivered or deposited with the United States
Postal Service for mailing,postage prepaid,by certified mail,return receipt requested,to the addresses of
the other party as stated in this section,and shall be deemed to have been received at the time of personal
delivery or three(3)days after the deposit for mailing. Notices shall be sent to:

10.9 Execution in Counterpart. This Agreement may be executed in several
counterparts, and all so executed shall constitute one agreement binding on both of the parties hereto,
notwithstanding that both parties are not signatories to the original or the same counterpart.
