RECITALS A. The parties entered into Agreement No. N-2025-287, dated December 1, 2025, by which Consultant agreed to provide strategic public relations support to enhance the City's public communications capabilities ("Agreement"). B. The term of the Agreement commenced on December 25, 2025 and runs through June 30, 2026. The not -to -exceed amount stipulated in Section 2 of the Agreement is $49,800. The Agreement is current and in -effect. C. City and Consultant entered into the Agreement to continue an uninterrupted access to services stemming from Agreement #N-2025-173, entered into by the Parties on June 25, 2025. Agreement #N-2025-173 expired on December 24, 2025 and compensation for Agreement #N-2025-173 was set at a not -to -exceed amount of $49,800, D. The Parties, by way of this First Amendment, confirm that the total amount expended under Agreement N-2025-173 did not exceed $15,000. E. The parties now wish to amend the Agreement to decrease the not -to -exceed amount of the Agreement to $ ] 0,000. Once amended, this Agreement, along with Agreement #A-2025-173, will establish that compensation expended with the Consultant did not exceed compensation amount allowable under the City Manager's Authority provided in Santa Ana Municipal Code Section 2-748(a). No other changes are contemplated by this First Amendment. The Parties therefore agree: Section 2, Compensation, is amended to decrease the not -to -exceed expenditure under the Agreement by $39,800. The total amount to be expended during the term of this Agreement shall not exceed $10,000. 2.
