THIS FIRST AMENDMENT TO AGREEMENT is entered into on October 31,
2010, by and between Specialty Environments Co., Inc., a California corporation
("Contractor") and the City of Santa Ana, a charter city and municipal corporation
organized and existing under the Constitution and laws of the State of California ("City").
RECITALS
N
A. The parties entered into that certain Agreement-2010-057, dated July 1, 2010,
(hereinafter "said Agreement") by which Contractor has provided landscape
maintenance services.
B. In accordance with the terms and conditions of said Agreement, the parties wish to
extend the Term of the Agreement and increase the Scope of Work to add additional
services during the extended term.
WHEREFORE, in consideration of the covenants contained in said Agreement, and
subject to all the terms and conditions of said Agreement, except those amended in this
Second Amendment to Agreement, the parties agree as follows:
1. Section 1, SCOPE OF WORK, shall be amended to include the additional services of
tree removal and replacement, as set forth in Exhibit A-1 attached hereto and
incorporated herein. Exhibit A to said Agreement shall integrate the services set fort

on Exhibit A-1.
2. Section 3, TERM, shall be amended to extend the term through February 28, 2011, in
order to complete the additional work set forth above-
3. Except as hereinabove amended, all terms and conditions of said Agreement shall
remain in full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to
Agreement on the date and year first written above.
