THIS AGREEMENT, doted for convenience es of Maech I
febzaexr_, 1994,
is between the CITY OF SANTA ANA, a municipal corporation duly
organized end existing under the laws of the State of California,
hereinafter celled the "City", end the COUNTY OF ORANGE, a subdivision
of the State of California, hereinafter called the "County";
WHERBAS, the City end County have heretofore entered into a Joint
Exercise of Powers Agreement dated Jenuery 11, 1966, which created e
joint powers agency known es the Orange County Civic Center Authority;
end
WHEREAS, pursuant to said Agreement, the County end the City have
each previously conveyed certain reel property to the Orange County
Civic Center Authority, and the Authority has in turn leased said
property back to the County and City, respectively; and
WHEREAS, both parties agree that the real property described in
Exhibits "A" and "B," attached hereto, is no longer needed by the
Civic Center Authority for the purposes of said Agreement, and that
fee simple title to such property should be returned to the City and
the County;
NOW, THEREFORE, the parties hereto agree as follows:
1, The Joint Exercise of Powers Agreement between the CITY OF
SANTA ANA end the COUNTY OF ORANGB, dated January 11, 1966 end
recorded with the Orange County Recorder on August 11, 1966 et Book
DHR.d\01 1
8022, page 339 et seg. of the official Records, along with any
amendments end supplements thereto, ere Aereby further emended by the
deletion therefrom of ell of the reel property described in the
etteched Bzhibits "A" end "B."
2, The Orange County Civic Center Authority shell ezecute a
quitclaim deed to the County conveying ell mf its right, title and
interest in the reel property described in the etteched Bzhibit °A°
and shell ezecute such other documents end instruments es are

reasonably necessary to vest fee simple title of the real property
described in the attached Bzhibit "A" in the County.
3, The Orange County Civic Center Authority shall ezecute a
quitclaim deed to the City conveying ell of its right, title, and
interest in the real property described in the attached Bzhibit "B"
end shall ezecute such other documents end instruments es ere
reasonably necessary to neat fee simple title of the real property
described in the etteched Bxhibit "B" in the City, Notwithstanding
the foregoing, any action by the Civic Center Authority to convey
title to real property upon which the Santa Ana City Nall is situated
will be contingent upon the Cfty, end the Civic Center Authority,
first taking action to insure that provision has been made far payment
of the principal and interest of the outstanding 1912 Refunding
Revenue Bonds issued by the Civic Center Authority, through a
defeasance of the outstanding bonds or similar action,
4. The parties hereby request the Civic Center Commission of
the Orange County Civic Center Authority to set a special meeting at
its earliest convenience for the purpose of effecting the transfer of
the real property described in the attached Exhibits "A" and "B," and
the actions required by this Amendment.

RECOMMENDED ACTION
Direct the City Attorney to prepare, end authorize the Mayor end the Clerk of the
Cowcil to execute, an amendment to the Orange Cowty Civic Center Authority
Joint Ekercise of Powers Agreement with the Cowty of Orange to convey certain
property to the Cowty of Orange end the City of Santa Ana.

Prior to 19fig, the Cowty of Orange end the City of Santa Ana both owned various
parcels of reel property in the Civic Center area, In 1966, the cowty end city
entered into a joint powers agreement that created the Orange County Civic Center
Authority (the "puthority'), aM the Authority became the owner of record of
those parcels, The Authority elmulteneously leased those seas parcels beck to
the cowty end city for one dollar per year, This made the Authority the nominal
owner of the parcels, end the county end city became the Authority's tenants.
Since 1966, several parcels of Authority property have been deeded back to the
city or the cowty far various reasons. The creation of the Authority wea
intended to provide the city and cowty with a financing mechenlea Eor conatruc•
tion of public iaprovements in the Civic Center area. The joint powers agreement
hoe given the Authority the power to sell bonds, and use the bond proceeds to
conetnut public iaproveaenta swh ae City Nell and the County Courthouse, Those
improveaents were then leased to the city end cowty, and the rent peynenta have
been used to pay off the 6ande,
Ae bonds remained outstanding, the Authority hee retained ownership ae security
for the bonds, After the bonded indebtedness ie retired and upon request, the
Authority deeds the property beck to the city or cowty.

tndebtedneae. Ae a result, the cowry bea requested that ell its property be
recomeyed fro the Autbority to the cowry.
On Jero?mry 3, 1994, the Ctty Cowctl adopted a resolution authodttng a
Termination of City Hell Leese Agreement with the Authority. Thts action will
enable the Authortty to retire the appraxtmetely $750,000 in outstanding 1972
flevenue flefunding bonds for City Nell,
Since no other city property within the Civic Center is cuttently bonded, staff
ie recommending that ell city property within the Civic Center be recomeyed to
the city, Approval of the subject amendment by the City Cowcil, Board of
Supervlaora, and Authority will result in the recomeyence of ell Authortty
property to the city end cowry.
There is no fiscal impact associated with this action,
