WHEREAS, on March 31,1999, [hememhers of the Orange County CivicCente<
Commission voted unanimously in a duly noticed and held special meeting to request that
the CifyCbunoil of the Chyandthe Board of Supert'isors oftheCounly amend fheCivic
Center Agreement to peunit the Orange County Civio Center Commission to hold at least

WHEREAS, the City CounGl of ?e City and the Board o[Supervisom of the

NOW, PHEREFORE, the City and County hereby agree as follows:
1. Section C.(I) of the Civic Center Agreement is hereby amended in its enfire[y
as follows:
"(IJ Meetings.
TheCommission shall provide for its regulu, adjourned regular and
spacial meetings; provided, however, that it shall hold at least one mceting
eeah year. TheCommission shall hold such olhu meetings during the
year as shall be delemrinad by the Commisson President or any od?u

RECOMMENDED ACTION
Eirect the City Attorney to prepare and authorize the Mayor and the Clerk
of the City Council to execute an amendment to the Civic Center Authority
Joint Exercise of Powers Agreement.
DISCUSSION
On January 17, 1996 the City of Santa Ana and the County of Orange
approved a Joint Powers Agreement to form the Orange County Civic Center
Authority. The Authority's primary responsibility has been to assist the
City and County in the development and operation of the Santa Ana Civic
Center.
The Authority's governing board is the Orange County Civic Center
Commission, comprised of two members appointed by the County, two members
appointed by the City and the fifth member appointed by the City and
County appointees. As the Authority's work has reduced over the past
several years, the Commission resolved to hold meetings on an ae needed
basis. In a recent audit of the Civic Center Authority's Joint Exercise
of Powers agreemenC, the auditor (Macias, Gini and Company) noted in a
letter to the county that the Civic Center Commission is required to meet
on a quarterly basis. Subsequently, on March 31, 1999, the Commission
voted unanimously to request the City Council and the Board of
Supervisors to approve an amendment revising the number of meetings
required in the Joint Exercise of Powers Agreement. The Commission is
recommending in the amendment a minimum of one meeting per year and other
meetings on an as needed basis.
