Purchase and Sale Agreement of Real Property
and Bilateral Escrow Instructions

THIS IRST AMENDMENT ("First Amendment") is made and entered into as of
?S 201 1 , by and between the CITY. OF SANTA ANA (hereinafter called
"B er" and MORRISETTE FAMILY TRUST (hereinafter called "Seller") and is intended to
modify the terms of that Purchase and Sale Agreement for Acquisition of Real Property and
Bilateral Escrow Instructions (herein called "Agreement") dated November 17, 2009 and
executed by Buyer and Seller (collectively called "Parties").
WHEREAS, the City of Santa Ana acquired a 186 square foot permanent easement and
216 square foot temporary construction easement (Easements), recorded November 30,
2009: and
WHEREAS, the City of Santa Ana paid Eight Thousand Forty-Five Dollars ($8,045.00) for
Easements on December 21 . 2009: and
WHEREAS, the City of Santa Ana now requires an additional 48 square foot permanent
easement and an additional 142 square foot temporary construction easement to
accommodate the installation of the new sidewalk along Grand Avenue, pursuant to the
Americans with Disability's Act (ADA), and as legally described and depicted as Parcel B
& Parcel B-1 in Exhibits A, A-1 and B attached hereto; and
WHEREAS, the City is willing to adjust the compensation paid for said Easements.
Now, therefore, the Parties agree as follows:
Seller agrees to sign new Easements; and
2. The City will pay Seller Two Thousand Four Hundred Eighty-Eight Dollars
($2,488.00) for Easements; and
This Amendment shall amend, modify and supersede, to the extent of any inconsistencies, the
provisions of the Agreement, as amended. Except as expressly affected by this Amendment, the
Agreement shall remain in full force and effect. Any reference to the Agreement shall be
deemed to reference the Agreement as amended by this Amendment.
IN WITNESS WHEREOF, the Parties have executed this Amendment as of the date set forth
above. All signed copies of this Amendment shall be deemed originals.

FOR VALUABLE CONSIDERATION, receipt of which is hereby acknowledged,

Morrisette Family Trust, established June 24, '1998
Does Hereby Grant to THE CITY OF SANTA ANA, a charter city and municipal corporation duly organized under the Constitution and laws
of the State of California, a temporary easement for purposes incidental to construct the proposed improvements to NO SITUS, in, on, over
and across that certain real property in the City of Santa Ana, County of Orange, State of California, as described and depicted as Parcel B-
1 of Temporary Construction Easement Exhibits "A-1" and "B", which are attached hereto by reference and made a part hereof.
This permission is granted subject to the following conditions being fulfilled by City:
(A) Additional construction parameters within the Temporary Construction area will be as follows:
(B) During construction of driveway approaches, access to the business will be maintained at all times. In some cases, construction of one-
half of a driveway approach at a time may be required. At no time, the contractor shall block access to the business during construction.
(C) City shall indemnify the undersigned against and hold the undersigned harmless of any loss of or damage to any property, or injury or
death of any person whomsoever, proximately caused in whole or in part by negligence of City of by any act or omission for which the
City is liable in the exercise of the rights herein granted.
It is understood that the period of use of said easement shall exist for a period of no more than 12 months and shall commence with the first
entry of owner's property by City's contractor. In the event' that actual use extends beyond 12-months, and said use is verified through the
City's/State contractor log, the City shall pay the owner at the rate of $50.42 per month prorated to the actual date said use terminates. This
