??,? (2? THIS SECOND AMENDMENT TO AGREEMENT is entered into on July 1, 201 1, by
C?,r\`?y and between Knightsbridge Architectural Products, Inc. ("Consultant") and the City of Santa Ana
?? A h ? ? ? ("City„).
RECITALS:
A. The parties entered into that certain Agreement N-2009-075, dated July 1, 2009, (hereinafter
"said Agreement") by which Consultant has provided signage design, manufacture,
refurbishment, installation and repair services.
B. In accordance with the terms and conditions of said Agreement, the parties wish to amend the
fee schedule, add compensation and extend the term of said agreement.
WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all
the terms and conditions of said Agreement, except those amended in this Second Amendment to
Agreement, the parties agree as follows:
1 . Section 1, SCOPE OF SERVICES, shall be amended by replacing the pricing list attached to
said Agreement as Exhibit A, with a new Standard Pricing schedule, attached hereto as
Exhibit "A-1 ", and incorporated by this reference.
2. Section 2, COMPENSATION, shall be amended to add $25,000 to pay for services provided
during the 201 1 -2012 fiscal year.
3. Section 3, TERM, shall be extended for an additional one year period, through June 30, 2012.
4. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in
full force and effect.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to Agreement
on the date and year first written above.

I. The City of Santa Ana, 20 Civic Center Plaza, Santa Ana, California 92701; its
officers, employees, agents, volunteers and representatives are named as additional insureds
("additional insureds") with. regard. to liability and defense of suits arising from the operations
and uses performed by or on behalf of the named insured-
?. With respect to claims arising out of the operations and uses performed by or on
behalf of the named insured, such insurance as is afforded by this policy is primary and is not
additional to or contributing with any other insurance carved by or for the benefit of the
additional insureds-
3. This insurance applies separately to each insured against whom claim is made or
suit is brought except with respect to the company's Limits of liability. The inclusion of any
person or organization as an insured shall not affect any right which such person or organization
would have as a claimant if not so included.
4. With respect to the additional insureds, this insurance shall not be cancelled., or
materially reduced in coverage or limits except after thirty (30) days written notice has been
given to the City of Santa Ana, 20 Civic Center Plaza, Santa Ana, California 93701 .
