VZ THIRD AMENDMENT TO AGREEMENT THIS THIRD AMENDMENT TO AGREEMENT is entered into on December, ? 15 201 1, by and between GEOSPATIAL TECHNOLOGIES, 1NC_, (hereinafter v, "Consultant"), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). RECITALS: A. City and Consultant entered into Agreement #A-2008-332, dated December 16, V1 2008, (hereinafter "said Agreement") by which City purchased from Consultant hardware and software to provide automatic vehicle locator (AVL) services and mobile mapping services for the Santa Ana Police Department. B. City and Consultant entered into a First Amendment to Consultant Agreement No. A-2010-014, dated February 1, 2010, amending the Scope and Compensation, to purchase additional hazdwaze to equip additional vehicles with the AVL system. C. City and Consultant entered into a Second Amendment to Consultant Agreement No. A-2010-241, dated December 16, 2010, amending the Scope, Compensation, Term to extend the system testing and maintenance services for an additional one- year period through December 15, 201 1 and increase compensation to pay for services provided during the extended term. D. In accordance with the terms and conditions of said Agreement, the Parties desire to amend the scope, amend the compensation, and extend the term of said Agreement for an additional one-year period. NOW, THEREFORE, in consideration of the mutual and respective promises, and subject to' all the terms and conditions of said Agreement, except as herein modified, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended to system testing and maintenance services as set forth in Exhibit A to this Third Amendment to Agreement. 2. Section 2, COMPENSATION, shall be amended to increase compensation to an amount not to exceed $20,898.00 to pay for the services set forth in Exhibit A to this Third Amendment to Agreement during the extended term. A-2011-261 3. Section 3, TERM, shall be amended to extend the term of said Agreement for an additional one-year period through December 15, 2012. 4. Such insurance shall include coverage for owned, hired and non-awned automobiles. c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300 of the Labor Code, Consultant, if Consultant has any employees, is required io be insured against liability€or worker's compensation or to undertake self-insurance. Prior to commencing the per£onnance of the work under-this. Agreement, Consultant agrees to obtain and maintain any employer's Liability insurance with imitsnot icssQhan $1,000,000 per accident. d. The following requirements apply to the insurance to bepsovded by Consultant pursuant to this section: (i) Consultant shall maintain all insurance required above in full force and effect forthe,entire period covered by this Agreement. (ii) Certificatesofinsurance sshall be furnished to the City upon execution of • this Agreement and -1 11 be approved in form by the City Attoniay. (iii) Ceriificates and paIicies shall state that rho policies shall not be canceled or reduced in coverage or changed in any other material aspect without thirty (30) days prior written notice to the City. e. If Consultant fails or refuses to produce or maintain the insurance required by this y section or fails or refuses to fumish the City with required proof that insurance has been procured and is in force and paid for, the City shall have the right, at the City's election, to forthwith terminate this Agreement. Such termination shall not affect Consultant's right to be paid for its time and materials expended prior to notification of termination. Consultant waives the right to receive compensation and agrees to indemnify the City for any work performed prior to approval of insurance by the City. 6. INDEMNIFICATION Consultant agrees to and shall indemnify and hold harmless the City, its officers, agents, employees, consultants, special counsel, and representatives from liability: (1) for personal injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims for personal injury, including health, and claims for property damage, which may arise from the, direct or indirectoperations of the Consultant or its contractors, subcontractors, agents, employees, or other persons acting on their behalf which relates to the services described in section 1 of this Agreement; and (Z) from any claim that personal injury, damages, just compensation, restitution, judicial or equitable relief is due by reason of the 'terms of or effects arising from this Agreement. This indemnity and hold harmless agreement applies to all claims for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to have been suffered, by reason of the events referred to in this Section or by reason of the terms of, or effects, arising from this Agreement. The Consultant further agrees to indemnify, hold harmless, and pay all costs for the defense of the City, including fees and costs for special counsel to be selected by the City, regarding any action by a third party challenging the validity of this Agreement, or asserting that personal injury,' damages, just compensation, restitution, judicial or equitable relief due to personal or property rights arises' by reason of the terms of, or effects arising from this Agreement. City may make all reasonable decisions with respect to its representation in any legal proceeding. 7. CONI?IDLTNTIALI'TY If Consultant receives from the City information which due to the nature of such information is reasonably understood to be confidential and/or proprietary, Consultant agrees that it shall not use or disclosesuch information except in the performance of this Agreement, and further agrees to exercise the same degree of care it uses to protect its own information of 40 like importance, but in no event less than reasonable care. "'Confidential Information" shall include all nonpublic information. Confidential informanon includes not only written information, but also information transferred orally; visually, electronically, or by other means. Confidential information disclosed to either party by any subsidiary and/or agent of.the other party is covered by this Agreement. The foregoing obligations ofnon-use and nondisclosure shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is, through no fault of the Consultant disclosed in a publicly available source; (c), is in rightful possession of the Consultant without an obligation of confidentiality; (d) is required to be disclosed by operation of law; or (e) is independently developed by the Consultant without reference to information disclosed by the City. CONE FI-ICT OF INTEREST CLAUSE Consultant covenants that it presently has no interests and shall not have interests, direct or indirect, which would conflict in any manner with performance of servi ces specified under this Agreement. 9. Tn the event of a conAict'between the teens of this Agreement and any attachments hereto the terms of this Agreement sha11 prevail. This. The patties agree that any terms-or conditions of any purchase order pr other instrument that are inconsistent with, or iri addition to, the teens and conditions hereo€, shall not bind or obligate Consultant or the City. (f) Software Customization and Enhancement: The End User under the software annual maintenance program receives a 20% discount for any softaare customization services. End. User requested enhancements or modifications of GST software are not included in the support plan price. GST agrees to review requests from the Paid User and to provide a quote for the requested enhancement based on time and cost anticipated. (g Excluded Service: The maintenance and support described herein does not include the correction of software failures due to causes beyond the control of GST and occurring without the fault or negligence of GST such, as, but not limited to acts of God, catastrophe, fault, or negligence of the End User, operator error, manipulation of the object or source code (unless approved by GST in writing prior to such manipulation), improper use or misuse of the system or any part thereof. (h) Support of Old Software: Users are required to install all updated software and any bug fixes in a timely wanner, including operating system software. If you fail to keep your system current, GST may no longer support your system. GST will support old releases of a product for two yearsafter new releases become available.
