HomeMy WebLinkAboutCOAST SURVEYING, INC. - 2011AGREEMENT FOR PROVISION OF CONSTRUCTION SURVEYING SERVICES A- 2011 -246 THIS AGREEMENT made and entered into this 7"' day of November, 2011 by and between Coast Surveying, Inc., a California corporation (hereinafter "Contractor "), and the City of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and laws of the State of California (hereinafter "City"). RECITALS A. The City desires to retain a consultant having special skill and knowledge in the field of surveying services. B. Contractor represents that it is able and willing to provide such services to the City. C. In undertaking the performance of this Agreement, Contractor represents that it is knowledgeable in its field and that any services performed by Contractor under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: I. SCOPE OF SERVICES Contractor shall perform construction surveying services for City's Capital Improvement Projects, on an on -call basis, as set forth in City's Request for Proposal dated August 2011, attached hereto as Exhibit A, and Contractor's Proposal, attached hereto as Exhibit B. All Exhibits to this Agreement are incorporated by this reference. COMPENSATION a. City agrees to pay, and Contractor agrees to accept as total payment for its services, the rates and charges identified in Contractor's Fee Schedule, attached hereto as Exhibit C. The total sum to be expended under this Agreement shall not exceed $250,000.00, during the term of this Agreement. b. Payment by City shall be made within thirty (30) days following receipt of proper invoice evidencing work performed, subject to City accounting procedures. Payment need not be made for work which fails to meet the standards of performance set forth in the Recitals which may reasonably be expected by City. 3. INDEPENDENT CONTRACTOR Contractor shall, during the entire term of this Agreement, be construed to be an independent contractor and not an employee of the City. This Agreement is not intended nor shall it be construed to create an employer - employee relationship, a joint venture relationship, or to allow the City to exercise discretion or control over the professional manner in which Contractor performs the services which are the subject matter of this Agreement; however, the services to be provided by Contractor shall be provided in a manner consistent with all applicable standards and regulations governing such services. Contractor shall pay all salaries and wages, employer's social security taxes, unemployment insurance and similar taxes relating to employees and shall be responsible for all applicable withholding taxes. 4. TERM This Agreement shall commence on the date first written above and terminate on expenditure of allocated funds, unless terminated earlier in accordance with Section 13, below. 5. INSURANCE Prior to undertaking performance of work under this Agreement, Contractor shall maintain and shall require its subcontractors, if any, to obtain and maintain insurance as described below: a. Commercial General Liability Insurance. Contractor shall maintain commercial general liability insurance which shall include, but not be limited to protection against claims arising from bodily and personal injury, including death resulting therefrom and damage to property, resulting from any act or occurrence arising out of Contractor's operations in the performance of this Agreement, including, without limitation, acts involving vehicles. The amounts of insurance shall be not less than the following: single limit coverage applying to bodily and personal injury, including death resulting therefrom, and property damage, in the total amount of $1,000,000 per occurrence. Such insurance shall (a) name the City, its officers, employees, agents, volunteers and representatives as additional insured(s); (b) be primary and not contributory with respect to insurance or self - insurance programs maintained by the City; and (c) contain standard separation of insureds provisions. b. Business automobile liability insurance, or equivalent form, with a combined single limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for owned, hired and non -owned automobiles. c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300 of the Labor Code, Contractor, if Contractor has any employees, is required to be insured against liability for worker's compensation or to undertake self - insurance. Prior to commencing the performance of the work under this Agreement, Contractor agrees to obtain and maintain any employer's liability insurance with limits not less than $1,000,000 per accident. d. Professional liability (errors and omissions) insurance, with a combined single limit of not less than $1,000,000 per claim. e. The following requirements apply to the insurance to be provided by Contractor pursuant to this section: (i) Contractor shall maintain all insurance required above in full force and effect for the entire period covered by this Agreement. Certificates of insurance shall be furnished to the City upon execution of this Agreement and shall be approved in form by the City Attorney. Certificates and policies shall state that the policies shall not be canceled or reduced in coverage or changed in any other material aspect without thirty (30) days prior written notice to the City. f. If Contractor fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the City with required proof that insurance has been procured and is in force and paid for, the City shall have the right, at the City's election, to forthwith terminate this Agreement. Such termination shall not effect Contractor's right to be paid for its time and materials expended prior to notification of termination. Contractor waives the right to receive compensation and agrees to indemnify the City for any work performed prior to approval of insurance by the City. 6. INDEMNIFICATION Contractor agrees to and shall indemnify and hold harmless the City, its officers, agents, employees, consultants, special counsel, and representatives from liability: (1) for personal injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims for personal injury, including death, and claims for property damage, which may arise from the Contractor's willful misconduct, its negligent performance or failure to perform any and all things necessary to and required to be done by Contractor or its subcontractors, agents, employees, or other persons acting on their behalf which relates to the services described in section 1 of this Agreement; and (2) from any claim that personal injury, damages, just compensation, restitution, judicial or equitable relief is due by reason of effects arising from this Agreement. This indemnity and hold harmless agreement applies to all claims for damages, just compensation, restitution, judicial or equitable relief suffered, or alleged to have been suffered, by reason of the events referred to in this Section or by reason of the effects arising from this Agreement. The Contractor further agrees to indemnify, hold harmless, and pay all costs for the defense of the City, including fees and costs for special counsel to be selected by the City, regarding any action by a third party challenging the validity of this Agreement, or asserting that personal injury, damages, just compensation, restitution, judicial or equitable relief due to personal or property rights arises by reason of the effects arising from this Agreement. City may make all reasonable decisions with respect to its representation in any legal proceeding. 7. CONFIDENTIALITY If Contractor receives from the City information which due to the nature of such information is reasonably understood to be confidential and /or proprietary, Contractor agrees that it shall not use or disclose such information except in the performance of this Agreement, and further agrees to exercise the same degree of care it uses to protect its own information of like importance, but in no event less than reasonable care. "Confidential Information" shall include all nonpublic information. Confidential information includes not only written information, but also information transferred orally, visually, electronically, or by other means. Confidential information disclosed to either party by any subsidiary and /or agent of the other party is covered by this Agreement. The foregoing obligations of non -use and nondisclosure shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is, through no fault of the Contractor disclosed in a publicly available source; (c) is in rightful possession of the Contractor without an obligation of confidentiality; (d) is required to be disclosed by operation of law; or (e) is independently developed by the Contractor without reference to information disclosed by the City. 8. CONFLICT OF INTEREST CLAUSE Contractor covenants that it presently has no interests and shall not have interests, direct or indirect, which would conflict in any manner with performance of services specified under this Agreement. 9. NOTICE Any notice, tender, demand, delivery, or other communication pursuant to this Agreement shall be in writing and shall be deemed to be properly given if delivered in person or mailed by first class or certified mail, postage prepaid, or sent by telefacsimile or other telegraphic communication in the manner provided in this Section, to the following persons: To City: Clerk of the City Council City of Santa Ana 20 Civic Center Plaza (M -30) P.O. Thereafter, communication shall be addressed and transmitted to the new address. If sent by mail, communication shall be effective or deemed to have been given three (3) days after it has been deposited in the United States mail, duly registered or certified, with postage prepaid, and addressed as set forth above. If sent by telefacsimile, communication shall be effective or deemed to have been given twenty -four (24) hours after the time set forth on the transmission report issued by the transmitting facsimile machine, addressed as set forth above. For purposes of calculating these time frames, weekends, federal, state, County or City holidays shall be excluded. 10. DELIVERY OF WORK PRODUCT Contractor shall deliver to City any and all work product, including records, papers, drawings, specifications, programs, systems and other materials prepared by Contractor pursuant to this Agreement. Said work product shall be the property of City. Consultant agrees to provide City will any such materials whenever requested to do so. 11. EXCLUSIVITY AND AMENDMENT This Agreement represents the complete and exclusive statement between the City and Contractor, and supersedes any and all other agreements, oral or written, between the parties. In the event of a conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement shall prevail. This Agreement may not be modified except by written instrument signed by the City and by an authorized representative of Contractor. The parties agree that any terms or conditions of any purchase order or other instrument that are inconsistent with, or in addition to, the terms and conditions hereof, shall not bind or obligate either Contractor or the City. Each party to this Agreement acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any patty, or anyone acting on behalf of any party, which are not included herein. 12. ASSIGNMENT Inasmuch as this Agreement is intended to secure the specialized services of Contractor, Contractor may not assign, transfer, delegate, or subcontract any interest herein without the prior written consent of the City and any such assignment, transfer, delegation or subcontract without the City's prior written consent shall be considered null and void. Nothing in this Agreement shall be construed to limit the City's ability to have any of the services which are the subject of this Agreement performed by City personnel or by other consultants retained by City. 13. TERMINATION This Agreement may be terminated by the City upon thirty (30) days written notice of termination. In such event, Contractor shall be entitled to receive and the City shall pay Contractor compensation for all services performed by Contractor prior to receipt of such notice of termination, subject to the following conditions: a. As a condition of such payment, the Executive Director may require Contractor to deliver to the City all work product completed as of such date, and in such case such work product shall be the property of the City unless prohibited by law, and Contractor consents to the City's use thereof for such purposes as the City deems appropriate. b. Payment need not be made for work which fails to meet the standard of performance specified in the Recitals of this Agreement. 14. DISCRIMINATION Contractor shall not discriminate because of race, color, creed, religion, sex, marital status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the recruitment, selection, training, utilization, promotion, termination or other employment related activities. Contractor affirms that it is an equal opportunity employer and shall comply with all applicable federal, state and local laws and regulations. 15. JURISDICTION - VENUE This Agreement has been executed and delivered in the State of California and the validity, interpretation, performance, and enforcement of any of the clauses of this Agreement shall be determined and governed by the laws of the State of California. Both parties further agree that Orange County, California, shall be the venue for any action or proceeding that may be brought or arise out of, in connection with or by reason of this Agreement. 16. PROFESSIONAL LICENSES Contractor shall, throughout the term of this Agreement, maintain all necessary licenses, permits, approvals, waivers, and exemptions necessary for the provision of the services hereunder and required by the laws and regulations of the United States, the State of California, the City of Santa Ana and all other governmental agencies. Contractor shall notify the City immediately and in writing of its inability to obtain or maintain such permits, licenses, approvals, waivers, and exemptions. Said inability shall be cause for termination of this Agreement. 17. MISCELLANEOUS PROVISIONS a. Each undersigned represents and warrants that its signature hereinbelow has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shal I indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set forth in the body of this Agreement. GENERAL PROJECT DESCRIPTION The City is soliciting proposals from professional consulting firms to provide engineering surveying services for various construction projects on an as- needed basis. The annual amount for the contract shall not exceed $240,000. The contract shall be for a period of two years, starting from the date the contract is executed by the City, with provision for a one -year renewal. Funds not spent in the year of allocation will be accumulated. The work consists of survey monument preservation and construction staking for local streets, arterial streets, and public properties citywide. The projects may include storm drain or sanitary sewer improvements; sidewalks, curb and gutter replacement; slurry seal of residential streets; construction and overlay of asphalt concrete and /or PCC streets; and other related work as required. The proposal shall be limited to fifteen (15) pages, excluding any appended materials. A cover letter shall summarize key factors and guarantee that key personnel will be committed to perform the required tasks throughout the duration of the contract. II. PROPOSED SCOPE OF SERVICES In general, the Consultant shall perform monument preservation and construction staking for various City projects on an as- needed basis. A California - licensed land surveyor shall be in responsible charge of all survey work performed under the contract. The Consultant's services shall include, but not be limited to, the following: A. Research existing County and City records for survey monuments within the project area. B. Prior to any clearing, removal, or excavation efforts, perform a diligent search for property line monuments, street centerline monuments, and benchmarks within the project area, recording their identities and precise locations in reference to monuments or witness monuments that will not be disturbed during construction. The records of these monuments and references shall conform to Section 8771 of the Business and Professions Code of the State of California. After completion of the construction, any monument disturbed or removed during construction shall be reset, conforming to Section 8771. Each centerline intersection shall be drawn on a single Corner Record showing local tie points and tie distances. The Corner Records shall be drafted in Microstation (version 8 or earlier), and a digital copy of each submitted to the City. C. Provide construction staking for project improvements. Records of the line and grade stakes (cut sheets) shall be on forms provided by the City, and the originals shall become the property of the City upon completion of each survey request. 3 D. Set line and grade stakes in accordance with the plans and specifications. Notify the City immediately of any discrepancies or design errors discovered on the plans during staking or when verifying the line and grade of existing improvements at join points. E. Complete the construction staking within the time frame specified on the Survey Request, or (given minimum notice) commence the staking no later than two working days from the receipt of the request, providing continuous service until the request is complete. F. Furnish all office support, labor, materials, equipment, tools, and incidentals necessary to complete the specified surveys. The costs for these items shall be included in the hourly rates and no additional compensation will be allowed therefore. G. Attend meetings with City's staff as required III. CITY RESPONSIBILITIES The City will provide construction plans and specifications for the projects to be surveyed by the Consultant. The City will provide the survey forms to be used during the course of construction staking. IV. SCHEDULE Proposals are due in the office of Raul Godinez II, Executive Director, Public Works Agency, at 20 Civic Center Plaza M -21, 4th Floor Ross Annex, Santa Ana, before 5:00 p.m. on August 18, 2011. V. ISSUING OFFICE Santa Ana Public Works Agency, Office of the Executive Director, 20 Civic Center Plaza, 4th Floor Ross Annex, Santa Ana, California 92702. VI. PROPOSAL REJECTION The City reserves the right to reject any or all proposals submitted, and is not liable for any pre - contractual expenses: Pre - contractual expenses are defined as expenses incurred by the offeror in: (a) preparing the proposal in response to this RFP; (b) submitting that proposal to the City; (c) negotiating with the City in any matter related to this proposal; (d) any other expenses incurred by offeror prior to date of award, if any, of the contract. Offeror shall not include any such expenses as part of the price as proposed in response to this RFP. 4 VII. ADDENDA Any subsequent changes to the RFP from the date of issuance to the date of submittal will result in an addendum by the issuing office to those parties who have provided the proper notice of interest in responding to the RFP. VIII. PROPOSAL CONTENT AND SIGNATURE Eight (8) copies of the proposal will be required with all copies having been signed by the individual or, if a company, the company official with the power to bind the company in its proposal. To be considered, all proposals shall be completely responsive to the RFP. IX. COST AND PRICE The offeror shall furnish a fee schedule for the proposed service. The offeror shall also complete Attachment "A" (Cost Comparison Form) located at the end of the Request for Proposal and include it with the fee schedule. The fee schedule (3 copies) and Attachment "A" shall be contained in a sealed envelope apart from the proposal, and submitted to the City. The fee schedule shall include the following: A. Hourly rate for each personnel category. B. Any other direct charges, if not included in the hourly rate. Total annual cost for the contract shall not exceed $240,000. Funds not spent in the year of allocation will be accumulated X. ACCEPTANCE OF CONTRACT The contents of the proposal of the successful consultant shall become a contractual obligation if a contract ensues. Failure of a Consultant to accept this obligation will result in the cancellation of any award. Any damage accruing to the City as a result of a failure to contract may be recovered from the consultant. A sample agreement is attached for reference. XI. DISCLOSURE Any information, other than cost and price, which a consultant does not wish to have disclosed, other than for the purpose of evaluation, should have each applicable sheet or part marked "Confidential' — this data shall not be disclosed or duplicated, used or disclosed in whole or in part for any purpose other than to evaluate the response; provided that: the contract is awarded to this offeror, or as a result of or in connection with the submission of such information, the City shall have the right to duplicate, use or disclose this information to the extent provided in this contract. This restriction will not limit the City the right to use information contained herein if it is obtained from another source. 5 XII. XIII. XIV. XV. RULES FOR PROPOSALS The signer of the proposal must declare in writing that the only person, persons, company or parties interested in the proposal as principals, are named therein; that the proposal is made without collusion with any other person, persons, company, or parties submitting a proposal; that it is in all respects fair and in good faith without collusion or fraud, and that the signer of the proposal has full authority to bind the principal proposer. METHOD OF PAYMENT The consultant shall submit a monthly invoice to the City for the service rendered in that month. The invoice shall include a detailed breakdown of the services, project title and limits, personnel categories, the tasks, the hours, and the unit costs or the hourly rates. Monthly payments will be made for work completed, including submission of Corner Records and cut sheets, during the preceding month. REGULATIONS The selected consultant will be expected to comply will all applicable federal, state and local regulations, and contract provisions. The ensuing contract shall contain such contractual provisions and conditions necessary to define a sound and complete agreement. INFORMATION REQUIRED FROM CONSULTANTS Proposals shall be submitted in the format as described below: A. Organization and Credentials Provide a synopsis of the firm's qualifications and past experience. B. Monument Preservation Provide a detailed description of your procedure for recovery and perpetuation of survey monuments endangered by the proposed construction, including preparation and submittal of the necessary records. C. Construction Staking Approach Provide a description of each task in your construction staking approach from the receipt of the survey request to the submission of the staking records, including the personnel categories assigned to each of your specified tasks. D. Staffing The consultant shall identify their Project Manager as well as other key personnel to be assigned to the project, their qualifications, education, representative experience, and their capability to explore and resolve problems. XVI. SELECTION PROCEDURE All proposals will be evaluated by an evaluation committee. The rating of the consultants shall be based on the professional qualifications necessary for a satisfactory completion of the project. Only the fee envelopes of the firms on the short list will be opened. The City reserves the right to negotiate with the qualified consultant on the proposed fees prior to award of the agreement. The successful proposer shall be expected to execute an agreement based on the format shown in Appendix B. XVII. THE CITY'S AFFIRMATIVE ACTION PROGRAM The attached "Certification of Non - Discrimination by Contractors" shall be completed by each submitting firm and included in the proposal (Attachment "Bn` XVIII. CERTIFICATION OF NON - DISCRIMINATION BY CONSULTANTS As suppliers of goods or services to the City of Santa Ana, the firm submitting a proposal shall certify by completing the Certification of Non - Discrimination, attached as Appendix A, that it does not discriminate in its employment with regard to race, color, religion, sex or national origin, that it is compliant with all federal, state and local directives and executive orders regarding non- discrimination in employment; and that it agrees to demonstrate positively and aggressively the principle of equal opportunity in employment. The proposer must submit the certification with the proposal. A proposal without this certification shall be considered non - responsive and be treated as such. HOLD HARMLESS CLAUSE CONSULTANT agrees to indemnify and hold harmless CITY, and its officers, agents, representatives, volunteers and employees from any and all loss or damage, and from any and all suits, actions and claims filed or brought by any person or persons, however caused, arising out of CONSULTANT'S negligent performance or failure to perform, any and all things necessary to and required to be done by CONSULTANT, pursuant to the specifications in the Agreement. 9. INSURANCE 15 With respect to performance of work under this Agreement, CONSULTANT shall maintain and shall require its subcontractors, if any, to maintain insurance as described below: A. Worker's Compensation insurance with statutory limits, any employer's liability insurance with limits not less than $1,000,000 per accident. B. Commercial general liability insurance, or equivalent form, with a combined single limit of not less than $1,000,000 per occurrence. If such insurance contains a general aggregate limit, such limit shall apply separately to each project CONSULTANT performs for CITY. Such insurance shall (a) name CITY, its officers, agents, representatives, volunteers and employees as additional insureds; (b) be primary with respect to insurance or self- insurance programs maintained by the CITY; and (c) contain standard separation of insureds provisions; and (d) give to CITY prompt and timely notice of claim made or suit instituted arising out of CONSULTANT's operations hereunder. C. Business automobile liability insurance, or equivalent form, with a combined single limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for owned, hired and non -owned automobiles. Professional liability (errors and omissions) insurance, with a combined single limit of not less than $1,000,000 per occurrence. CONSULTANT shall (a) furnish properly executed certificates of insurance and additional insured endorsement to the Director prior to commencement of work under this Agreement, which shall clearly evidence all coverages required above and provide that such insurance shall not be materially changed or terminated except on 30 days prior written notice to CITY; (b) maintain such insurance from the time work first commences until completion 16 of the work under this Agreement; and (c) replace such certificates for policies expiring prior to completion of work under this Agreement. The Director may waive or reduce the requirements of this section if and to the extent the Director determines them to be unreasonably burdensome to the CONSULTANT and not necessary for the protection of CITY. 10. TERMINATION OF AGREEMENT This Agreement may be terminated by the Director upon 30 days written notice of termination to CONSULTANT. In such event, CONSULTANT, shall be entitled to receive and CITY shall pay CONSULTANT compensation for all services performed by CONSULTANT for work actually performed to the end of the 30 day period. As a condition of such payment, the Director may require CONSULTANT to deliver to CITY all work products completed as of such dated, and in such case such work product shall be the property of CITY, and CONSULTANT consents to CITY'S use thereof for such purposes as CITY deems appropriate. 11. MISCELLANEOUS PROVISIONS A. By signing this Agreement, CONSULTANT certifies that it does not discriminate in hiring on the basis of race, color, creed, religion, sex, age, marital status, national origin, ancestry, physical handicap, or medial conditions. B. CONSULTANT shall not assign or transfer any interest in this Agreement, whether by assignment or novation, without the prior written consent of the Director; provided, however, that claims for money due or to become due from CITY under this Agreement may be assigned to a bank, trust company, or other financial institution, or to a trustee in bankruptcy, without such approval. 17 Notice of any such assignment or transfer shall be promptly furnished to the Director. C. CONSULTANT agrees that CONSULTANT is an independent contractor and not an employee of CITY and all CONSULTANT's personnel shall be employees or subcontractors of CONSULTANT and not employees of CITY. CONSULTANT shall pay all salaries and wages, employers social security taxes, unemployment insurance, and similar taxes relating to employees and shall be responsible for all applicable withholding taxes. D. CONSULTANT shall not subcontract any of the services required hereunder without prior written approval of the Director. E. CONSULTANT reserves the right to effect changes in form or name, including but not limited to changes from individual proprietorship, partnership or corporation to any other such form of organization, and likewise reserves the right to add, substitute or delete stockholders, partners, associates, and employees. This Agreement shall continue in effect with regard to CONSULTANT under its new form or name without the necessity of any amendment to this Agreement. The Director shall be promptly notified of any such change in form or name. F. Nothing in this Agreement shall be construed to limit the CITY's ability to have any of the services which are the subject to this Agreement performed by CITY personnel or by other consultants retained by CITY. G. The invalidity in whole or in part of any provision of this Agreement shall not void or affect the validity of any other provision of this Agreement. H. This Agreement shall be governed by and construed in accordance with the laws of the State of California. I. This Agreement supersedes any and all other agreements either oral or in writing between the parties hereto and contains all the covenants and agreements between the parties with respect thereto. Our general approach will be to review the construction plans, specifications and standard plans, compute the locations of all improvements to be staked prior to construction, mark removal limits, stake the locations of items to be constructed on an agreed upon offset (such as: slope staking; rough grade, fine grade, rock grade, and /or finished surface; curb, curb & gutter, and /or edge of pavement; drainage structures; storm drain lines and manholes; water lines; fire hydrants; sewer lines and manholes; utilities; bridge structures; light poles; and signal poles), checking into existing improvements as needed.
