Hadley: <br />N-2012-005 <br />This is in response to the request of the Santa Ana Police Department ("Licensee") For a license to use <br />MTA's trademarked security- slogan "IF You See Something Say Something" ("Intellectual Property") to <br />develop its own anti-terrorism communications campaign fox Licensee's operations ("Licensee's Anti- <br />Terrorism Campaign"). <br />The Intellectual Property is an MTA trademark and may not be used in the context proposed without <br />MTA's pexrxussion. Provided Licensee completes the blanks at the end of this letter, signs this <br />agreement at its end, and returns the signed agreement to me by no later than February 28, 2012, the <br />MTA is pleased to grant Licensee anon-exclusive license to use the Intellectual Property as requested, <br />in accordance with the following terms and conditions: <br />1. Authorized Use <br />A_ The use is limited to all non-commercial uses of the Intellectual Property in any media by Licensee <br />in Licensee's Anti-Terrorism Campaign. No other purpose or advertising campaign (such as safety or <br />anti-theft messages) is authorized. <br />B. Any authorized use pursuant to A must consist of the use of the Intellectual Property in its entirety. <br />At no time may the line °If you see something, say something." be shortened ox revised to <br />accommodate the space or time limitations imposed by media or proposed use, unless such permission <br />is granted in writing by the MTA. <br />2. Term: The initial term expires December 31, 2013. After that date, the license shall automatically <br />renew on a month-to-month basis until such time as either party shall terminate the license. Either <br />party may terminate this license, by MTA upon six months prior written notice, by Licensee upon such <br />notice as Licensee may give. <br />3. Any use of the Intellectual Property shall include the Following ox similar credit: "If You See <br />Something Say SomethingTM Metropolitan Transportation Authority (NY).
