Hadley: N-2012-005 This is in response to the request of the Santa Ana Police Department ("Licensee") For a license to use MTA's trademarked security- slogan "IF You See Something Say Something" ("Intellectual Property") to develop its own anti-terrorism communications campaign fox Licensee's operations ("Licensee's Anti- Terrorism Campaign"). The Intellectual Property is an MTA trademark and may not be used in the context proposed without MTA's pexrxussion. Provided Licensee completes the blanks at the end of this letter, signs this agreement at its end, and returns the signed agreement to me by no later than February 28, 2012, the MTA is pleased to grant Licensee anon-exclusive license to use the Intellectual Property as requested, in accordance with the following terms and conditions: 1. Authorized Use A_ The use is limited to all non-commercial uses of the Intellectual Property in any media by Licensee in Licensee's Anti-Terrorism Campaign. No other purpose or advertising campaign (such as safety or anti-theft messages) is authorized. B. Any authorized use pursuant to A must consist of the use of the Intellectual Property in its entirety. At no time may the line °If you see something, say something." be shortened ox revised to accommodate the space or time limitations imposed by media or proposed use, unless such permission is granted in writing by the MTA. 2. Term: The initial term expires December 31, 2013. After that date, the license shall automatically renew on a month-to-month basis until such time as either party shall terminate the license. Either party may terminate this license, by MTA upon six months prior written notice, by Licensee upon such notice as Licensee may give. 3. Any use of the Intellectual Property shall include the Following ox similar credit: "If You See Something Say SomethingTM Metropolitan Transportation Authority (NY). Used with permission." This license does not include the use of the Intellectual Property for commercial purposes or its use by any other government or governmental agency, except with MTA's prior written approval. Please contact the undersigned for such approval. 5. License fee: The license fee is waived. 6. Licensee grants to MTA and MTA's operating agencies permission to use and modify any components of Licensee's Anti-Terrorism Campaign in MTA's comparable campaign, provided appropriate credit is given to Licensee. 7. This license is non-exclusive. Licensee's rights under it may not be assigned, sublicensed or otherwise transferred to another legal entity or person, without MTA's consent. S. Licensee is solely responsible for creating and disseminating Licensee's Anti-Terrorism Campaign, including such campaign's accuracy, suitability For the intended purpose, and compliance with all applicable national, state and local laws. 9. This agreement is governed by the laws of the State of New York, excluding New Yoxk conflict of law rules. Licensee consents to the jurisdiction of the courts of the State of New York with respect to this Agreement. 1 O. The person signing this agreement on behalf of Licensee personally represents and warrants to MTA that he/she is duly authorized to do so.
