TEMPORARY PERSONNEL SERVICES AGREEMENT

THIS AGREEMENT, entered into this 1 day of August, 1999 by and between the
City of Santa Ana, a California charter city and municipal corporation duly organized and existing
under the Constitution and laws of the State of California ("City") and Manpower, ("Contractor").
A. WHEREAS, City desires to employ Contractor to assist the City Attorney in the
provision of paralegal services to the City; and
WHEREFORE, for and in consideration of their respective and mutual covenants and
agreements hereinafter contained, and subject to all the terms and conditions hereof, the parties
hereto do hereby agree as follows:
EMPLOYMENT OF CONTRACTOR.
City hereby agrees to and does employ Contractor, for the compensation hereinafter
specified, to assist the City Attorney of CITY, when and as requested by said City Attorney to do
so. CONTRACTOR accepts said employment and agrees to perform, in timely and efficient
manner.
2. PAYMENT FOR SERVICES RENDERED.
A. FEES
City agrees to compensate Contractor, and Contractor agree to accept from City, as and for
payment in full for all of said services in regard to each such action, compensation at a maximum
rate of $13.50 per hour.
B. MAXIMUM FEES AND COSTS
The parties agree and acknowledge that Contractor Fees and Costs under this Agreement
shall not exceed TEN THOUSAND DOLLARS AND 00 CENTS ($10,000.00).
3. METHOD OF PAYMENT
Contractor shall, within ten (10) days after the first of each calendar month, submit a
statement containing a breakdown of services performed during the preceding month, specifying the
services performed, dates and number of hours, itemization of travel, subsistence and other
expenses related thereto.
4. CONTROL OF LEGAL MATTERS.
Contractor agree that each and every matter or proceeding in which they undertake to assist
the City Attorney, as aforesaid, shall be and remain under, and subject to the control and direction of
said City Attorney at all stages, and that they shall at all times keep the City Attorney informed of
all matters pertaining thereto. Contractor further agree, that if and when their employment
hereunder is terminated by City, as hereinafter specified, they shall return to City Attorney any and
all files then in their possession concerning each and every matter or proceeding in which they
represented the City pursuant to this Agreement.
5. CONTRACTOR INDEPENDENT CONTRACTORS.
It is mutually agreed by and between the parties that, in the performance of their covenants
hereunder, Contractor are and shall be independent contractors, and not officers or employees of
City.
6. TERMINATION.
This Agreement may be terminated by either party upon thirty (15) days written notice to
the other party. Notices shall be deemed given in writing when addressed to the party, deposited in
the United States mail, postage prepaid to addresses below:
