/Terms and Conditions
1.0 Upon execution of this Agreement, Customer will be responsible for providing a list of all vehicles that are to be
enrolled in the monitoring program from Driver s Alert. The list shall include all necessary information such as
location, type, color license number and vehicle number or other information as may be required for
Driver s Alert to monitor and report the incidents.
2.0 Customer agrees to affix the decals to the vehicles exactly in accordance with the matrix of decal number to
vehicle identification.
3.0 Customer agrees to implement the program to include timely documentation of completed action between the
supervisor and driver for each incident report.
4.0 Driver s Alert reserves the right to terminate this. agreement and the program in the event that the Customer fails.
to comply with the terms and conditions herein set forth or any other reasonable requirement upon the Customer to
support the program to include but not be limited to the full and timely payment of invoices rendered.
5.0 Customer agrees that Driver s Alert shall not be liable for any claims or losses resulting to Customer from its
reliance upon any information provided under this Service Agreement by any other party.
6.0 Customer agrees to be solely liable for any claim resulting from the Customer s disclosure of the caller s
information to a driver or any other third party. -
7.0 Customer shall make modifications directly through the interactive web site or shall notify Driver s Alert of any
additions or deletions of vehicles participating in this program within 15 days from such change. The Customer
recognizes that the addition of vehicles will result in the payment of additional costs to Driver s Alert.
8.0 Driver s Alert shall provide invoices prior to the expiration of the period for which payment has previously been
made. Driver s Alert reserves the right to terminate monitoring service without notice for any account that has a past
due balance.
9.0 Customer agrees that the Incident Reports and Management Summaries provided under this Agreement are
copyrighted and proprietary to Driver s Alert, Inc., and further agrees that it will not distribute the reports or
summaries to any third party other than its employees and insurance company, provided the insurance company
has paid for some or all of the cost of the program.

How Driver's Alert Works

1. Every driver is proactively assigned online driver safety training from Driver's Alert Smart Risk '"^
program's library of 53 unlimited use safety training courses, which target high-risk driving
behaviors and practices.
2. Every participating vehicle is assigned a unique decal ID number. That number and atoll-free
number to call are placed on a decal that invites the public to call and report a concern or a
compliment. The decal is applied to the corresponding vehicle.
3. When a call is received, a trained Driver's Alert Call Center Safety Specialist uses our interview
software to accurately capture all details (all calls are answered by a human being -not a
machine -- and 99.4% of calls are answered by a live operator on the first ring). This
standardized criteria is consistent with the criteria law enforcement uses to issue traffic citations
and ensures there is no subjectivity regarding a reported incident and that the same criteria is
consistently applied to all of your drivers all of the time.
4. Every call is digitally recorded, creating a permanent record of the incident.
5. Every call is listened to and verified by a Driver's Alert supervisor for accuracy. Driver's Alert
cross-references data reported versus the data in our system and only sends valid calls, saving
you time and effort following-up on invalid calls.
6. Within minutes of a call being received, a verified Driver Observation Call Report (supervisor and
driver versions), including a .wav file of the original motorist's call, is emailed to the driver's
supervisor.
7. From this report, the manager and driver can listen to the original motorist's call, review the
incident and the City supervisor can assign incident-specific immediate training, or open-up a
previous call report (the report includes a history of all calls received for the driver).
8. The Driver's Report contains the same information with the exception of the caller's name and
phone number, and includes specific countermeasures and suggested actions for the type of
incident reported.
9. The driver uses a link in the report to take the appropriate course, with testing and database
tracking, any time that's convenient anywhere that there's access to the Internet.
10. The City supervisor enters comments on the incident into the Driver's Alert database (i.e.,
driver's comments) and uses our online tools to monitor safety training and identify trends.
Driver's Alert provides more than 20 data and management reports that are fully integrated to
provide at-your-fingertips access to all the data your management needs - from a company-
wide fleet profile of all calls received down to the individual driver level.

Program Proposal
Finance 8e Management Services Agency proposes to implement a fleet risk reduction program
based on at-fault crash prevention and driver safety training. The program called SMART RISK'""
can assist City employees as well as departments by providing intervention tools to correct unsafe
driving practices. Driver's Alert, a Florida-based company that has been a pioneer in the safe
driver observation and safety training industry since 1989, is the program's service provider.
Background
For the four-year period from 2006 through 2009, the City's claims tracking system shows that City
employees were involved in 117 auto accidents and paid out $1,460,818.20 in bodily injury and
property damage claims for an average cost of $12,500 per accident.
These statistics however understate the magnitude of the issue because a claims tracking system,
by definition, excludes auto accidents for which no claims were filed. For instance, Fleet Services
reported 64 auto accidents for 2009 while the claims tracking system reported 29 for the same
period. The true cost of City at-fault crashes therefore may be even higher than the claims data
indicate. Staff believes these accident-related costs can be minimized by implementing a fleet risk
reduction program.
Driver's Alert guarantees a minimum 25% reduction in at-fault crashes in 12 months, or the entire
program is free for the first year. Using actual 2009 data, the program would reduce the number
of accidents by 16 (25% of 64). Based on the average cost of $12,500 per accident, a reduction of
16 accidents would save the City a total of $200,000.
Program Components

• An unlimited-use online library of 53 interactive driver safety training courses ranging in
length from 12 to 60 minutes, in English and in Spanish.

Benefits
• Lowers incidence of fleet accidents, fatalities, injury, and property damage.

• Retrains and retains drivers in lieu of paying a fine or being terminated after an accident.
"Meet and Confer" Requirement
The Executive Director for Personnel Services has determined that this proposal requires City to
meet and confer with labor union representatives of affected employees. City representatives have
met and conferred with labor union representatives, and this requirement has been duly met. A
copy of the side letter from SEIU is attached.
Cost
Driver's Alert guarantees a minimum 25% reduction in at-fault crashes in 12 months, or the entire
program is free for the first year. The annual program cost is $6,000.00 for 250 vehicles at $24.00
per vehicle, plus aone-time Program Setup fee of $100.00, for a total cost of $6,100.00. Driver's
Alert is providing a 25% discount which reduces the service agreement cost to $4,575.00.
Recommendation
Authorize City to enter into a service agreement with Driver's Alert in the amount of $4,575.00.
