? ? THIS FIRST AMENDMENT TO AGREEMENT is entered into on August 1, 2012, by and between
HFBtH Consultants, LLC, a California limited liability company (hereinafter "Consultant") and the City
of Santa Ana, a charter city and municipal corporation organized and existing under the Constitution and
?? laws of the State of California (hereinafter "City").
?^ RECITALS:
l.1. A. The parties entered into that certain Agreement #N-201 1-144, dated November 29, 201 ], (hereinafter
"said Agreement") by which Consultant has provided advice regarding transfers from the Water
Enterprise.
B. Consultant has continued to provide advice. The Parties wish to amend said Agreement to provide
for uninterrupted services until the project is complete and final payment made.
WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the
terms and conditions of said Agreement, except those amended in this First Amendment to Agreement,
the parties agree as follows:
1. Section 3, COMPENSATION, shall be amended to increase compensation by $2,000 to pay for
additional consulting/advice which is required to fully examine and answer staff inquiries regarding
transfers from the Water Enterprise. The total amount to be expended pursuant to this Agreement
shall not exceed $ ] 2,000 during the term of this Agreement.
2. Section 4, TERM, shall be amended to extend the termination date through December 31, 2012, to
allow for completion of the project and for final payment of invoices.
3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force
and effect.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment to Agreement on
the date and year first written above.
