Between Monarch Health Care and
the City of Santa Ana
1. PARTIES: The parties to this Memorandum of Understanding ("MOU") are the
Monarch Healthcare (hereinafter referred to as Monarch) and the City of Santa Ana
by and through the Santa Ana Senior, Center ("City").
2. PURPOSE: The City, in conjunction with Monarch, endeavors to provide health
care and community services to.senior. citizens in Santa Ana, at the Senior Center
located at 424 W. 3rd Street Santa Ana; California 92701.
3. RESPONSIBILITIES:
A) The City of Santa Ana shall perform the following:
1) Reserve the back page for Monarch in each of the six (6) editions of the Santa
Ana Senior Center newsletter.
2) Provide wall space for Monarch health education display.
3) Distribute placemats at congregate meals or other group activities.
4) Recognize Monarch as a major sponsor at four (4) events at no additional
charge. Recognition will be in the newsletter and at an announcement at the
event. Santa Ana Senior Center will offer Monarch the option to be present
and involved in the event.
*May 3: Cinco De Mayo & Salsa Making Contest
*August 23: International Day Celebration
*September 13: Latino Heritage Celebration
*November 22: Thanksgiving & Volunteer Appreciation Day
5) Allow a monthly resource table, staffed by Monarch personnel.
B) Monarch will offer financial and educational support in 2013 as follows:
1) Six health tips for the senior center newsletter. Monarch sends in an
electronic format that is easily added to the newsletter: Publisher, 8 '/2 x 11.
2) Monarch shall maintain the Health Display at the Senior Center with current
and timely information. They will check it monthly, keep contents in order,
and periodically replace inserts with new information.
3) Deliver 1,000 health-related placemats per quarter to the Senior Center.
4) Monarch will participate in four (4) Senior Center events. So as not to
interfere with activities, Monarch and Santa Ana Senior Center will discuss
how they will coordinate and participate in advance of each event.
5) Staff a monthly resource table, one hour per month, with the intent of
providing health resources to Monarch and non-Monarch seniors. Start date to
be jointly determined.
6) Walking Club participation.
7) Monarch shall provide the City with financial assistance in the amount of Five
Thousand Dollars ($5,000.00) to be provided in the first quarter of the year.
4. DURATION: This MOU shall remain in effect for one (1) year from January 1, 2013
through December 31, 2013.
3. CONFIDENTIALITY: If Monarch receives information, which due to the nature of
such information is reasonably understood to be confidential and/or proprietary, such
information shall not be used or disclosed except in the performance of this
Agreement, and Monarch agrees to exercise the same degree of care it uses to protect
its own information of like importance, but in no event less than reasonable care.
"Confidential Information" shall include all non-public information. Confidential
information includes not only written information, but also information transferred
orally, visually, electronically, or by other means. Confidential information disclosed
to either party by any subsidiary and/or agent of the other party is covered by this
Agreement. The foregoing obligations of non-use and nondisclosure shall not apply
to any information that (a) has been disclosed in publicly available sources; (b) is,
through no fault of Monarch disclosed in a publicly available source; (c) is in rightful
possession of the Monarch without an obligation of confidentiality; (d) is required to
be disclosed by operation of law; or (e) is independently developed by Monarch
without reference to information disclosed by the City of Santa Ana.
6. SEVERABILITY: If any part of this MOU is found to be null and void, or is
otherwise stricken, the rest of this MOU shall remain in force.
7. JURISDICTION: Jurisdiction over any disputes arising under this MOU shall
reside in Orange County, California.
8. HOLD HARMLESS CLAUSE: Each party to this MOU agrees to indemnify and
hold harmless the other parties, their officers, agents, employees, and volunteers from
and against any and all loss or damage, and from any and all suits, actions and claims
filed or brought by any person or persons arising out of acts or omissions of the party
or its officers, agents, employees or volunteers in the performance of this MOU.
9. AUTHORITY AND SIGNATURES: The individuals signing this MOU have the
authority to commit the party they represent to the terms of this MOU, and do so
commit by signing.
IN WITNESS WHEREOF, the parties hereto have executed this Memorandum of
Understanding on the date and year first written above.
