M C?O?NCIL" 9 DATE: 8 2013 FIRST AMENDMENT TO AGREEMENT FOR PROVISION OF ACTUARIAL SERVICES BETWEEN THE CITY OF SANTA ANA AND BUCK CONSULTANTS, LLC 14-2012-076-001 THIS FIRST AMENDMENT, made and dated as of the 74l day of March, 2013, by and between the City of Santa Ana, a charter city and municipal corporation duly organized and existing under the Constitution and laws of the State of California ("City") and Buck Consultants, LLC ("Consultant"). RECITALS A. The City and the Consultant entered into that certain agreement on the I" of June, 2012, entitled "Agreement for Provision of Actuarial Services" (Agreement N-2012-076) hereinafter referred to as "said Agreement", for the provision of actuarial studies for the City. B. The parties had agreed to extend said Agreement, however, due to clerical error, no documentation was executed. In order to provide continuous uninterrupted service, the parties hereto are executing this amendment to evidence the parties' agreement to continue as of January 1, 2013, and to increase compensation for the extended term. WHEREFORE, in consideration of the mutual and respective covenants and promises hereinafter contained and made, and subject to all of the terms and conditions of said Agreement as hereby amended, the parties hereto do hereby agree as follows: The "Compensation" (Section 4) is hereby amended to include an additional amount of compensation for the extended services pursuant to this Amendment which shall not exceed Three Thousand Five Hundred Dollars ($3,500). 2. Section 5, "Term", shall be amended to read as follows: "This Agreement shall commence on January 1, 2013 and terminate on June 30, 2013, unless terminated earlier in accordance with Section 14, below. Except as hereinabove amended, all terms and conditions of said Agreement as amended shall remain in full force and effect.
