by 6cR4. THIS AGREEMENT, made and entered into this 23`d day of September, 2013 by and between
the ORANGE COUNTY FIRE AUTHORITY ( "OCFA "), a California joint powers authority, (hereinafter
"OCFA") and the City of Santa Ana, a charter city and municipal corporation organized and existing
under the Constitution and laws of the State of California (hereinafter "City ").
RECITALS
A. City desires to utilize OCFA Paramedics for purposes of providing Advanced Life Support.
OCFA Paramedics will be on -site and ready to respond to medical related incidents related to
training activities for Santa Ana Police Department ( "SAPD ") SWAT training exercises not
more than six (6) times a year, OCFA Division 6 Chief in cooperation with the SAPD Chief
of Police or his designee will coordinate scheduling and determine additional operational
need on a case by case basis; and
B. OCFA is willing to provide OCFA paramedics for Advanced Life Support for mutually
beneficial training experience and to assist the SAPD SWAT team in complying with outside
law enforcement training requirements.
NOW THEREFORE, in consideration of the terms and conditions hereinafter set forth, the parties agree
as follows:
1. SCOPE OF SERVICES
A. OCFA will provide a fully staffed Advanced Life Support Unit staffed with a minimum of
two (2) Paramedics for Santa Ana Police Department SWAT training at various facilities in
Orange County not more than six (6) times a year. OCFA Division 6 Chief or his designee in
cooperation with the Santa Ana Police Department (SAPD) Chief of Police or his designee
will coordinate scheduling and determine additional operational need on a case by case basis.
B. City will provide a quarterly training calendar to OCFA Division 6 Chief outlining the dates
and hours of proposed SWAT training. City acknowledges that use of the paramedics and
paramedic van is subject to availability.
2. COMPENSATION
A. City and OCFA agree that no money exchange is contemplated by this Agreement. Instead,
the Agreement contemplates an exchange of services.
B. If medical services and /or transport to the hospital are necessitated during the training
exercises for City personnel, consistent with OCFA' S Emergency Transportation business
model, if emergency transportation is required, the ambulance company will invoice the
City and reference this Agreement. City agrees to pay all reasonably necessary medical
services and/or transportation costs incurred pursuant to this Agreement.

3. TERM
This Agreement shall commence on the date first written above and continue indefinitely unless
terminated earlier in accordance with Section 11, below.
4. INDEPENDENT CONTRACTOR
City and OCFA agree that, during the entire term of this Agreement, that each entity and their
respective employees, agents, or volunteers shall be construed to be an independent contractor
and not an employee of the other entity. This Agreement is not intended nor shall it be construed
to create an employer - employee relationship, a joint venture relationship, or to allow the City
and/or OCFA to exercise discretion or control over the professional manner in which either entity
performs their respective services which are the subject matter of this Agreement; however, the
services to be provided by each entity under this Agreement shall be provided in a manner
consistent with all applicable standards and regulations governing such services. Each entity shall
pay all salaries and wages, benefits, employer's social security taxes, unemployment insurance and
similar taxes relating to its respective employees and shall be responsible for all applicable
withholding taxes for its employees. Nothing herein shall be construed to alter or limit the
applicability, terms or conditions of any existing written agreements between the parties, including,
without limitation, the Amended Joint Powers Agreement.
5. INSURANCE
Each party represents that it is self - insured for up to at least one (1) million dollars for general
liability (including property damage and bodily injury) as well as worker's compensation claims.
Each party agrees to provide the other with a letter setting forth their respective self - insured
retention and any additional excess insurance coverage prior to the start of services under this
Agreement.
6. CONFIDENTIALITY
If OCFA and/or City receives from each other information which due to the nature of such
information is reasonably understood to be confidential and/or proprietary, the entities agrees that
they shall not use or disclose such information except in the performance of this Agreement, and
farther agrees to exercise the same degree of care it uses to protect their respective information of
like importance, but in no event less than reasonable care. "Confidential Information" shall
include all nonpublic information. Confidential information includes not only written
information, but also information transferred orally, visually, electronically, or by other means.
Confidential information disclosed to either party by any subsidiary and /or agent of the other
party is covered by this Agreement. The foregoing obligations of non -use and nondisclosure
shall not apply to any information that (a) has been disclosed in publicly available sources; (b) is,
through no fault of the disclosing party disclosed in a publicly available source; (c) is in rightful
possession of the disclosing party without an obligation of confidentiality; (d) is required to be
disclosed by operation of law; or (e) is independently developed by the disclosing party without
reference to information disclosed by the other party; (f) is a non - exempt public record under the
California Public Records Act; of (g) has been disclosed with the consent of the other party or the
other party's officer or employee.

CONFLICT OF INTEREST CLAUSE
Except for its role as a provider of emergency services that may render paramedics, vehicles or
equipment unavailable for otherwise scheduled events, OCFA covenants that it presently has no
interests and shall not have interests, direct or indirect, which would conflict in any manner with
performance of services specified under this Agreement.
8. NOTICE
Any notice, tender, demand, delivery, or other communication pursuant to this Agreement shall
be in writing and shall be deemed to be properly given if delivered in person or mailed by first
class or certified mail, postage prepaid, or sent by facsimile in the manner provided in this
Section, to the following persons:

A party may change its address by giving notice in writing to the other party. Thereafter, any
communication shall be addressed and transmitted to the new address. If sent by mail,
communication shall be effective or deemed to have been given three (3) days after it has been
deposited in the United States mail, duly registered or certified, with postage prepaid, and
addressed as set forth above. If sent by facsimile, communication shall be effective or deemed to
have been given twenty -four (24) hours after the time set forth on the transmission report issued
by the transmitting facsimile machine, addressed as set forth above. For purposes of calculating
these time frames, weekends, federal, state, County of Orange and City of Santa Ana holidays
shall be excluded.
9. EXCLUSIVITY AND AMENDMENT
This Agreement represents the complete and exclusive statement between the City and OCFA,
and supersedes any and all other agreements, oral or written, between the parties regarding use of
the Centennial Park Training Facility. Nothing herein shall be construed to alter or limit the
applicability, terms or conditions of any other existing written agreements between the parties
regarding any other matter, including, without limitation, the Amended Joint Powers Agreement. In
the event of a conflict between the terms of this Agreement and any attachments hereto, the terms
of this Agreement shall prevail. This Agreement may not be modified except by written
instrument signed by the City and by an authorized representative of OCFA. The parties agree
that any terms or conditions of any purchase order or other instrument that are inconsistent with,
or in addition to, the terms and conditions hereof, shall not bind or obligate OCFA nor the City.
Each party to this Agreement acknowledges that no representations, inducements, promises or
agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of any
party, which are not embodied herein.
10. ASSIGNMENT
Neither party may assign, transfer, delegate, or subcontract any interest herein without the prior
written consent of the other party and any such assignment, transfer, delegation or subcontract
without the other party's prior written consent shall be considered null and void. .
11. TERMINATION
This Agreement may be terminated by either party upon thirty (30) days written notice of
termination. Sections 2, 4 and 6 of this Agreement shall survive termination.
12. DISCRIMINATION
Each party agrees that it shall not discriminate because of race, color, creed, religion, sex, marital
status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited by
applicable law, in the recruitment, selection, training, utilization, promotion, termination or other

employment related activities. The parties affirm that they are equal opportunity employers and
shall comply with all applicable federal, state and local laws and regulations.
13. JURISDICTION - VENUE
This Agreement has been executed and delivered in the State of California and the validity,
interpretation, performance, and enforcement of any of the clauses of this Agreement shall be
determined and governed by the laws of the State of California. Both parties further agree that
Orange County, California, shall be the venue for any action or proceeding that may be brought
or arise out of, in connection with or by reason of this Agreement.
14. MISCELLANEOUS PROVISIONS
a. Each undersigned represents and warrants that it has the power, authority and right to bind their
respective parties to each of the terms of this Agreement.
b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set forth in the
body of this Agreement.
