RECITALS: A. The parties entered into Agreement A- 2009 -124, dated August 17, 2009, (hereinafter "said Agreement ") by which Consultant has provided maintenance on the citywide traffic signal system and street light system, B. By Amendment A- 2009 -124 -001, dated December 15, 2009, the parties amended the fee schedule applicable to services provided pursuant to said Agreement. C. On October 31, 2011, the City approved the assignment of said Agreement to Aegis ITS, Inc. D. On October 1, 2012, the parties executed a Second Amendment to Agreement (A -2012 -207) by which City exercised its first option to extend the term. E. In accordance with the terms and conditions of said Agreement, the City desires to exercise its and final option to extend the term of said Agreement. -VW M WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Third Amendment to Agreement, the parties agree as follows: 1. Section 2.a., COMPENSATION, shall be amended to increase compensation by $650,000, to pay for services provided during the one -year extension period, at the gates and charges set forth in Exhibit B -1, attached hereto and incorporated by this reference. 2. Section 3, TERM, shall be amended to extend the termination date of said Agreement to August 31, 2014. In order to provide continuous uninterrupted service, all services provided by Consultant since September 1, 2013 shall be included within the Scope of Set-vices of this Agreement. 3. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
