Office of the City Attorney of the City of Santa Ana 20 Civic Center Plaza Santa Ana, California 92701 Re: Excessive Political Contributions, Theft of City Files, Corporate Suspension and Derogatory Statements by Applicant and Ryan Ogulnick Dear Ms. Carvalho: I write in further reply to your email to me dated November 4, 2013. In that email, you requested additional information concerning the unreported gifts Mr. Ogulnick and his affiliates conferred on members of the Santa Ana City Council, as well as undisclosed relationships and/or common ownership by Ryan Ogulnick and/or Rachel Ogulnick in entities. Below and enclosed, please see the information you requested. As you know, the Municipal Code of the City of Santa Ana prohibits City Councilmembers from soliciting or accepting any campaign contribution of $250.00 or more from any person for a 3-month period following the date a final decision is rendered in any proceeding before the council that involves entitlements, if the councilmember knows or should know the person making the contribution had a financial interest in the proceeding. See, Santa Ana, California Code of Ordinances Sec. 2-107. As you may also know, for purposes of Section 2-107 of the Santa Ana Code of Ordinances, "financial interest" has the same meaning as it is defined to have in Title 9 of the California Government Code. Title 9, also known as the Political Reform Act (the"Act"), defines financial interest as follows: A public official has a financial interest in a decision within the meaning of Section 87100 if it is reasonably foreseeable that the decision will have a material financial effect, distinguishable from its effect on the public generally, on the official, a member of his or her immediate family, or on any of the following: [...] (e) Any donor of, or any intermediary or agent for a donor of, a gift or gifts aggregating two hundred fifty dollars ($250) or more in value provided to, received by, or promised to the public official within 12 months prior to the time when the decision is made. The amount of the value of gifts specified by this subdivision shall be adjusted biennially by the commission to equal the same amount determined by the commission pursuant to subdivision (f) of Section 89503. Cal. Gov. Code § 87103 (emphasis added). Re: Excessive Political Contributions, Theft of City Files, Corporate Suspension and Derogatory Statements by Applicant and Ryan Ogulnick November 12, 2013 Page 2 I am therefore writing to you concerning the propriety of certain members of City Council voting on matters that come before them which have a material financial effect. I understand that Section 425 of the City of Santa Ana's Charter requires recusal by a Councilmember from participating in a decision that has a material financial effect on a "recent major campaign contributor." Section 425 of the Santa Ana Code of Ordinances defines "recent major campaign contributor" to be any person who has made campaign contributions of$250.00 or more to a councilmember or to any campaign committee controlled by the councilmember in the twelve month period immediately preceding the matter before the City Council. Id. As you know, the Act defines a person as "an individual, proprietorship, firm, partnership, joint venture, syndicate, business trust, company, corporation, limited liability company, association, committee, and any other organization or group of persons acting in concert." Gov. Code § 82047 (emphasis added). Excessive Contributions to Councilmember Martinez In April 2012, the Santa Ana City Council approved entitlements for the Met at South Coast. In April 2012, Mr. Ogulnick provided for Councilmember Michelle Martinez's benefit a $10,000.00 gift in the form of a gift certificate for the costs of Ms. Martinez's party at Geisha House. True and correct copies of (i) the check for the $10,000.00 gift certificate and (ii) Vineyards Development, Incorporated's spreadsheet attributing the gift to Ms. Martinez are attached hereto as Exhibits A and B, respectively. And on May 3, 2012, Mr. Ogulnick, through Vineyards Development, Inc., made a $10,000.00 contribution to Martinez for Assembly 2012, Protecting Families for Michele, a political action committee ("PAC") controlled by Councilmember Martinez. True and correct copies of(i) the Campaign Finance Report for Martinez for Assembly 2012, Protecting Families for Michele from the California Secretary of State's website and (ii) check for $10,000.00 from Vineyards Development Inc. payable to Councilmember Martinez's PAC are attached hereto as Exhibits C and D, respectively. This was also widely reported in local newspapers. This PAC contribution itself was in violation of Section 2-107, as it was made within 3-months after the Councilmember Martinez and the Santa Ana City Council voted at to approve the second reading for entitlements for the Met at South Coast, and when aggregated together with undisclosed $10,000.00 Geisha House Gift Certificate, is a pointed example of an egregious violation of both the spirit and letter of the Act. Not only is it evident that Councilmember Martinez's vote in favor of the Met at South Coast was reasonably foreseeable to have a material financial effect on Councilmember Martinez that was substantially distinguishable from the effect on the general public, but it is now beyond dispute and a certainty. Councilmember Martinez was certainly required to report the $10,000.00 Geisha House Gift Certificate provided to her by Mr. Ogulnick/Vineyards Development, Inc. pursuant to the See page 2, line 79 for Geisha House entry"Michele Martinez—GEISHA." Re: Excessive Political Contributions, Theft of City Files, Corporate Suspension and Derogatory Statements by Applicant and Ryan Ogulnick November 12, 2013 Page 3 Act, since all potential conflicts of interest must be disclosed without regard to the effect on the public generally. Here, an actual documented conflict exists. Whether the conflict is sufficiently material to require disqualification must then be considered to determine if the elected official may participate in and/or vote on a particular decision that involves the potential conflict. Metropolitan Water Dist. v. Fair Political Practices Corn., 73 Cal. App. 3d 650. See also, Cal. Gov. Code § 87200 (defining the Act to be applicable to inter alia members of city councils). But the issue of materiality of the conflict obviously has not been considered because the actual or potential conflict remains undisclosed, since, on information and belief, Councilmember Martinez did not report the $10,000.00 Geisha House Gift Certificate as income, as such term is defined under the Act. See, Cal. Gov. Code § 87207. Excessive Contributions to Councilmember Reyna In October 2012, Vineyards Development, Inc., The 301 Project, LLC, and Cowboy each made separate contributions of$249.00 to Roman Reyna for City Council 2012 committee. A true and correct copy of Roman Reyna for City Council 2012 Form 460 is attached hereto as Exhibit E. As you may know, Mr. Ogulnick is a principal and shareholder of Vineyards Development Inc. Mr. Ogulnick is also a manager of the 301 Project, LLC, in addition to holding a member interest in 301 Project, LLC through RDR Santa Ana, LLC. See Deposition of Robert H. Bisno Volume IV ("Bisno Dep.") at 578:22-579:5, a true and correct copy of which is attached hereto as Exhibit F.2 Rachel Flanagan Ogulnick is the principal of Cowboy, and registered Cowboy and Cowboy Studios as her d/b/a with the California Secretary of State.3 Moreover, Rachel Flanagan Ogulnick is Mr. Ogulnick's wife and a corporate officer of Vineyards Development, Inc.4 and is also involved in the 301 Project, LLC through RDR Santa Ana,LLC. As you know, because of the common ownership interests in the 301 Project, LLC, Councilmember Reyna should have disclosed the conflict of interest and should have been precluded on voting on the March 4, 2013 Environmental Services Documents for the 301 Project, LLC. See, City Council Minutes, March 4, 2013. While these contributions were a matter of public record, neither Mr. Ogulnick, nor Ms. Ogulnick disclosed the linkage between Vineyards Development, Inc., 301 Project, LLC, and Cowboy. Because these entities are persons acting in concert, their contributions must be aggregated and exceed 2 The other members of RDR Santa Ana,LLC are Rachel Flanagan Ogulnick and David White(hence the initials "RDR"). See D/B/A filing number 041781222,which identifies Cowboy maintaining an address at 1162 N.PoinsettaPlace, the very same address provided by Cowboy with its contribution of$249.00 to Roman Reyna for City Council 2012. 4 Rachel Flanagan Ogulnick is identified as the Chief Financial Officer and Secretary on the Statement of Information for Vineyards Development,Inc.filed with the Secretary of State,a true and correct copy of which is attached hereto as Exhibit 1. Re: Excessive Political Contributions,Theft of City Files, Corporate Suspension and Derogatory Statements by Applicant and Ryan Ogulnick November 12, 2013 Page 4 the limits set forth under Section 425 of the City Charter. See, Gov. Code § 82047. I would like to believe that Councilmember Reyna was unaware of the connections between the aforementioned entities and their relationship to Rachel Ogulnick and Ryan Ogulnick. The fact remains, however, that Councilmember Reyna was required to make reasonable inquiry and full disclosure, and to recuse himself from the March 4, 2013 vote concerning the 301 Project,LLC.5 That did not happen. Excessive Contributions to Councilmember Benavides In October 2012, the 301 Project, LLC made a $45,000.00 contribution to Stand Up for Santa Ana Coalition, a PAC for the benefit of Councilmember David Benavides bid for the position of Mayor of Santa Ana. Cowboy (Rachel Ogulnick's entity) made a contribution of $47,000.00 to Stand Up for Santa Ana Coalition. Even though these contributions were widely reported in the newspapers at the time, there was no disclosure of these contributions by Councilmember Benavides. A true and correct copy of Stand up for Santa Ana Coalition's Form 460 is attached hereto as Exhibit L.6 It is well established that "[t]he whole purpose of the [Political Reform Act] was `to preclude a government official from participating in decisions where it appears he may not be totally objective' (Witt v. Morrow (1977) 70 Cal.App.3d 817, 822-823.) `It is not just actual improprieties which the law seeks to forestall but also the appearance of possible improprieties.' (Id. at p. 823.)" Hamilton v. Town of Los Gatos, 213 Cal. App. 3d 1050, 1058 (Cal. App. 6th Dist. 1989) (emphasis added). In the instant situation involving three City Councilmembers, there is a clear and unambiguous appearance of impropriety. The councilmembers should have certainly disclosed the conflicts of interest at a minimum, and should have also abstained from voting on the March 4, 2013 Environmental Services Documents Application relating to the 301 Project,LLC. This process failure calls into question all of the work done in connection with the entitlements for the 301 Project, LLC, and while it would clearly be prudent for those councilmembers with previously undisclosed conflicts of interest to abstain from voting on the 301 Project, LLC at its second reading, I suspect that there will be a variety of excuses offered. Nevertheless, as you may know, when it is later determined that a violation of the Act has occurred, the entire action may be set aside as void. Cal. Gov. Code § 91003. See, Hamilton v. Town of Los Gatos, supra. Therefore, Counci member Benavides' actions which create a clear and undisclosed appearance of impropriety directly controvert the intent of the Act and must be addressed. Theft of Speaker Card from Planning Commission Meeting As I advised you October 24, 2013, Mr. Ogulnick stole the Speaker Card I submitted in connection with my appearance before the Santa Ana Planning Commission. A true and correct copy of my October 24, 2013 letter is attached hereto as Exhibit M. On November 4, 2013, you advised me in response thereto that as the City Attorney, you would not tolerate actions aimed at silencing a speaker at a public meeting, nor would you stand by idly if you suspected or were presented with evidence that a member of the public stole or otherwise unlawfully obtained possession of a public document from the City's files. A true and correct copy of your November 4, 2013 email is attached hereto as Exhibit N. Later that same day, I responded and advised by email that I would provide you with emails from Mr. Ogulnick, including the email where Mr. Ogulnick attached and proved he was in possession of the stolen Speaker Card, and where Mr. Ogulnick further describes that it was this very missing Speaker Card that he had attached to his October 15, 2013 email, as well as an email where Mr. Ogulnick describes you as a"gossipy women" and members of planning staff as "retarts [sic], true and correct copies of my November 4, 2013 email and the communications I provided to you in person are attached hereto as Exhibits 0, P, Q, and R, respectively. It is clear that the Speaker Card I submitted to Martha Ramirez on October 14, 2013 was stolen from the Planning Commission's files. Although I have submitted a replacement Speaker Card, a true and correct copy of which is attached hereto as Exhibit S, the fact of the matter is that Mr. Ogulnick, and his corporation, Vineyards Development, Inc., who is the applicant for The 301 Project, LLC (the "Applicant"), that I was objecting to, interfered with a public process and removed evidence of my objections because I was voicing concerns about his project. This is wholly inconsistent with our democratic process. Please advise as to what action you, as the City Attorney responsible for investigating such theft of public documents and interference with process,have taken with regard to this theft. The Applicant is a Suspended Corporation Barred by Law from Seeking Approvals Moreover, pursuant to California Revenue and Taxation Code Section 23301, the Applicant for the 301 Project, Vineyards Development, is a suspended corporation and is therefore not permitted to conduct business of any kind in the State of California. See, Business Entity Detail from Secretary of State Website, dated November 12, 2013, a true and correct copy of which is attached hereto as Exhibit T. California Revenue and Taxation Code Section 19719 states that any person who attempts to exercise the powers, rights and privileges of a suspended corporation may be punished "by a fine of not less than $250 and not exceeding $1,000, or by imprisonment not exceeding one year". Obviously, Mr. Ogulnick, Vineyards Development, and Re: Excessive Political Contributions, Theft of City Files, Corporate Suspension and Derogatory Statements by Applicant and Ryan Ogulnick November 12, 2013 Page 6 each of their affiliates' attempts to secure approvals for the 301 Project constitute clear and unequivocal violations of California Revenue and Taxation Code Section 23301 and Mr. Ogulnick and his affiliates are therefore presumably subject to the aforementioned penalties under Section 19719. To the extent the members of City Council and/or Planning Commission have accepted contributions from, advocated for, and/or sought to advance the interests of or convey rights to the Applicant and/or Mr. Ogulnick, they may also be subject to the penalties set forth under Section 19719, especially now that the City of Santa Ana is on notice that the Applicant is a suspended corporation. As such, past and/or present attempts by the Applicant to obtain approvals from the City of Santa Ana are likely voidable and the current application pending before City Council should be discontinued, and then re-submitted and processed in accordance with established City procedures to ensure the City does not continue to wastefully pursue a clearly tainted process with no hope of surviving public scrutiny. Please immediately advise me of what steps you plan to take to address these issues. You must not allow Mr. Ogulnick's bullying tactics or derogatory and defamatory statements in writings to third parties — including his statements that you are "a gossipy woman" or that the members of City Planning Staff are "retarted" [sic), to cow or dissuade you from fully investigating the actions and violations described herein. On a broader level, the City and its Councilmembers should seriously consider whether they will choose to support individuals who see fit to make statements disparaging to women and the mentally handicapped, and what affirmative steps they have taken, or will take, to eradicate the proliferation of such vitriol within the Santa Ma community. On Monday, October 14,2013,I attended the Santa.Ana Planning Commission Hearing to provide my valid objections to agenda item number 4, The 301 Project as proposed by applicant and purported developer Ryan Ogulnick and his associate/partner, Robert Bisno. As required, I completed a Request to Speak Before Planning Commission Card ("Speaker Card"), after which I voiced concerns similar to those advanced by other attendees. When I contacted Planning Commission to ensure they retained my contact information and Speaker Card,Martha Ramirez advised me she had "gone through both files (ZOA/SPR)and did not locate [rny] speaker card." In speaking with Ms.Ramirez, she advised me that someone removed the card from the Planning Commission's files. I have reason to believe the individual(s) who removed my Speaker Card from the City's files was none other than Developer Ogulnick and/or his agents or representatives. If true, this would constitute a deliberate attempt by Developer Ogulnick to circumvent the City's measures for preserving its records inviolate, and an apparently successful effort by Developer Ogulnick to gain access to, and then alter, the City's files so as to erase certain evidence of my valid objections to his proposed project from the public record. Moreover, public records show that Developer Ogulniek and his representatives have been lavishing gifts and unreported benefits to the tune of hundreds of thousands of dollars on members of the Santa Ana City Council. This creates the clear appearance of a quid pro quo between the developer and the City of Santa Ana itself, in which the developer has been granted extraordinary access to the City's files and records in exchange for hundreds of thousands of dollars in payments and gifts,sonic of which have been unreported.
