UM P11 MAPP SUBSCRIPTION AGREEMENT
TIES Agreement, effective as of the start of the Subscription Period, by and between the University of North Texas (hereinafter
"LICENSOR "), a Texas institution of higher education and the Santa Ana Police Department (hereinafter "SUBSCRIBER "), located at 60
Civic Center Plaza, Santa Ana, CA 92702.
WHEREAS, LICENSOR, through its Department of Criminal Justice, has the rights to commercialize MAPP software; and SUBSCRIBER
desires to obtain from LICENSOR, a subscription to use LICENSOR'S software for its own internal use.
NOW, THEREFORE, the parties agree as follows:
Subscription. LICENSOR agrees to provide SUBSCRIBER a Subscription to the Model for the Allocation of Patrol Personnel
(MAPP). The Subscription includes a single non - transferable and non - exclusive license to use MAPP for the Subscription Period.
Use of the MAPP is licensed to SUBSCRIBER solely for SUBSCRIBER's internal use. No rights to sublicense or market the
MAPP are granted. All rights not specifically granted to SUBSCRIBER by this license shall remain with LICENSOR. The
Subscription includes unlimited access to the MAPP during the subscription period and technical assistance on the use of the MAPP
upon request.
2. Subscription Period. The subscription begins on May 12, 2014 and terminates on May 11, 2015.
Subscription Fee. SUBSCRIBER shall pay LICENSOR $4,649.00 for the subscription and additional services specified in Exhibit
"A" of this Agreement. All payment shall be sent to:

4. Miscellaneous.
a. Upon termination of this Agreement, SUBSCRIBER shall immediately terminate use of the MAPP and access to the
MAPP will be deactivated by LICENSOR.
b. SUBSCRIBER may not assign this Agreement without the written consent of LICENSOR.
c. This Agreement shall be governed by the laws of the State of Texas. To the extent that Chapter 2260, Texas Government
Code, is applicable to this Agreement, the dispute resolution process provided for in Chapter 2260 shall be used by the
parties to attempt to resolve any claim for breach of contract against LICENSOR that cannot be resolved in the ordinary
course of business.
d. The Subscription may be renewed upon the mutual and written consent of LICENSOR and SUBSCRIBER. LICENSOR
is under no obligation to offer a Subscription renewal at the same price set forth in Exhibit "A ". LICENSOR shall have
sole discretion to set the Subscription Fee for any renewals.

XX❑ $2,149.00 — Agency has 350 total sworn personnel (including those not assigned to patrol) so cost is $899.00 for up to 100
sworn personnel and then $5.00 for each sworn personnel over 100.
Optional Services
❑ Staffing Report of MAPP Results - $1,500.00
The report will include a description of each variable used in the MAPP calculations, the value for each variable, and the
number of officers that need to be assigned to patrol based on the MAPP results.

XX❑ Strategic Staffing Plan of MAPP Results — $2,500.00
The report includes the information contained in the Staffing Report of MAPP Results along with a 3 -5 year patrol staffing
projection based on modifications to the variables used in the MAPP (e.g., changes in the number of calls for service over
time).
