A, &4 "THIS PROFESSIONAL SERVICES AGREEMENT, made and entered into this I" day
of July, 2014 by and between Pocharte (hereinafter "Producer"), and the City of Santa Ana, a
charter city and municipal corporation organized and existing under the Constitution and laws of
the State of California (hereinafter "City").
RECITALS
A. The City desires to retain a service Producer having special skill and krnowledge in
the field of production of film festivals.
B. Producer represents that Producer is able and willing to provide such services to the
City.
C. In undertaking the performance of this Agreement, Producer represents that it is
knowledgeable in its field and that any services performed by Producer under this
Agreement will be performed in compliance with such standards as may reasonably
be expected.
NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the
terms and conditions hereinafter set forth, the parties agree as follows:
SCOPE OF SERVICES
Producer shall serve as Direetov"PR Services for the 2014 Film Fiesta (herein er
"Fiesta") in Santa Ana, as set forth in Exhibit A, attached hereto and incorporated by reference.
Producer will be responsible for programming, production, publicity, personnel, sponsor
relations, and event management.
2. COMPENSATION
a. Producer shall be solely responsible for all costs associated with the Fiesta. However,
the City will contribute $7,000.00 to Producer to help defray those costs.
b. Payment by City shall be made in two installments with the first payment of $3,500.00
to be paid on or after July 1, 2014 upon completion of all benchmarks as defined in the approved
timeline up to that date. The second payment of $3,500.00 to be paid on October 15, 2014 upon
completion of all benchmarks as defined in the approved timeline up to that date.
c. Producer shall submit an invoice to City ten (10) days prior to each payment due date
detailing the work accomplished and the benchmarks met
3. TERM
This Agreement shall commence on the date set forth above and terminate on December
31, 2014, unless terminated earlier in accordance with Section 12, below.
4. COPYRIGHT COMPLIANCE
Producer will obtain all necessary approvals required to publicly perform the films and
music which will be introduced during the Fiesta events. Producer will defend, indemnify and
save harmless City, its officers, employees, agents and volunteers, against any and all damages
from any and all claims, demands, suits, actions or proceedings of any kind or nature, including
federal copyright laws and/or regulations, or damages resulting from or arising out of the acts of
omissions of Producer, her subcontractors, employees, agents or volunteers.
5. INDEPENDENT CONTRACTOR
Producer shall, during the entire term of this Agreement, be construed to be an
independent contractor and not an employee of the City. This Agreement is not intended nor
shall it be construed to create an employer -employee relationship, a joint venture relationship, or
to allow the City to exercise discretion or control over the professional manner in which
Producer performs the services which are the subject matter of this Agreement; however, the
services to be provided by Producer shall be provided in a manner consistent with all applicable
standards and regulations governing such services. Producer shall pay all salaries and wages,
employer's social security taxes, unemployment insurance and similar taxes relating to employees
and shall be responsible for all applicable withholding taxes.
6. INSURANCE
Prior to undertaking performance of work under this Agreement, Producer shall maintain
and shall require its subcontractors, if any, to obtain and maintain insurance as described below:
a. Commercial General Liability Insurance. Producer shall maintain commercial general
Liability insurance which shall include, but not be limited to protection against claims arising
from bodily and personal injury, including death resulting therefrom and damage to property,
resulting from any act or occurrence arising out of Producer's operations in the performance of
this Agreement, including, without limitation, acts involving vehicles. The amounts of insurance
shall be not less than the following: single limit coverage applying to bodily and personal injury,
including death resulting therefrom, and property damage, in the total amount of $1,000,000 per
occurrence and in the aggregate. Such insurance shall (a) name the City, its officers, employees,
agents, volunteers and representatives as additional insured(s); (b) be primary and not
contributory with respect to insurance or self-insurance programs maintained by the City; and (c)
contain standard separation of insureds provisions.
b. Worker's Compensation Insurance. In accordance with the provisions of Section
3300 of the Labor Code, Producer, if Producer has any employees, is required to be insured
against liability for worker's compensation or to undertake self-insurance. Prior to commencing
the performance of the work under this Agreement, Producer agrees to obtain and maintain any
employer's liability insurance with limits not less than $1,000,000 per accident.
c. The following requirements apply to the insurance to be provided by Producer
pursuant to this section:
(i) Producer shall maintain all insurance required above in full force and
effect for the entire period covered by this Agreement.
(ii) Certificates of insurance shall be furnished to the City upon execution of
this Agreement and shall be approved in form by the City Attorney.
(iii) Certificates and policies shall state that the policies shall not be canceled
or reduced in coverage or changed in any other material aspect without
thirty (30) days prior written notice to the City.
d. If Producer fails or refuses to produce or maintain the insurance required by this
section or fails or refuses to furnish the City with required proof that insurance has been procured
and is in force and paid for, the City shall have the right, at the City's election, to forthwith
terminate this Agreement. Such termination shall not effect Producer's right to be paid for its
time and materials expended prior to notification of termination. Producer waives the right to
receive compensation and agrees to indemnify the City for any work performed prior to approval
of insurance by the City.
INDEMNIFICATION
Producer agrees to and shall indemnify and hold harmless the City, its officers, agents,
employees, consultants, special counsel, and representatives from liability for personal injury,
damages, just compensation, restitution, judicial or equitable relief arising out of claims for
personal injury, including health, and claims for property damage, which may arise from the
direct or indirect operations of the Producer or its contractors, subcontractors, agents, employees,
or other persons acting on their behalf which relates to the services described in section 1 of this
Agreement. The Producer further agrees to indemnify, hold harmless, and pay all costs for the
defense of the City, including fees and costs for special counsel to be selected by the City,
regarding any action by a third party asserting that personal injury, damages, just compensation,
restitution, judicial or equitable relief due to personal or property rights arises by reason of the
terms of, or effects arising from this Agreement. City may make all reasonable decisions with
respect to its representation in any legal proceeding.
8. CONFLICT OF INTEREST CLAUSE
Producer covenants that it presently has no interests and shall not have interests, direct or
indirect, which would conflict in any manner with performance of services specified under this
Agreement.
9. NOTICE
Any notice, tender, demand, delivery, or other communication pursuant to this
Agreement shall be in writing and shall be deemed to be properly given if delivered in person or
mailed by first class or certified mail, postage prepaid, or sent by facsimile or other telegraphic
communication in the manner provided in this Section, to the following persons:

A party may change its address by giving notice in writing to the other party. If sent by
mail, communication shall be effective or deemed to have been given three (3) days after it has
been deposited in the United States mail, duly registered or certified, with postage prepaid, and
addressed as set forth above. If sent by telefacsimile, communication shall be effective or
deemed to have been given twenty-four (24) hours after the time set forth on the transmission
report issued by the transmitting facsimile machine, addressed as set forth above. For purposes
of calculating these time frames, weekends, federal, state, County or City holidays shall be
excluded.
10. EXCLUSIVITY AND AMENDMENT
This Agreement represents the complete and exclusive statement between the City and
Producer, and supersedes any and all other agreements, oral or written, between the parties. In
the event of a conflict between the terms of this Agreement and any attachments hereto, the
terms of this Agreement shall prevail. This Agreement may not be modified except by written
instrument signed by the City and by an authorized representative of Producer. The parties agree
that any terms or conditions of any purchase order or other instrument that are inconsistent with,
or in addition to, the terns and conditions hereof, shall not bind or obligate Producer nor the
City. Each party to this Agreement acknowledges that no representations, inducements, promises
or agreements, orally or otherwise, have been made by any party, or anyone acting on behalf of
any party, which are not embodied herein.
It. ASSIGNMENT
Inasmuch as this Agreement is intended to secure the specialized services of Producer,
Producer may not assign, transfer, delegate, or subcontract any interest herein without the prior
written consent of the City and any such assignment, transfer, delegation or subcontract without
the City's prior written consent shall be considered null and void.
12. TERMINATION
This Agreement may be terminated by the City upon thirty (30) days written notice of
termination. In such event, Producer shall be entitled to receive and the City shall pay Producer
compensation for all services performed by Producer prior to receipt of such notice of termination.
13. DISCRIMINATION
Producer shall not discriminate because of race, color, creed, religion, sex, marital status,
sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited by
applicable law, in the recruitment, selection, training, utilization, promotion, termination or other
employment related activities. Producer affirms that it is an equal opportunity employer and shall
comply with all applicable federal, state and local laws and regulations.
14. JURISDICTION - VENUE
This Agreement has been executed and delivered in the State of California and the
validity, interpretation, performance, and enforcement of any of the clauses of this Agreement
shall be determined and governed by the laws of the State of California. Both parties further
agree that Orange County, California, shall be the venue for any action or proceeding that may
be brought or arise out of, in connection with or by reason of this Agreement.
15. EXHIBITS
All Exhibits referenced herein and attached hereto shall be incorporated as if fully set
forth in the body of this Agreement.

SCOPE OF SERVICES
2014 Film Fiesta
Producer shall serve as Director for the 2014 Film Festival in Santa Ana, curate and
secure a series of films, negotiate and book screening venues, create/distribute all promotional
materials, manage collaborations with other organizations, contract and manage festival staff,
direct all public relations and outreach efforts and visually document all Film Festival events for
promotional use. Producer shall be responsible for covering all costs necessary to produce the
Film Festival. All services and products must be approved and implemented to the full
satisfaction of the City through its Parks, Recreation, and Community Agency (PRCSA).
Producer shall perform those services as set forth herein (Producer's Proposal of Services
Exhibit "A") attached to the Service Agreement and incorporated by reference. In the event of a
conflict between the terms of this Agreement and any Exhibits or Attachments hereto, the terms
of this Agreement shall prevail.
A. Financial Operations and Management
1) Producer will be responsible for the payment of all costs associated with the
Scope of Services; including the cost of city and non -city services, performers,
all equipment and support personnel, security, set up, clean up, sponsorship
aclrnowledgement, insurance, taxes, fees and any other costs involved in
undertaking the film festival.
2) Develop a final budget and work plan for the Film Festival including all
planning, promotional, set up, operational and wind-up costs and submit to
PRCSA 30 days prior to the first screening for final approval. As changes
occur, submit such changes to PRCSA for approval.
3) Provide cash flow financing for event costs.
4) Procure and pay for all goods and services associated with the Film Festival.
5) Obtain appropriate event insurance coverage.
B. Logistics
1) Ensure that all aspects of the Film Festival are well -coordinated and attended to
prior to, during and immediately following the event, taking into consideration
the dynamics and needs of the downtown merchants and residents.
2) Ensure that all screening representatives and talent are invited in advance and
attend the appropriate screenings and necessary accommodations are provided.
3) Provide a quality experience for event visitors with minimal disruption and
inconvenience to the merchants and residents within the event boundaries.
4) Take into consideration the needs of the downtown merchants and residents in
the logistics planning in order to prevent problems with vendor/merchant
competition and disruption of business, address the needs of downtown
merchants in terms of booth placement, and prevent late night noise and other
disturbances and disruption for downtown residents.
5) Provide directional maps to PRCSA of areas where screenings will be taking
place two weeks prior to the start of the first screening.

6) The layout of each screening, including the placement of booths, stages, etc.,
shall be mutually agreed between City and Producer.
7) Secure adequate staffing and volunteers to ensure effective management of on -
site logistics, including a sufficient number of well -trained staff scheduled
during the Film Festival to handle on -site logistical problems that may arise and
to handle last minute decisions and changes.
8) Attend meetings with PRCSA, its representatives and others as required for
plamzing, implementation, and evaluation of the Film Festival.
9) Coordinate and contract all requirements, which may include sound and lighting
systems; audio and video; staging and technology requirements; tenting;
sponsor signage/recognition; power, site security, etc.
10) Ensure that all sub -contract vendors have the capacity to adequately staff their
areas of responsibility, including on -site supervision.
11) Secure all necessary permits and/or licenses and submit to PRCSA at least two
(2) weeks prior to the start of each screening.
12) Pay for all logistical costs.
C. Artistic/Programming
1) Finalize the Film Festival program, including the development of all screenings,
talent, local entertainment, dates, locations, VIP presentations, sponsor
recognition as described herein and submit to PRCSA at least two (2) weeks
prior to the first screening for final approval.
2) Finalize the list of all confirmed talent, celebrities, and entertainment identified
in Producer's Proposal of Services (Exhibit A) and submit to PRCSA at least
two (2) weeks prior to the first screening for final approval. Submit to PRCSA
any changes as they occur.
3) Provide a series of free screenings that will be include appropriate activities for
families, insightful documentaries, and popular themes for people from different
cultures. The total number of screenings will be determined by City, selected
from the list submitted in Producer's Proposal of Services (Exhibit "A").
4) Develop and incorporate ancillary activities that will complement the screenings
that will engage the community in a positive and productive way.
5) Design and produce a creative brand (look and feel) for the celebration, to be
used in all advertising and promotional materials and submit to PRCSA by July
1, 2014 for final approval. If a theme is considered, City and Producer must
reach mutual agreement as to said theme.
6) Negotiate and contract with all talent and performers, including travel logistics
and technical requirements.
7) Producer agrees not to sell or distribute or allow the sale of or distribution of
any tobacco products during the Film Festival.
8) Ensure permits and insurance requirements are secured by all subcontractors.
9) Arrange for and deliver to PRCSA two weeks prior to the start of the event;
written permissions allowing PRCSA to use photos and/or videos of the
participating artists prior to the Film Festival.
10) Pay for all artistic/programming costs.
D. Event Planning and Management
1) Ensure that all personnel identified and defined in Producer's Proposal of
Services (Exhibit A) are available to carry out their assigned duties as defined
and provide adequate supervision of all personnel throughout the event.
2) Ensure effective communication and coordination between multiple sectors of
event planning and management, including City departments, County services,
Fiestas Patrias Festival Promoter and Parade Promoter, event sub -contractors
and vendors to prevent conflicts in scheduling and other potential problems.
3) Develop and submit to PRCSA two weeks prior to the start of the event a plan
for vendor oversight and steps to be taken to ensure compliance by vendors of
rules and regulations, including vendor information meetings or other strategies
that may be utilized.
4) Producer must ensure that vendors do not exhibit or sell inappropriate
merchandise such as sexually explicit items, weapons, etc. and that the
screenings and ancillary activities are appropriate for families with children.
5) Submit to PRCSA two weeks prior to the start of the event a list of confinned
vendors, including contact information and activities to be conducted by each
for final approval.
6) Revise the project timeline submitted in Producer's Proposal of Services
(Exhibit A) to reflect the contract start date, including deadlines specified herein
and submit to PRCSA by July 1, 2014.
7) Manage all aspects of the Film Festival from the point of initial planning to post
event evaluation, report to PRCSA any issues or problems that arise during
planning, and coordinate with PRCSA to mitigate such issues or problems in a
timely manner.
8) Arrange for hospitality and VIP services as may be required and coordinate with
PRCSA to provide such.
9) Ensure that all service vendors and sub -Producers have the capacity to provide
adequate staff for their areas of responsibility, including a sufficient number of
well -trained staff with decision -malting authority during the event to handle on -
site logistical problems that may arise and to supervise on -site workers to
mitigate late night noise and other disturbances.
10) Pay for all event planning and management costs.
E. Revenue and Sponsorship
1) Develop and implement a sponsorship campaign and other revenue generating
endeavors to raise sufficient funds to cover all event costs, including City and
other agency costs.
2) The revenue generation plan may include sponsorships, exhibitor sales, food,
merchandise, booths, concessions and ancillary revenues and must be submitted
to PRCSA 30 day prior to the first screening for final approval.
3) Acknowledge the City of Santa Ana, PRCSA as Title Sponsor in all print and
online promotional materials and make every effort to acknowledge PRCSA's
contribution in media interviews, public service announcements and other
sponsorship recognition opportunities.
4) Update sponsor benefits defined in Producer's Proposal of Services (Exhibit A)
and submit to PRCSA by July 1, 2014 for final approval and ensure that all
sponsor benefits are delivered as promised. All sponsorship agreements must be
approved by PRCSA prior to contracting sponsor benefits relating to the use of
public spaces such as flag poles, barriers, and City facilities. City retains the
right to approve all sponsor material which identifies the City by name, logo or
City seal.
5) Submit to PRCSA 30 days prior to the event start date a list of all confirmed
partners and sponsors. Submit changes to PRCSA as they occur.
6) Submit to PRCSA two weeks prior to their use, all sponsorship
acknowledgements including radio and newspaper ads as well as any materials
and announcements.
7) Pay for all sponsorship benefit costs.
F. Marketing and Communications
1) Update the marketing and communications plan and timeline submitted in
Producer's Proposal of Services (Exhibit A) to reflect the contract start date and
submit to PRCSA by July 1, 2014 for final approval.
2) Develop and implement a Customer Relations plan that will provide effective
and relevant communications to merchants, residents and others within the
event boundaries to provide advance notice of event activities and to mitigate
problems that may arise.
3) Develop event marketing materials such as programs, rack cards, posters, print
ads, banners and signage, press releases, and advertising for the event and
submit to PRCSA at least 72 hours prior to their use for final approval. All
promotional materials shall include the City logo.
4) Produce and distribute information and marketing materials as defined in
Producer's Proposal of Services (Exhibit A) and according to approved revised
timeline.
5) Sponsorship by alcohol product companies shall be allowed subject to pre -
approval by City. Absolutely no direct tobacco product advertising shall be
allowed within or associated with the Film Festival. Neither tobacco product
advertising nor alcohol product advertising shall be distributed to minors.
6) Pay for all marketing and promotional costs.
G. Protocol Management
1) Work with PRCSA to identify, invite and support the participation of
government and other community representatives as well as talent, performers,
and VIPs.
2) Submit to PRCSA requests for parade entries according to the timeline
established for the parade.
H. Management and Support
1) Provide timely reporting on financial and event management matters starting
every 4 weeks and increasing in frequency towards the event date, as determined
by PRCSA.
2) Coordinate all inquiries regarding the event and manage the information flow
between PRCSA, volunteers, venue(s) and suppliers.
3) Provide required documentation with a final post -event report to PRCSA,
including financial and budget detail and event recommendations.
I. Security
1) Ensure that effective communications with security personnel is maintained
throughout the events to ensure proper intervention on all security needs, issues,
and problems.
2) Maintain a high level of communication with City of Santa Ana staff on security
issues.
3) Negotiate and contract for crowd management activities (i.e. security, barriers
and area access), working in conjunction with the City of Santa Ana and others.
4) Producer will be responsible for the cost of additional police officers required to
respond to security issues that may result from Film Festival activities.

COMMERCIAL GENERAL LIABILITY POLICY

This endorsement modifies such insurance as is afforded by the provisions of Policy Number: 92-C3-
N778-3 relating to the following:
1. The City of Santa Ana, 20 Civic Center Plaza, Santa Ana, California 92701; its elected and
appointed officials; its officers, employees, agents, volunteers and representatives are names as
additional insured with regard to liability and defense of suits arising from operations and uses
performed by or on behalf of the named insured.
2. With respect to claims arising out of the operations and uses performed by or on behalf of the
names insured, such insurance as is afforded by this policy is primary and is not additional to or
to contributing with any other insurance carried by or for the benefit of the additional insured.
3. This insurance applies separately to each insured against whom claim is or suit is brought except
with respect to the company's limit of liability. This inclusion of any person or organization as
an insured shall not affect any right which is such person or organization would have as claimant
if not so included.
4, With respect to the additional insured, this insurance shall not be cancelled, or materially reduced in
coverage or limits except after thirty (30) written notice has been given to the City of Santa Ana , 20
Civic Center Plaza , Santa Ana, California 9270 1 (Completion of the following, including
countersignature, is required to make this endorsement effective.)
