The following MEMORANDUM OF AGREEMENT ("Agreement") sets forth the responsibilities and agreements between HOUSING OPPORTUNITIES COLLABORATIVE, a California nonprofit public benefit corporation ("HOC") and the City of Santa Ana, a charter city and municipal corporation, by and through its WORK Center as the Virtual Counselor Network° Partner ("VCN Partner") as of the 2d of March, 2015. HOC is a coalition of HUD approved housing counseling, fair housing, credit and debt counseling nonprofits, social service and city agencies, business associations and other related agencies ("Partner Agency") that work together to empower the public especially low -to -moderate income individuals and families, to formulate industry best practices, and create opportunities for Partner Agency to provide counseling services (the "Services"). HOC has been tasked to create, establish and manage the Virtual Counseling Network° ("VCN"), a unique and innovative technology in the non-profit sector that delivers tailored solutions linking non-profit service providers to near -instant service and response to client needs and will allow clients at Partner Agency to connect via the Internet to a Virtual Counselor ("VC") at any other Partner Agency within the HOC who serve as subject experts, VCN will be useful for cross referral when counseling services outside a Partner Agency's scope of service are requested by clients, and clients are served through self-service standalone access points strategically set up at accessible community locations referred to as Virtual Empowerment Centers ("VEC") which can be located at a Partner Agency. The WORK Center, connects the community's job seekers to the resources, skills and opportunities they need to find better jabs and careers. They provide job seekers a single, convenient and no -cost access to a wide range of employment services and resources to help them: find new jobs or change careers; upgrade skills; obtain training; qualify for benefits; and/or obtain career guidance ("VCN Partner Services"). HOC invited VCN Partner to become a Partner Agency, at no cost to VCN Partner tn2d join the VCN, as detailed below in this Agreement. VCN Partner, understands the importance and effectiveness of providing an opportunity for Orange County residents to find appropriate resources, accepted HOC's invitation to become HOC's Partner Agency and join the VCN, as detailed below in this Agreement. The parties agree to the following terms and conditions: AGREEMENT VCN Partner agrees to become a collaborative partner of HOC. 2. HOC is permitted to list VCN Partner as a collaborative partner of HOC on its website, and materials, and other appropriate resources related to HOC. 3. HOC is permitted to use VCN Partner's logo on its website and other appropriate resources related to HOC and VCN. 4. VCN Partner is permitted to use HOC's logo on its website, materials, and other appropriate resources related to VCN. 5. If A VC counselor is employed and located at VCN Partner with a computer workstation or desktop connected to the VCN to provide real-time face-to-face audiovisual counseling services with ability to share documents and computer screens in a secure communication environment at no cost to the VCN Partner. 6. A VEC is a self-service standalone access point strategically set up and equipped with scanning/printing/copying, audio & video capabilities within a secure communication environment at location(s) as determined by VCN Partner and easily accessible by VCN Partner's client(s). 7. VEC(s) connect client(s) through an online centralized location ("HUB"). HOC serves as the HUB where clients are triaged by experienced Triage Counselor(s) ("TC") and connected to the appropriate VC based on client's assessed needs by TC or as determined by VC. 8. Virtual Empowerment Center° (VEC): VCN Partner and HOC agree to the following: a) VCN Partner will provide the following for VEC: Space for the Virtual VCN Partner will provide space (minimum of 4 feet in width by 6 Empowerment Center° feet in depth), preferably in a location that is accessible to clients (VEC) referred by VCN Partner staff, 2. High Speed Internet Connection for the VEC 3. Telephone,for the VEC 4. Power to Connect the Various Hardware for the FEC S. List VCN Partner and VEC Location VCN Partner will provide high speed internet access for VEC located onsite. VCN Partner will provide a telephone line for the VEC located onsite to enable the client to call the VCN Support Center. VCN Partner will provide power to the various hardware located at the VEC. VCN Partner will provide its logo to be listed as partners on the VCN and/or the VEC, including list it as VEC host site. 6. Use VEC Primarily for VCN Partner will do its best to ensure that the VEC is primarily Virtual Counselor used for VCN purposes in order to ensure system and data Network° (VCN) integrity at the VEC. 7. VCN Partner Point Person VCN Partner will designate for each location one (1) or more for VCN person(s) from VCN Partner as the point person with whom VCN Support Staff, on an as required basis, work with them to start or stop VEC, ensure all VEC peripherals are connected properly to the VEC, and assist them to troubleshoot VEC operational issues. 8. VEC Maintenance VCN Partner will provide access to HOC or its agents or designee to access the VEC for its upkeep, update and maintenance. b) HOC will be providing the following for VEC: 1. Setup of Virtual HOC will setup the hardware and software on the VEC which is Empowerment Center° located onsite at VCN Partner identified location. (VEC) 2. Maintenance of VEC HOC will maintain the hardware and software on the VEC which is located onsite at VCN Partner identified location. 3. Training of VCN Partner HOC will provide training to VCN Partner staff about accessing Staff about the Virtual the VCN and the various services provided through the VCN. Counselor Network (VCN) 4. Triage Clients Referred by HOC will provide 1/5th of FTE (Triage Counselor) who is located VCN Partner to the Services at HOC and on real-time basis triages clients referred to the VEC Provided through the VCN by VCN Partner staff to receive the various services provided through VCN. 5. VCN Partner Point Person HOC will use the individual(s) who is designated by VCN Partner for VCN very sparingly and conscientiously to troubleshoot unscheduled VEC issues. 6. VEC Maintenance HOC will inform VCN Partner when and who will be at VCN Partner identified location to upkeep, update and maintenance of VEC. HOC will work with VCN Partner to schedule HOC or its agents or designee to visit VCN Partner identified location to upkeep, update and maintenance of VEC. 7. List VCN Partner and VEC HOC will list VCN Partner as partners on the VCN and/or the Location VEC, including list it as VEC host site and place their logo on the VEC(s). 8. VEC Machines Remote HOC will periodically access the machines located on the VEC Access remotely for maintenance and/or testing. 9. Virtual Counselor (VC): If in future VCN Partner agrees to join its counselor(s) as VC in the VCN, VCN Partner and HOC agree to the following: a) VCN Partner will be providing the following for VC: 1. VCNPartner Identifies VC VCN Partner will identify and provide the names of its counselor(s) to HOC who will join the VCN as VC. 2. Provide counseling services through VCN VCN Partner will provide its counseling services for which its counselor(s) are qualified to provide to clients referred through the VCN on mutually agreed upon days and times. 3. VCNPartner Provided Hardware and Software VCN Partner agrees to make available the following for the VCN Partner's VC: • Hardware o Desktop/Laptop o Keyboard o Mouse o Webeam (either party may provide) o Telephone (existing line) o High -Speed Internet minimum DSL speed • Software o Adobe Acrobat/Reader (Free software download) o MS Office (Word, Excel & PowerPoint) VCN Partner can use existing computer workstations or desktops that are currently used by the designated counselor(s) who will join VCN as VC. VCN Partner will ensure that all of the abovementioned hardware and software are made available at the computer workstations or desktops that used by the designated counselor(s). VCN Partner will provide power to the various hardware located at the VEC. 4. Use HOC Provided VCN Partner will do its best to ensure that the materials and Materials Primarily for information provided by HOC is primarily used for VCN purposes in VCNPurposes order to ensure VCN system and data integrity. VCNPartner Point Person VCN Partner will designate one (1) or more person(s) from VCN .for VCN partner as the point person with whom VCN Support Staff, on an as required basis, work with them to ensure all VC are trained prior to joining the VCN, VCN software are connected properly to the VC computer, and assist them to troubleshoot other VCN operational issues. 7. Maintenance VCN Partner will provide access to HOC or its agents or designee to access the VC computers for VCN related software upkeep, update and maintenance. b) HOC will be providing the following for VC: 1. Train VCNPartner HOC will train the counselor(s) identified by VCN Partner, who Identified Counselor(s) to will join the VCN as VC. be VC 2. Triage and Refer Client(s) HOC will refer client(s) who seek counseling services provided by to VCNPartner's VC(s) VCN Partner through the VCN. The client(s) coming through the through VCN VCN will be referred only if VCN Partner's VC(s) are available on mutually agreed upon days and times to take the referral through 3. HOC Provided Resources the VCN. HOC agrees to provide the following to VCN Partner: • Setup VC(s): o Software Real-time Collaboration Software HOC Instant Messaging Service Data to VC & VCN Partner: o Data (personal demographic data) provided by client to HOC HOC might also provide VCN Partner other additional resources, as deemed fit by HOC, in order to enable VCN Partner and its VC(s) to provide VCN Partner Services, and to make referral through the VCN. 4. List VCNPartner HOC will list VCN Partner as a partner on the VCN. S. VCNPartner Point Person VCN Partner will designate one (1) or more person(s) from VCN for VCN Partner as the point person with whom VCN Support Staff, on an as required basis, work with them to ensure all VC are trained prior to joining the VCN, VCN software are connected properly to the VC computer, and assist them to troubleshoot other VCN operational issues. 6. Maintenance HOC will do VCN related software upkeep, update and maintenance. 7. Troubleshooting VCN HOC will assist VCN Partner's VC(s) to troubleshoot issues that Related Issues might arise when using the software installed on the VC's computer. 10. NON EXCLUSIVITY: Nothing herein is intended nor shall be construed as creating any exclusive Agreement by and between HOC and VCN Partner. This Agreement shall not restrict HOC from acquiring similar, equal, or like goods and/or services from other entities or sources. 12. CONFIDENTIALITY. In the course of performing the services in this Agreement, the parties recognize that they may come in contact or become familiar with information that HOC, or VCN Partner, or their subsidiaries or affiliates may consider confidential. This information includes, but is not limited to, contracts, invoices, partnerships, strategy, counselee/customer information, proprietary information and processes, and intellectual property. The parties agree to keep all such information confidential and not to discuss or divulge the information to anyone during the period and after the tennination of this Agreement. 13. EFFECTIVE DATE. The terms of this Agreement will become effective on the date and year first referenced above. 14. MODIFICATION. This Agreement may be modified upon the mutual written consent of the parties. 15. TERMINATION. HOC and VCN Partner, mutually agree that either party at its sole discretion, may with a 30 -day written notice to the other party, terminate this Agreement. Within ten days of the date of termination of this Agreement, VCN Partner shall return all hardware, software and VCN materials including training materials and manuals provided by HOC to VCN Partner. IN WITNESS WHEREOF, the parties hereto have executed this MEMORANDUM OF AGREEMENT on the day, month, date and year first mentioned above. ATTEST: MARIA D.
