SPACE PLANNING & DESIGN SERVICES AGREEMENT

THIS AGREEMENT, entered into this day of August ,1999 by and between the
City of Santa Ana; a California charter city and municipal corporation duly organized and existing
under the Constitution and laws of the State of California (`City ") and Michael D. Tedesco, M.A.
( "Contractor ").
A. WHEREAS, City desires to employ Contractor to assist the City Attorney in the
provision of space planning and design; and
WHEREFORE, for and in consideration of their respective and mutual covenants and
agreements hereinafter contained, and subject to all the terms and conditions hereof, the parties
hereto do hereby agree as follows:
EMPLOYMENT OF CONTRACTOR.
City hereby agrees to and does employ Contractor, for construction design plans,
construction specifications, and design consulting.
2. PAYMENT FOR SERVICES RENDERED.
A. FEES
City agrees to compensate Contractors, and Contractor agrees to accept from City, as and
for payment in full for all of said services, compensation at the rates as set forth in Exhibit A to this
Agreement, attached hereto and made a part hereof by this reference.
B. REIMBURSEMENT FOR COSTS
City agrees to reimburse Contractor for out -of- pocket expenses authorized by the City
Attorney in connection with the performance of duties under this Agreement as called for in Exhibit
A to this Agreement.
C. MAXIMUM FEES AND COSTS
The parties agree and acknowledge that Contractor Fees and Costs under this Agreement
shall not exceed TEN THOUSAND ($10,000.00).
METHOD OF PAYMENT
Contractor shall, within ten (10) days after the first of each calendar month, submit a
statement containing a breakdown of services performed during the preceding month, specifying the
services performed, dates and number of hours, itemization of travel, subsistence and other
expenses related thereto.
4. CONTRACTOR INDEPENDENT CONTRACTORS.
It is mutually agreed by and between the parties that, in the performance of their covenants
hereunder, Contractor are and shall be independent contractors, and not officers or employees of
City.
5. TERMINATION.
This Agreement may be terminated by either party upon thirty (15) days written notice to
the other party. Notices shall be deemed given in writing when addressed to the party, deposited in
the United States mail, postage prepaid to addresses below:

Hourly Rates
M.D. Consulting will bill at the following rates if and when the client directs work:
Principal Design
$55 per hour
Project Management ( meeting, bidding, construction) $55 per hour
Reimbursable Expenses
The following expenses will be billed at actual cost plus 10 %:
• Diazo / blueprint reproduction costs
• Travel expenses /mileage: hourly rate plus $.40 per mile
• Air travel for project - related research or meetings
• Other expenses directly attributable to the project
