THlI_S AGREEMENT, made and entered into this -1 4'_ day of
1991, by and between the CITY OF SANTA ANA, a
municipal corporation of the State of California ( "City ") and the
SANTA ANA UNIFIED SCHOOL DISTRICT ( "District ")
WITNESSETH
Recitals:
A. The District proposes to retain the services of a struc-
tural engineering firm to perform a structural analysis of the City
water tower located on the site of the District's offices on French
Street in the City of Santa Ana. Such services are necessary in
order to obtain the approval of the Office of the State Architect
for conversion of the site to classroom use.
B. The City, the District and the Co:iumunity Redevelopment
Agency of the City of Santa Ana have entered into an agreement,
dated August 19, 1986, by which the City undertook to provide
financial, assistance to the District for the public purpose of
promoting adequate schools for the school age popuI.ation residing
with the jurisdictions of the Cit% and the District (the "Master
Agreement ").
C. Pursuant to the Master Agreement, the City now 'esires to
provide funds to the District for the District's costs incurred in
obtaining the abovesaid engineering services.
WHEREFORE, in consideration of their mutual and respective
promises, and subject to the terms and conditions hereinafter set

forth and to those set forth in the Master Agreement, the parties
hereto do hereby agree as follows:
1. The City shall pay to the District funds equal to the
amounts the District must pay for the abovesaid engineering
services.
2. The District agrees to use the funds received from the
City pursuant to this Agreement solely for the purpose of paying
its costs incurred for the abovesaid engineering services.
IN WITNESS WHEREOF, the parties hereto have executed this
Agreement the date and year first above written.

Direct the City Attorney to prepare, and authorize the Mayor and the Clerk of
the Council to execute, a Subordinate Agreement between the Santa Ana Unified
School District and the City of Santa Ana regarding structural analysis of the
City water tower on the French Street site (District Office).
DISCUSSION
In 1985, the City Council approved $8 million in Redevelopment Agency funds
to be used to address school classroom shortages. In order to accomplish this
task, the City Council approved a Base Agreement in August 1986 which set
forth objectives for the use of funds.
The District has identified the French Street site, currently the District's
administrative offices, for conversion to a new elementary school. State
School Building Program Phase II approval of this site has been delayed by the
State Department of Education (SDE) due to concerns over the safety of the
City water tower which is on the proposed site. The District is requesting
funds for a structural engineer to assist in securing Office of the State
Architect (OSA) approval of the City water tower. SDE has agreed to approve
the site for educational purposes if OSA certifies the tower's structural
integrity.
The City implemented a seismic retrofit of the tower in 1988. However, this
retrofit was not completed under OSA supervision. Therefore, it will be
necessary for OSA to establish the standards to be used in analyzing the tower
and then to examine the retrofit work, including various drawings and test
results, before it will grant its approval. In a worst -case scenario, OSA may
require various improvements to the tower before certifying its integrity in
an earthquake. It is impossible, at this time, to estimate what the cost to
make such changes could be.

On July 9, 1991, the Santa Ana Unified School District ( SAUSD) approved the
appointment of ASL Consultants, who designed and supervised the tower's
original retrofit and possesses extensive documentation for this project, for
the proposed initial fee of $6,800, to perform the necessary studies to
establish any additional work that may be required on the water tower in order
to meet OSA standards. The District believes it is appropriate to request the
cost of ASL Consultants fees and any expenses involved in physically altering
the tower to meet OSA standards be paid from the $8 million revolving fund.
These costs will not be reimbursable by the State.
The only alternative considered would be to deny the requested funds which
could lead to further delays in State approval or a rejection of the site.
Given the population growth of elementary - school -age children and the
overcrowding which currently exists, this alternative was not considered
viable.
FISCAL IMPACT
The requested funds are available in the City's School Site Acquisition and
Improvement Fund (account no. 053 -501 -931) and the SAUSD State Reimbursement
Fund (Fund 920).
