A RESOLUTION OF THE HOUSING AUTHORITY
OF THE CITY OF SANTA ANA ADOPTING ITS
BY -LAWS
BE IT RESOLVED by the Housing Authority of the City of Santa Ana,
California:
SECTION 1. That the following by-laws (Exhibit A) be and they are
hereby adopted and approved as and for the by-laws of the Housing Authority
of the City of Santa Ana, California:

Section 3. Office of AuthoTity. The office of the Authority shall be
at such plac e III the City of Santa ~na, California, as the Authority rnay fron'1
time to tirne designate by resolution.
ARTICLE II - OFFICERS
Section 1. Officers. The officers of the Authority shall be a Chairlnan,
a Vice Chairman and a Secretary \vho shall be Executive Director.
Section 2. Cha.irnlan. The Chajl'rnan shall preside at all rneetings of
the Authority. EXCCiJt as other\vise authorized by resolution of the Authority,
the Chairrnan shall sign all contracts, deeds and othe r instrun1cnts Dladc by
the Authority. At each meeting the Chairman shall subrnit such recomrnendations
and information as he may consider proper concerning the business, affairs,
and policies of the Authority.
Section 30 Vice Chairman. The Vice Chairrnan shall perform Lhe duties
of the Chairman in the absence or incapacity of the Chairn1an; and in case of the
resignation 0 r death of the Chairman, the Vice Chairmall shall perform such
duties as are in1posecl on the Chairman until such tirne as thc Authority shall
elect a nc\v Chairrnan.
Section 4. S('~ctary~ Trlc Sc;cretary shall be the Executive Director
of the Authority and, as Executive Director, he shall have general supervIsIon
over the adrninistration of its busincss and affairs, subject t.o the direction of the

the Authority.
IJe shall have the care and custody of all funds of the Authority and shall
deposit the sanlC in the nan1e of the Authority in such bank or banks as the
Authority lTlay select. I-Ie shall sign all orders a.nd checks for the p.aYlnent of
rnoney and shall payout and disburse such nloneys under the direction of the
Authority. Except as other\vise authorized by resolution of the Authority, all
such order s and checks shall be countersigned by the Chairlnan. IJe shall
keep regular books of accounts sho\ving receipts and expenditures and shall
render to the Authority, at each regular rneeting (or oftener \vhen requested),
an account of his transactions and also of the financial condition of the
Authority. I-Ie shall give such bond for the faithful performance of his duties
as the Authority may determine.
The compensation of the Secretary shall be determined by the Authority,
provided that a temporary appointee selected from among. the Comnlissioners
of the Authority shall serve without cornpensation (other than the paynlent of
neces sary expens es).
Section 5. Additional Duties. The officers of the Authority shall perform
such other duties and functions as rnay from tirne to tirne be required by the
Authority or the by-Iav./s or rules and regulations of the Autbority.

Section 8. Additional f'>c1'sonneL

The selcction and cornpensation of such pe rsonnel (including the Secretary)

ARTICLE III - MEETINGS
Section 1. Annual Meeting.
The annual rneeting of the Auth~rity s0-all
be held on the first Monday of July at 4:00 o'clock P. M. at the regular meeting
place of the A.uthority. In the event such date shall fall on a legal holiday, the
annual rneeting shall be held on the next succeeding secular day.
Section 2. Regular 1\1eeting.
Regular rneetings shall be held \vithout
notice at such tiITIC and place as rnay frOITI tilYlc to time be determined by
resolution of the Authority. In the event a clay of regular meeting shall be a
legal holiday, said lTIeeting shall be held on the next succeeding secular day.
Section 3. Special1v1ectings.

adjourn fron~ time to tirne until a quorurn is obtained. Vlhen a quorum is in
attendance, action n~ay be taken by the Authority upon a vote of a rnajorit.y of
the Comnlissioners present.
