The parties entered into that certain Agreement A-201 1-122, dated May 2,201 I, (hereinafter "said Agreement") by which Contractor has provided security guard services for various City facilities. B. In accordance with the terms and conditions of said Agreement, the parties wish to amend the Scope of Services to provide security guard services at various City facilities, parks and recreation centers. WHEREFORE, in consideration of the covenants contained in said Agreement, and subject to all the terms and conditions of said Agreement, except those amended in this Second Amendment to Agreement, the parties agree as follows: 1. Section 1, SCOPE OF SERVICES, shall be amended to include, in addition to the services provided pursuant to said Agreement, the Contractor shall perform a daily security sweep of City Hall. Contractor will utilize the security officer assigned to the main library to complete the City Mall sweep at the conclusion of the security officer's shift at the main library. The service will include one additional hour of service Monday through Thursday from 9pm to 10prn, and Friday from 6pm to 7pm. 2. Section 2.a., COMPENSATION, shall be amended to include in total compensation, $5,366.40 ($103.2.0 per week = $20.64 per hour X 5 hours per week). During the first renewal term, Contractor shall be paid at the rate set forth in G4S Cost Shect- Renewal Term June 1, 2013 to May 31, 2014, attached hereto as Exhibit B and incorporated by this reference. The total amount to be expended on security services pursuant to this Agreement during the term from June 1, 2013 through May 31, 2014, shall not to exceed $504,264,12, which includes a contingency of $84,633.60, for unanticipated expenses. The parties acknowledge that Exhibit B "G4S Cost Sheet- Renewal Term June 1,2 013 to May 31, 2014, reflects a merit increase for the SAKFC Security Supervisor. The hourly bili rate shall be adjusted to $24.20/hour. The cost impact would be $1.68/hour additional or $67,20/week. Rates shall remain firm for the Renewal Term. Thereafter, notwithstanding the foregoing, following receipt of written notice from Contractor, the parties agree to renegotiate in good faith the relevant adjustments to rates in order to fully recover any change in costs mandated by law, including but not limited to licensing fees, Federal Insurance Contribution Act (FICA), Federal Unemployment Tax Act (FUTA), State Unemployment Insurance (SUI), Worker's Compensation, Collective Bargaining Agreements, Union Activities, regulatory costs associated with compliance with the Patient Protection and Affordable Care Act (PPACA), and/or Federal or State minimum wage laws, In addition, these rates may be adjusted each November 1 for any increased costs for medical insurance premiums, participation rates or both. Any changes to hours, scope of work, qualifications, requirements or equipment shall be mutually agreed to in writing by both parties and may necessitate a change in fee structure. 3. Section 3, TERM, shall be amended to extend the term for the first successive twelve month period, from June 1, 2013 through May 31, 2014. The City shall have the option to extend the term for up to two additional twelve month periods upon a writing executed by the City Manager and the City Attorney. Section 5.a., INSURANCE, shall be amended to reflect that the additional insured endorsement shall (a) name the City, its officers, employees, agents, volunteers and representatives as additional insured(s) and (b) be primary and not contributory with respect to insurance or self-insurance programs maintained by the City. Contractor's naming of the City, its officers, employees, agents, volunteers, and representatives as additional insured on its liability policies pursuant to this Agreement shall afford coverage only for the negligent acts or omissions of Contractor and shall in no event be construed for any purpose so as to make Contractor or the issuer of such policies liable for the negligence (joint, concurrent, independent or individual), acts, errors or omissions of the City, its officers, employees, agents, volunteers, and representatives. Section 16(c) shall be added to the Agreement and shall read as follows: "Notwithstanding the foregoing, in no event will either party be liable to the other for any loss of business or profits, penalties, or special or indirect, consequential, punitive, exemplary or liquidated damages. 6. Section 16(d) shall be added to the Agreement and shall read as follows: "Contractor will not be liable for any failure or delay in performance of this Agreement, in whole or in part, where such failure or delay is caused by circumstances beyond Contractor's reasonable control, including but not limited to acts of God, severe weather, fire, terrorism, vandalism or civil riots, war, civil disturbance, labor activity or strike, court order or any other cause outside Contractor's exclusive and direct control. 7. Except as hereinabove amended, all terms and conditions of said Agreement shall remain in full force and effect.
