FOR
SEVENTEENTH STREET GRADE SEPARATION PROJECT
THIS AMENDMENT NO. 1 is effective this day of

between the Orange County Transportation Authority, a public corporation of the State of California
acting on behalf of the Orange County Local Transportation Authority, 550 South Main Street, P.O.
Box 14184, Orange, California 92863-1584 (hereinafter referred to as "AUTHORITY"), and the City of
Santa, 20 Civic Center Plaza, Santa Ana, California 92701, (hereinafter referred to as "CITY").
RECITALS:
WHEREAS, by Memorandum of Understanding No. C-4-1772 dated January 15, 2015,
AUTHORITY and CITY entered into a Memorandum of Understanding to prepare the Project Report
Equivalent and Environmental Document (PREIED) for the grade separation at the 171h Street grade
crossing along the Los Angeles -San Diego -San Luis Obispo (LOSSAN) corridor; and
WHEREAS, the AUTHORITY and CITY agree to extend the term of the agreement for an
additional eight (8) months to allow for continued work on the Project.
NOW, THEREFORE, it is mutually understood and agreed by AUTHORITY and CITY that
Memorandum of Understanding No. C-4-1772 is hereby amended in the following particulars only:
and 6, to delete "November 30, 2016", as the expiration date of the Agreement and in lieu thereof,
insert "July 31, 2017.

IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 1 to Memorandum
of Understanding No. C-4-1772 to be executed on the date first above written.
