BETWEEN
ORANGE COUNTY TRANSPORTATION AUTHORITY
AND
CITY OF SANTA ANA
THIS AMENDMENT NO. 6 is effective as of this 15t day of March, 2016, by and between the
Orange County Transportation Authority, (hereinafter referred to as "AUTHORITY") and the City of
Santa Ana, a charter city and municipal corporation of the State of California (hereinafter referred to as
"CITY")
WITNESSETH:
WHEREAS, by Cooperative Agreement No. C-6-0069 dated June 12, 2006, as last changed by
Amendment No. 5, dated May 6, 2015, AUTHORITY and CITY entered into a cooperative agreement
for the Bristol Street Widening Project; and
WHEREAS, AUTHORITY and CITY desire to amend the Payment provision of the Cooperative
Agreement in order to simplify the disbursement of funding to the CITY, with no increase in the
AUTHORITY's maximum obligation and to clarify financial reporting responsibilities of CITY;
NOW, THEREFORE, it is mutually understood and agreed by AUTHORITY and CITY that
Cooperative Agreement No. C-6-0069 is hereby amended in the following particulars only:
1. Amend ARTICLE 2. SCOPE AND DEFINITIONS, pages 2 and 3 of 26, to delete
paragraph A. Scope of Agreement, in its entirety and, in lieu thereof, insert the following:
"A. Scope of Agreement — This Agreement specifies the procedures that
AUTHORITY and CITY will follow in implementing their respective roles and responsibilities in the
design, construction, right-of-way acquisition and funding of the PROJECT. Specifically, CITY will
conduct its responsibilities in general compliance with the State of California Guidelines Relating to Gas
Tax Expenditures for Cities and Counties, dated August 2015. Both AUTHORITY and CITY agree that

each will cooperate and coordinate with the other in all activities covered by this Agreement and other
supplemental agreements."
2. Amend ARTICLE 4. DESIGN & CONSTRUCTION OF PROJECT, pages 3 and 4 of
26, paragraph D. Excess Developable Land, to delete in its entirety and, in lieu thereof, insert the
following:
"D. Excess Developable Land — In the event that there is excess property outside
what is required for the PROJECT per Exhibit C and per the Specific Plan as adopted in 1991 and as
amended from time -to -time, which can be developed; should the CITY sell the excess property, all
proceeds from the sale shall first be applied to any excess costs of PHASE I, PHASE II, PHASE III and
PHASE IV of the PROJECT, then any remaining sale monies shall be credited to the Agreement.
Additionally, any excess property not sold, which shall exclude all property defined as linear parks, shall
have its estimated value credited to the Agreement. Nothing contained herein obligates the CITY to sell
such remnant property or guarantees any particular amount of fund credited to the Agreement."
3. Amend ARTICLE 8. PAYMENT, page 8 of 26, paragraph B. Delivery of Invoice, as last
changed by Amendment No. 4, dated April 26, 2013 to delete in its entirety and, in lieu thereof, insert
the following:
"B. Delivery of Payment Request
1. As needed and supported by an AUTHORITY approved detailed cash flow
requirement, CITY may request payment from AUTHORITY in an amount compliant with amounts
specified in Exhibit D, entitled "Quarterly Maximum Obligation for Bristol Street Widening". CITY's
requests for payment shall be in writing, with two (2) copies submitted to AUTHORITY's Accounts
Payable Department and one (1) copy submitted to AUTHORITY's Project Manager. Payment requests
shall not exceed the quarterly maximum specified per quarter. Within ten (10) business days after
AUTHORITY's receipt of an acceptable request for payment, AUTHORITY will review the request for
payment for consistency and conformity with all requirements of this Agreement and issue payment to
CITY. AUTHORITY shall notify CITY of any amounts not approved for payment and specify the reason

1 for disapproval. After review, CITY shall confirm the legitimacy of the particular amount in dispute or
2 remove the value and resubmit the payment request with the disputed amount removed.
3 2. On a quarterly basis, CITY shall submit a reconciliation report listing actual
4 expenses versus payments from AUTHORITY for the PROJECT. If actual expenses are less than the
s quarterly payments from AUTHORITY, AUTHORITY may withhold such excess payment amounts from
6 CITY's next payment request unless adequate justification for the difference is supplied to
7 AUTHORITY. In no event shall quarterly payments from AUTHORITY exceed amounts specified in the
8 current Exhibit D, entitled "Quarterly Maximum Obligation for Bristol Street Widening,
9 Amendment No. 6", nor the maximum obligation amount specified in Article 5 of the Agreement,
10 paragraph C. Additional specific items shall be included in the Quarterly Reconciliation Report as listed
11 below:
12 a) Documentation that verifies all submitted CITY labor billing rate
13 calculations used for the PROJECT includes supporting data, timesheets
14 and any other applicable payroll information.
is b) Documentation to validate all third party expenses as submitted.
16 c) Certification by signature that the CITY has deducted all sub-consultant
17 markup costs from any invoices submitted for payment.
18 d) Include a tracking report accounting for excess property remnants.
19 After receipt and review of the quarterly reconciliation report by AUTHORITY, AUTHORITY staff
20 will reconcile CITY reported funding payments with AUTHORITY records of payments. Differences
21 shall be resolved and reflected in the quarterly reconciliation report."

Amendment No. 6 shall be made effective March 1, 2016.
The balance of said Cooperative Agreement remains unchanged.
IN WITNESS WHEREOF, the parties hereto have caused this Amendment No. 6 to
Cooperative Agreement No. C-6-0069 to be executed on the effective date above written.
