RECITALS A. The City desires to retain a consultant having special skill and knowledge in the field of environmental services and related technical studies. B. Consultant represents that Consultant is able and willing to provide such services to the City. C. In undertaking the performance of this Agreement, Consultant represents that it is knowledgeable in its field and that any services performed by Consultant under this Agreement will be performed in compliance with such standards as may reasonably be expected from a professional consulting firm in the field. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. SCOPE OF SERVICES Consultant shall provide environmental study and related technical study services related to analyses of the California Environmental Quality Act and the National Environmental Policy Act, as set forth in City's Request for Qualifications for Environmental Consultants, incorporated to this Agreement by reference, and Consultant's Proposal, attached hereto as Exhibit A and incorporated by reference to this Agreement. Said services shall be provided at the request of the City Manager and Executive Director of the Planning and Building Agency, as evidenced by a writing signed by the City Manager, Executive Director and the City Attorney. 2. DELIVERY OF WORK PRODUCT Consultant shall deliver to City all work product which results from the services provided. Said work product shall be submitted in hard copy and produced in a form compatible with City's computer system, as agreed between the Project Manager and Consultant. In regard to all copyrightable material produced as a deliverable under this Agreement, including but not limited to books, reports, plans, photographs, drawings, films, recordings, videotapes, and computer programs, Consultant agrees, for itself and for its affected officers, employees, agents, contractors, and volunteer workers, that (a) other such material may not be copyrighted without prior review from the City, and (b) the authors of all such material, whether copyrighted or not, award to the City, and to its officers, agents and employees acting within the scope of their official duties, as a condition of payment to the endorsement in substantially the form attached hereto as Exhibit B upon execution of this Agreement and shall be approved in form by the City Attorney. b. Business automobile liability insurance, or equivalent form, with a combined single limit of not less than $1,000,000 per occurrence. Such insurance shall include coverage for owned, hired and non -owned automobiles. c. Worker's Compensation Insurance. In accordance with the provisions of Section 3300 of the Labor Code, Consultant, if Consultant has any employees, is required to be insured against liability for worker's compensation or to undertake self-insurance. Prior to commencing the performance of the work under this Agreement, Consultant agrees to obtain and maintain any employer's liability insurance with limits not less than $1,000,000 per accident. d. Professional liability (errors and omissions) insurance, with a combined single limit of not less than $1,000,000 per claim. e. The following requirements apply to the insurance to be provided by Consultant pursuant to this section: (i) Consultant shall maintain all insurance required above in full force and effect for the entire period covered by this Agreement. (ii) Certificates of insurance shall be furnished to the City upon execution of this Agreement and shall be approved in form by the City Attorney. (iii) Certificates and policies shall state that the policies shall not be canceled or reduced in coverage or changed in any other material aspect without thirty (30) days prior written notice to the City. f. If Consultant fails or refuses to produce or maintain the insurance required by this section or fails or refuses to furnish the City with required proof that insurance has been procured and is in force and paid for, the City shall have the right, at the City's election, to forthwith terminate this Agreement. Such termination shall not effect Consultant's right to be paid for its time and materials expended prior to notification of termination. Consultant waives the right to receive compensation and agrees to indemnify the City for any work performed prior to approval of insurance by the City. INDEMNIFICATION Consultant agrees to and shall indemnify and hold harmless the City, its officers, agents, employees, consultants, special counsel, and representatives from liability: (1) for personal injury, damages, just compensation, restitution, judicial or equitable relief arising out of claims for personal injury, including health, and claims for property damage, which may arise due to negligent acts, omissions or willful misconduct in the performance, from the direct or indirect operations of the Consultant or its contractors, subcontractors, agents, employees, or other persons acting on their behalf which relates to the services described in section 1 of this Agreement; and (2) from any claim that personal injury, damages, just compensation, restitution, judicial or equitable relief is due by reason of the terms of or effects arising from negligent acts, omissions or willful misconduct in the performance of this Agreement. Thereafter, any communication shall be addressed and transmitted to the new address. If sent by mail, communication shall be effective or deemed to have been given three (3) days after it has been deposited in the United States mail, duly registered or certified, with postage prepaid, and addressed as set forth above. If sent by telefacsimile, communication shall be effective or deemed to have been given twenty-four (24) hours after the time set forth on the transmission report issued by the transmitting facsimile machine, addressed as set forth above. For purposes of calculating these time frames, weekends, federal, state, County or City holidays shall be excluded. 11. EXCLUSIVITY AND AMENDMENT This Agreement represents the complete and exclusive statement between the City and Consultant, and supersedes any and all other agreements, oral or written, between the parties. In the event of a conflict between the terms of this Agreement and any attachments hereto, the terms of this Agreement shall prevail. This Agreement may not be modified except by written instrument signed by the City and by an authorized representative of Consultant. The parties agree that any terms or conditions of any proposal or other instrument that are inconsistent with, or in addition to, the terms and conditions hereof, shall not bind or obligate Consultant nor the City. Each party to this Agreement acknowledges that no representations, inducements, promises or agreements, orally or otherwise, have been made by any parry, or anyone acting on behalf of any parties, which are not embodied herein. 12. ASSIGNMENT Inasmuch as this Agreement is intended to secure the specialized services of Consultant, Consultant may not assign, transfer, delegate, or subcontract any interest herein without the prior written consent of the City and any such assignment, transfer, delegation or subcontract without the City's prior written consent shall be considered null and void. Nothing in this Agreement shall be construed to limit the City's ability to have any of the services which are the subject to this Agreement performed by City personnel or by other consultants retained by City. including reasonable costs and attorney's fees, for any injuries or damages to City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. b. All Exhibits referenced herein and attached hereto shall be incorporated as if fully set forth in the body of this Agreement. The proposed project consisted of a four -unit, single-family home development on a 22,366 -square -foot lot at the northeast corner of Crest and Highridge roads. City of Rolling Hills Estates, Rolling Hills United Methodist Church School Project IS/MND, Project Manager. Managing the preparation of an IS/MND for an expansion and remodel of the United Methodist Church School. The proposed project consists of replacing five existing one-story school buildings with three new one- and two-story school buildings and an expanded administration building. The proposed new buildings would total 14,078 square feet (including a 1,461 -square -foot basement), and the proposed project would expand the administration building by 560 square feet. The project would result in a net increase of 7,759 square feet of building space. The project would reorient the campus, with the three new proposed buildings (north, south, and east wings) and the administration building (west wing) creating a quad with a courtyard/play area with an additional play adjacent to Crenshaw Boulevard. City of Rosemead, Garvey Avenue Bridge over the Rio Hondo Channel, Project Planner.* Responsible for preparing the IS/MND pursuant to CEQA and a Categorical Exclusion pursuant to NEPA for this project. This project consisted of the replacement of the existing Garvey Avenue Bridge over the Rio Hondo Channel. Due to federal funding sources, the California Department of Transportation (Caltrans) and the Federal Highway Administration oversaw the environmental clearance of this project. City of Blythe, Blythe Airport Solar 1, CEQA Documentation.* Responsible for preparing the IS/MND for this project, which consisted of a multiphased 100 -megawatt solar (photovoltaic) power plant that would occupy 640 acres of non -aeronautical land on the Blythe Municipal Airport grounds. The envisioned photovoltaic arrays were 5.1 -megawatt single -axis trackers, each of which would be fitted with 24,300 photovoltaic panels. E INTERNATIONAL would occupy Lot 2. The remaining two lots would be prepared for single-family residences with building pads, access drives, corral areas, and equestrian trail access to the existing Strawberry Trail. City of Rolling Hills Estates, Butcher Ranch IS/MND, Project Manager.* Responsible for the preparation of the IS/MND. The project consisted of a tentative tract map and grading plan to establish 12 residential building pads/lots, an 11,187 -square -foot park, and a 25,547 -square -foot lot in the Commercial Recreation zone to remain vacant. The residential lots would be developed with single-family homes ranging in size from 1,660 to 3,280 square feet, with each lot also including an 800 -square -foot horse arena. City of Rolling Hills Estates, Peter Weber Equestrian Center, Project Manager.* Responsible for the preparation of an IS/MND. The project consisted of various improvements to the city's municipal stables, including replacing the existing barns, replacing and relocating the caretaker's unit, and improving/installing accessory facilities. In addition, a portion of the Equestrian Center lies atop a former landfill and as such, the project also included hazards/safety improvements, including replacing the existing underground methane membranes. City of Pasadena, Eastside-JPL Connector Trail, Project Manager* Responsible for the preparation of NEPA, CEQA, and National Historic Preservation Act (NHPA) documentation for the Eastside Neighborhood to JPL Connector Trail Project. The project consisted of improving the trail to make it safer, increase usage, and provide a year-round, fully accessible pedestrian and equestrian trail. To do so, the project involved reconstructing and resurfacing trail segments and installing a variety of drainage and erosion protection improvements. The project would also improve the trail with a variety of amenities, including trailside landscaping, a water fountain, and trailhead, directional, and interpretive signage. City of Pasadena, Lower Arroyo Trailhead and Sunset Overlook.* Responsible for assisting in the management of the preparation of the NEPA, CEQA, and National Historic Preservation Act (NHPA) documentation for the Lower Arroyo Trailhead and Sunset Overlook projects. The Lower Arroyo Seco Trailhead Project consisted of improvements to two trailheads and trail restoration within the Lower Arroyo Seco. The two trailheads proposed for improvement were the Parker -Mayberry Bridge trailhead and the south entrance trailhead. The Sunset Overlook Project consisted of improving this west -facing promontory and trailhead in the Hahamongna Watershed Park (Upper Arroyo). The Sunset Overlook serves as the eastside entrance for trails in the Hahamongna Watershed Park and the start of the Gabrielino National Recreation Trail, which leads to the upper reaches of the Arroyo Seco and the San Gabriel Mountains. City of Lodi, Reynold's Ranch, Principal Planner.* Responsible for preparation of the EIR for the development plan consisting of residential, commercial retail, office, institutional, and open space uses. The project included annexing and developing 220 acres along the city's southern boundary with 1,084 residential units, a 200,000 - square -foot multistory office building (for Blue Shield of California), approximately 350,000 square feet of commercial retail space, a future K-8 school, a mini -storage facility, and associated public services (i.e., a future fire station) and open space uses (with linear greenbelts, a network of multiuse trails, and a 5 -acre neighborhood 7 INTERNATIONAL City of Beverly Hills, Former Industrial Area Plan EIR, Assistant Project Manager.* Responsible for assisting in the management and preparation of the EIR for a plan for the former industrial area of Beverly Hills. The project was unique in that it was not a development project or specific plan, but a Strategic Plan for the former industrial area, which included changes in land use designations and zoning as well as potential traffic improvements and consideration of specific development concepts. The half -acre project site was occupied by a 1900s farmhouse designated as a Tier II historic resource in the City's Historic Preservation Program.
