SPECIFICATIONS REFUSE COLLECTION SERVICES June 17, 1963 SECTION 1. PROPOSAL REQUIREMENTS: (a) General Information The City of Santa Ana will receive at the office of the Purchasing Agent, in the City Hall of said City, at the time and on the date shown in the invitation to submit proposals which is attached hereto and made a part hereof, sealed proposals for the services described in these specifications. (b) Proposal Form The proposal must be made upon the enclosed blank foims. The proposal must give the price proposed, both in writing and in figures and must be signed by the bidder, with his address. If the proposal is made by an individual, his name and post office address must be shown. If made by a firm or partnership, the name and post office address of each member of the firm or partnership must be shown. If made by a Corporation the proposal must show the name of the State under the laws of which the corporation was chartered and all other information requested on the proposal form. (c) Guaranty All proposals shall be presented under sealed cover and shall be accompanied by cash, cashier' s check, certified check or bond made payable to the City of Santa Ana, for the sum of fifty thousand dollars ($50,000.00) , and no bid shall be considered unless such cash, cashier' s check, certified check, or bidder' s bond is enclosed therewith. (d) Return of Guarantees Within fifteen (15) days after the award of the contract, the City of Santa Ana will return the proposal guarantees accompanying those proposals which are not to be considered in making the award. All other proposal guarantees will be held until the contract has been finally executed, after which they will be returned to the respective bidders whose proposals they accompany. (e) Rejection of Proposals Containing Alterations, Erasures or Irregularities Proposals may be rejected if they show any alterations of form, additions not called for, conditional or alternative bids, incomplete bids, erasures, or irregularities of any kind. The right is reserved to reject any and all proposals. Page 1 of 12 • - • (f) Award of Contract ' • The award of the contract, if it be awarded, will be made by the City Council within thirty-five (35) days after the date of the opening of the proposals. The City Council shall reserve the right to evaluate and weigh • all factors of experience, financial capability, equipment to be provided and similar data in making the award. (g) Execution of Contract The Contract shall be signed by the successful bidder and returned, together with the contract bonds, within ten (10) days, not including. Saturday or Sundays, after the bidder has received notice that the contract has been awarded. No proposal shall be considered binding upon the City until the execution of the Contract. Failure to execute a contract and file acceptable bonds as pro- vided herein within ten (10) days, not including Saturdays or Sundays, after the bidder has received notice that the contract has been awarded, shall be- just cause for the annulment of the award and the forfeiture of the proposal guaranty. (h) Examination of Specifications, Special Provisions, and Site of Work The bidder is required to examine carefully the proposal specifi- cations, and contract forms for the service contemplated, a.d it will . be assumed that the bidder has investigated and is satisfied as to the conditions to be encountered; the chatacter, quality, and quantities of service to be performed and the requirements of the specifications, the special provisions, and the contract. It is mutually agreed that submission of a proposal shall be considered prima ,facie evidence that the bidder has made such examination. • SECTION 2. SCOPE OF SERVICE: (a) General Conditions The work to be done under this contract shall include the furnishing of all labor, material and equipment necessary for, and the callection of all garbage, trash-and similar refuse within the City of Santa Ana, as the boundaries now exist or may hereafter alter, and d the disposal of such refuse at a county dump or transfer station P dump, unless otherwise provided for by the City of Santa Ana. Should the Contractor fail to collect and dispose of refuse set out or placed for collection as herein provided, at the time required, after notification by the City and within a reasonable time (which shall not be more than 24 hours) the City may collect and dispose of the same and the Contractor shall be liable for the expense incurred. In addition to any other lawful means of effecting reimbursement from the Contracts such expense may be deducted by the City from money due or which may become due the Contractor. All collections shall be made as -quietly aspossible and no unnecessarily noisy trucks or equipment • Page 2 of 42 shall be used. Any employees of the Contractor who are unnecessarily noisy or who violate the provisions of the State Motor Vehicle Code or any applicable city ordinance in the collection of said materials shall be dismissed upon the demand of the Director of Public Works. (b) Supervision Perfatwance of each of the provisions of the contract shall be under the direction and supervision of the Director of Public Works. "Director of Public Works" shall mean the Director of Public Works of the City, or his duly authorized representative. The Contractor shall furnish the Director of Public Works every reasonable opportunity for ascertaining whether or not the work is performed in accordance with the requirements of the contract. The Contractor shall designate a person to serve as agent and liaison between his organization and the city and shall maintain a toll-free telephone. The Director of Public Works may inspect the Contractor' s operations and equipment at any reasonable time and the Contractor shall .admit him to make such inspections at any reasonable time and place. (c) Definition of Garbage The word "garbage" is putrescible animal and vegetable waste resulting from the handling, preparation, cooking and consumption of food, excluding that produced by canneries, Slaughterhouses, packing plants or similar industries. - (d) Definition of Trash The word "trash" is non-putrescible solid wastes consisting of both combustible and non-combustible materials, such as paper, cardboard, tin cans, ashes, yard clippings, wood, glass, crockery, cloth and similar items of waste from homes, offices and places of business. It includes normal debris from home and building repair but does not include waste material from major demolition, construction or remodeling of buildings. It includes grass clippings and normal home pruning wastes but does not include sod, dirt in quantity or debris from orchard pruning or culture. It does not include major wastes resulting from manufacturing processes. (e) Definition of Refuse The word "refuse" shall include all garbage and trash hereinabove defined. (f) Preparation of Refuse • All refuse shall be placed in containers adequate to eliminate overflow or contamination of surrounding areas. Refuse placed in cardboard cartons may be picked up with contents and may be de- livered to dump or transfer station. All ashes, hair clippings, floor sweepings and similar light materials shall be securely wrapped in newspaper or otherwise contained so as not to scatter. Occasionally discarded household items, broken down to size easily handled by one P `,1 1 el ' 1 man, will also be considered as refuse. there shall be a load liT:it. of not over sixty Pounds per container and two hundred (200) poznds for each refuse service stop. Tree limbs, brush, lengths of wood and similar materials shall be cut in lengths of four (4) feet or less and securely tied with Heavy cord or wire into bundles not more than two (2) feet in thickness. (g) Placement of Refuse for Collection All collections of garbage and trash, from residential and commercial occupancies shall be made from the curb along the street, . public or private, in front of each dwelling, or the alley in the rear of each dwelling; or from the premises of commercial areas having paved travel-ways: except where paved alleys, having access to streets at each end, exist in the rear of business properties, and from such properties collections shall be made from said alleys. The owner or tenant of a commercial occupancy or a multiple dwelling may provide by mutual agreement with the Contractor for collection at a location other than as specified above, if approved by the Director of Public Works. (h) Frequency of Refuse Collections The Contractor shall collect all refuse daily, except Sunday, from the commercial areas of the City, as identified by the Director of Public Works by means of naps furnished periodically: except that residences of less than five (5) dwelling units, in said commercial areas may be served once each week on a regular schedule, and a lesser number of collections per week than the daily collection may be allowed for certain residential or business occupancies within said commercial area after request for such modification of service has been made to the Director of Public Works and his pes.uission for such modification has been granted. The Contractor may require operators of restaurants, markets and similar establishments to keep garbage in separate con- tainers from the trash. The Contractor will collect all refuse from the residential area of the City at least once each week; and in addition, will provide more frequent service for such commercial occupancies or residences of five (5) or more dwelling units -as may, in the opinion of the Director of Public Works, require Such additional service. • (j) Holidays Collection of garbage and refuse shall not be required on Sundays or on the following legal holidays: New Year ' s Day, Independence Day, ' Labor Day, Thanksgiving Day and Christmas; excepting in cases of emergency and upon the express direction of the Director of Public Works. Whenever a regular collection falls on such a holiday, then collection shall be made on the day following. (j) Emergency Collections In the event of an act of God, earthquake, stoid, fire or other ciioraordinary situations generating abnormal amounts of refuse the City may require additional collection and shall be charged at a rate commensurate with conditions existing at the time of such an occasion and at such reasonable te.uus as shall be established by the Director of Public Works. • Page 4, of 12 (c) - Maintenance. of ;.rlul es ___esently existing routes, schedules and times for collection, of garbage and : ' trash shall be maintained, but may be changed by authorization of the Director of Public Works and after at least one week' s advance notification by the Contractor to the occupants of buildings in the area where the changes are 'to be made. All collections from residential areas shall be made between the hours of 6:30 a.m. and 8 :00 p.m. (1) Exclusiveness of Contract The Contractor shall have the exclusive duty, right and privilege . to collect, remove and retain all garbage and rubbish originating _within the City as herein defined, except that this shall not prohibit the actual producers of refuse, or the owners of premises upon which refuse has accumulated, from personally collecting, conveying and dis- posing of such refuse, provided such producers or owners comply with the standards of cleaniness and good housekeeping contained in these specifications and comply with any other governing laws or ordinances. This shall not prohibit collectors of refuse orginating from outside of the City from hauling such refuse over City Streets, provided such collectors comply with the provisions of these specifications and with any other governing laws or ordinances. The Contractor shall have the exclusive right during the term of the contract to perform the duties and covenants herein specified; that is the right to gather, collect and remove garbage, refuse and waste material from the City Limits as the same shall presently or hereafte: exist in the City of Santa Ana, and to remove and transport same from said City provided, however, that the occupant of any dwelling may, at his sole election, personally remove any garbage and rubbish accumulating on his premises and dispose of the same in a lawful manner. Contractor agrees that his obligations extend to all premises in the City except areas used for the coeuruercial growth or processing of ,vegetables, fruits or other similar products. (m) Standards for •_-___e ct_on Equipment used by the Contractor for collect: ion and hauling of garbage and :.trash shall be such as to assure, in the opinion of the Director of Public `works, that adequate standards of collection will be maintained. It is the declared interest of the City that the Contractor be ahle to provide a wide variety of containers to meet the capacity requirements of coa_„ercial and multiple residential users. Equipment used shall be water tight and maintained in a manner to eliminate objec- tionable odors emanating therefrom. Complete metal operating covers must be a part of the design of equipment employed. No material shall - be pe.uuitted to leak, fall or be spilled onto City streets, alleys or highways . Any such leakage or spills occurring shall be immediately corrected and the area cleaned. Equipment used must employ adequate safety conditions for operating personnel and must be maintained in good mechanical condition. • • III Page 5, of 12 All collections shall be made as quietly as possible and no unnecessarily noisy trucks or equipment shall be used. Employees. , of the Contractor:Alp are unnecessarily noisy or who violate the Provisions of the State Motor Vehicle Code and/or any applicable City Ordinance ini the collection of said materials shall be dismissed upon the demand of the Director of Public Works. (n) Containers Containers used in commercial and multiple dwelling areas shall be of a design and size to contain, at all times, the contents there- in in such manner as to promote best possible housekeeping conditions. Maintenance of containers supplied by the Contractor shall, at all times, be maintained by him in well,-kept appearance and sanitary condition. The Contractor shall provide washout facilities for cleaning, disinfecting, and de-odorizing containers on premises.when necessary. Residential containers, including the lids thereof, shall be re placed where found. Containers and lids shall not be left in the street or on neighboring or adjoining premises. The City reserves the right, UP= submission of proof by the owner, to withhold sufficient compensation under pna contract to adjust any claim for refuse containers damaged by the `.._. I:al or careless acts of the employees of the Contractor. (o) Fees and Gratuitees The Contractor shall not, nor shall he peamit any event, employee or ' sub-contractor employed by him, to request, solicit, demand, or accp t, ,either directly or indirectly, any compensation or gratuity for the collection of garbage or rubbish as herein defined, except such compensation as may be herein provided to be paid by the City, It is further provided, however, that the Contractor may make avail- ) able special storage and loading containers, provide additional collections not required by these specifications, pick up refuse at N points other than as required in these specifications or provide .Lor the collection of greater volumes of refuse per collection than re- quired in these specifications, any or all of these additional services at the request of tPe irson or business being served. The Contractor may make a direct charge in. each instance for such additional service under a written agreement which shall be subject to the approval of - the Director of Public Works and at such rates as are reasonable, just and uniform for all persons or businesses being served. All such direct charges snail be collected by the Contractor. SECTION 3. PROCEDURES AND REQUIREMENTS (a) Laws and Regulations The attention of the Contractor is called to the provisions of all ordinances and laws affecting the collection, removal and disposal of trash in the, City of Santa Ana, the County of Orange, and the State ?age 6, cf• 12 k of California, and the Contractor will-be required to observe all c. the terms of any of such laws or ordinances now in effect and as may .. be amended hereafter, and will be required to observe all reasonable- regulations that may be enacted by the City Council of the City of Santa Ana governing the same during the team of this contract. (b) Terms The contract shall be for a period of seven (7) years. It shall become effective as 02 12:01 a.m. on the 1st day of November, 1963, and shall terminate at midnight the 31st day of October 1970. (c) Complaints The City shall receive and record all complaints and communi- cations from persons or businesses being served under the provisions of this agreement. At least twice each work day the Contractor or his agent shall personally appear at the office of the Director of Public works.: or such other location as may be designatef by the Director of Public Works, for the purpose of receiving the :cords of such com- Plaints and commtnications. The Contractor shall, within twenty-four (24) hours thereafter, report in writing to the Director of Public worksas to the action taken or other disposal made of each complaint. (d) Performance Bond The Contradtor shall, prior to the execution of the contract, execute and file With the Clerk of the Council of the City of Santa ✓:O Ana a surety bond in the penal sum of two hundred thousand dollars �� " , �- coditioned upon the faithful performance of said contract by the Contractor and his sub-contractors, if. a_ _ . Said Bond may be written for a term of one year, and may thereafter be renewed by certificate, provided however, that said Contractor agrees to maintain such bond -or bonds in force for the complete tem of this contract-. (e) Default In the event that env party hereto shall be in default of any term, condition or covenant hereunder, the non-defaulting party shall give written notice of same to the designated : gent of the other. Defaulting party shall have five (5) days within which to cure or remedy sane. Ms failure of either partvto so cure or remedy within sai.d period shall terminate the contract. Provided, further, that if, in the opinion of the Director of Public Works, (upon reasonable grounds) the contractor shall continue to neglect or refuse to comply with the regulations of the Director and the terms, covenants and conditions of this contract, the City may, at its option, notify the Contractor of its intention to terminate this contract, which notice shall be given in writing and mailed to the most recent address on file with the Director of Public Works, and this contract shall be terminated sva _ty-two (72) hours from and after the hour said notice is deposited en the United States mail. Tn the event of cancellation, the City shall hold the Contractor and his sureties jointly and severally liable for any damage or loss sustained by the City in the matter of collection of the .refuse or the re-advertising, or letting of another contract therefor, including all costs and attorney' s fees incurred by the City in the cancellation of this contract and the negotiation of a new contract. The waiver of a breach of any of the terms of said contract shall not cancel or in any way affect the right of the City to declare a default for any re-occurrence of the same or any other breach of the contract. (f) Public Liability and Property Damage Insurance • The Contractor seal.l be required to maintain in full force and effect during the term of the Contract, a public liability policy with S100, 000.00 and $500, 000.00 limits and a property damage insurance policy of $50, 000.00 limit for the benefit of the third persons who may be injured or damaged as a result of any negligent operations of the Contractor in the performance of his work under this contract, which said policy shall name the City as a party protected thereby. The Contractor further agrees to heeg en .pile with the City a certificate or certificates of Insurance, d'ul' . executed by the Contractor' s insurance carrier or carriers, whic.h shal l serve as evidence of the continued existence of said insurance policies'. The City shall not, nor shall any, ' =fiCdr or employee eGtser eof , be liable or responsible for any accident,. . loss or damage happening or occurring in the doing of the work; and the Contractor shall indemnify and hold ham1 ess the City and its officers and employees of any and all liability arising therefrom; including any Attorney's fee incurred in the defense of any such action. (g) Workman's Compensation Policy Said Contractor shall also maintain in full force and effect during the term of this contract, a workman' s compensation policy and such-other forms of insurance as shall be reauired by law. (h) Waivers No acoui ese,cs, failure or neglect of either of the contracting parties to insist on strict oerforItcance of any or all or the terms hereof shall be considered as or constitute a waiver of any term, or condition of the contract or any performance required thereunder, or any remedy, damage or other liability arising out of such refusal, • neglect c•2 _na`aility to perform at any time. • • (i) Alien Labor Prohibited The Contractor shall not knowingly employ, in the performance of the work under said Contract, any alien, except in cases of extraor- dinary emergency caused by fire, flood or dangerto life or property and saiC Contractor shall agree to forfeit to the City the sum of Ten Dollars (S10,00) for each alien employed by him in the execution of said contract for each and every calendar day, or portion thereof, during which such alien is knowingly employed, or caused, or allowed to be employed. Page 8, of 12 cks . 4 The Contractor shall also be bound by and comply with the provisions of Sections 1850 to 1854, inclusive, of the Labor Code of the State of California. (j ) Use by City of Contractor' s Equipment Upon the termination of the contract for any reason 'prior to the end of the period specified herein as the term of the contract, the city shall have the exclusive right to rent or lease and operate any or all trucks trailers, tractors, bulldozers and other items of equipment used by the Contractor in the performance of the work specified in these specifications-, The right of the City to enter upon, use, rent, or lease facilitieS and equipment as specified ,.:rein shall extend from the date of termination of the contract for a period of sixty (60) calendar days. '., The rental prices to be paid by the City to the Contractor under the provisions of this sub-section shall be as follows: Garbage or refuse trucks-Thirty-five Dollars ($35.00) per Calendar day; Containers (} yard or larger)-One Dollar ($1.00) per calendar day. Any moneys due the Contractor for rental of equipment under the . provisions of this sub-Section may be withheld by the City and used by it for the purposee of paying any outstanding liens or payments due and unpaid upon the said equipment. • SECTION 4. PAYMENTS BY CITY (a) Basic Computation As compensation for the performance by the Contractor of the work described in this contract he shall receive from the City, on or before the tenth day of ,each calendar month, the amount stated in the contract multiplied by the total number of active water meters listed in the City Water Department on the last day of the preceding calendar month, and, in addition, ,the nv.e.ber GI units served by water producers other than Santa Ana city operated facilities . Thiz nuMber has been determined as 3,422 as of June 1, 1963. Increases or decreases will be reported by the Director of Public Works to the Director of Finance on the last day of each month. The records of said Water Department shall be available upon reasonable demand by the Contractor for the purpose of auditing the number of said meters. Censa_.:.O (:CS) omp. Y` F2.::C:7LS tiri t On the first day of each November and May of each succeeding year the contract unit price shall be adjusted to reflect the percentage change in the Consumers ` Price Index (1957-59 base) Los Angeles Area, published by the U.S.Department of Labor, as indicated by the index figure most recently published prior to the first day of June and January preceding each of the above listed dates respectively. The adjustment shall be computed by using the figure of 108.0 as equal to 100 and increases or decreases in the contract unit price shall be 1G per unit for each increase or decrease of one full percentage point from the base : of 108.0. City of Santa Ana. SECTION 6. CE--CONTRACTORS AND SPOOK TRYN iCER V The Contractor ha _ not assign, transfer, or sub-contract the Contract any It'ajt thereof without first obtaining the consent of the Santa Ana C_ Counci l ,except that the Contractor may sell l or otherwise dispose of garbage and salvaged materials after the same hate been collected. Any owners of stock in the Corporation, if any, holding the contract shall not transfer assign, sell or otherwise convey any stock owned by him at the time of filing the proposal form without first obtaining the consent of the Santa Ana City Council; except that such conveyance of stock ownership by gift to a member of the owners immediate family or transfer win or succession after death of such owner shall be permitted without approval of said City Council. Council received the City Manager's evaluation of the three lowest proposals submitted for the collection of garbage and refuse in the City of Santa Ana in which he stated that all of the companies are adequately financed, have sufficient experience, have adequate performance bonding capacities, present no danger of introducing criminal elements, present no problem of control or willingness to meet standards of operation, and have provided adequate assurance of acceptable equipment. It was the Manager's recommendation that the contract be awarded to the Great Western Reclamation Company. Dale Heinly, 611 W. 8th Street, attorney representing the Santa Ana Commercial Company, presented the qualifications of the company, and read a letter from Adam Schleining, expressing the belief that the Santa Ana Commercial Company is the lowest responsible bidder. Mr. Heinly showed pictures of El Centro garbage truck and alley after pickup was made, and also pictures of Santa Ana Commercial plant stressing cleanliness. On motion of Councilman Hubbard, seconded by Councilman Schlueter, and carried, the letter was received and ordered filed by Council. Robert S. Barnes, 1016 N. Broadway, attorney, spoke on behalf of the Great Western Reclamation Company, commending the Manager's specifications and investi- gation. Council also heard a statement by Andrew V. Hohn, that he took the South Gate contract at less money than Santa Ana Commercial and was providing satisfactory service. Mayor Hall commended the Santa Ana Commercial Company for the fine job done for the past eleven years. PROPOSAL REQUIREMENTS : (a) General Information The City of Santa Ana will receive at the office of the Purchasing Agent, in the City Hall of said City, at the time and on the date shown in the invitation to submit proposals which is attached hereto and made a part hereof, sealed proposals for the services described in these specifications. (b) Proposal Form The proposal must be made upon the enclosed blank forms. The proposal must give the price proposed, both in writing and in -figures and must be signed by the bidder, with his address. If the proposal • is made by an individual, his name and post office address must be shown. If made by a firm or partnership, the name and post office address of each member of the firm or partnership must be shown. If made by a Corporation the proposal must show the name of the State under the laws of which the corporation was chartered and all other information requested on the proposal form. (c) Guaranty All proposals shall be presented under sealed cover and shall be accompanied by cash, cashier' s check, certified check or bond made payable to the City of Santa Ana, for the sum of fifty thousand dollars ($50, 000.00) , and no bid shall be considered unless such cash, cashier 's check, certified check, or bidder' s bond is enclosed therewith. (d) Return of Guarantees Within fifteen (15) days after the award of the. contract, the City of Santa Ana will return the proposal guarantees accompanying those proposals which are not to be considered in making the award. All other proposal guarantees will be held until the contract has been finally executed, after which they will be returned to the respective bidders whose proposals they accompany. (e) Rejection of Proposals Containing Alterations, Erasures or Irregularities Proposals may be rejected if they show any alterations of form, additions not called for, conditional or alternative bids, incomplete bids, erasures, or irregularities of any kind. The right is reserved to reject any and all proposals. Page 1 of 12 (f) Award of Contract The award of the contract, if it be awarded, will be made by the City Council within thirty-five (35) days after the date of the opening of the proposals. The City Council shall reserve the right to evaluate and weigh all factors of experience, financial capability, equipment to be provided and similar data in making the award. (g) Execution of Contract The Contract shall be signed by the successful bidder and returned, together with the contract bonds, within ten (10) days, not including. Saturday or Sundays, after the bidder has received notice that the contract has been awarded. No proposal shall be considered binding upon the City until the execution of the Contract. Failure to execute a contract and file acceptable bonds as pro- vided herein within ten (10) days, not including Saturdays or Sundays, after the bidder has received notice that the contract has been awarded, shall be- just cause for the annulment of the award and the forfeiture of the proposal guaranty. (h) Examination of Specifications, Special Provisions, and Site of Work The bidder is required to examine carefully the proposal specifi- cations, and contract forms for the service contemplated, and it will be assumed that the bidder has investigated and is satisfied as to the conditions to be encountered; the chatacter, quality, and quantities of service to be performed and the requirements of the specifications, the special provisions, and the contract. It is mutually agreed that submission of a proposal shall be considered prima facie evidence that the bidder has made such examination. SECTION 2. SCOPE OF SERVICE: (a) General Conditions The work to be done under this contract shall include the furnishing of all labor, material and equipment necessary for, and the collection of all garbage, trash and similar refuse within the City of Santa Ana, as the boundaries now exist or may hereafter alter, and the disposal of such refuse at a county dump or transfer station dump, unless otherwise provided for by the City of Santa Ana. Should the Contractor fail to collect and dispose of refuse set out or placed for collection as herein provided, at the time required, after notification by the City and within a reasonable time (which shall not be more than 24 hours) the City may collect and dispose of the same and the Contractor shall be liable for the expense incurred. In addition to any other lawful means of effecting reimbursement from the Contract;"' such expense may be deducted by the City from money due or which may become due the Contractor. All collections shall be made as quietly as possible and no unnecessarily noisy trucks or equipment Page 2 of 12 shall be used. Any employees of the Contractor who are unnecessarily noisy or who violate the provisions of the State Motor Vehicle Code or any applicable city ordinance in the collection of said materials shall be dismissed upon the demand of the Director of Public Works. (b) Supervision Performance of each of the provisions of the contract shall be under the direction and supervision of the Director of Public Works. "Director of Public Works" shall mean the Director of Public Works of the City, or his duly authorized representative. The Contractor shall furnish the Director of Public Works every reasonable opportunity for ascertaining whether or not the work is performed in accordance with the requirements of the contract. The Contractor shall designate a person to serve as agent and liaison between his organization and the city and shall maintain a toll-free telephone. The Director of Public Works may inspect the Contractor's operations and equipment at any reasonable time and the Contractor shall admit him to make such inspections at any reasonable time and place. , (c) Definition of Garbage The word "garbage" is putrescible animal and vegetable waste resulting from the handling, preparation, cooking and consumption of food, excluding that produced by canneries, slaughterhouses, packing plants or similar industries. (d) Definition of Trash The word "trash" is non-putrescible solid wastes consisting of both combustible and non-combustible materials, such as paper, cardboard, tin cans, ashes, yard clippings, wood, glass, crockery, cloth and similar items of waste from homes, offices and places of business. It includes normal debris from home and building repair but does not include waste material from major demolition, construction or remodeling of buildings. It includes grass clippings and normal home pruning wastes but does not include sod,dirt in quantity or debris from orchard pruning or culture. It does not include major wastes resulting from manufacturing processes. (e) Definition of Refuse The word "refuse" shall include all garbage and trash hereinabove defined. (f) Preparation of Refuse All refuse shall be placed in containers adequate to eliminate overflow or contamination of surrounding areas. Refuse placed in cardboard cartons may be picked up with contents and may be de- livered to dump or transfer station. All ashes, hair clippings, floor sweepings and similar light materials shall be securely wrapped in newspaper or otherwise contained so as not to scatter. Occasionally discarded household items, broken down to size easily handled by one Page 3 of 12 man, will also be considered as refuse. There shall be a load limit, of not over sixty pounds per container and two hundred (200) popnds for each refuse service stop. Tree limbs, brush, lengths of wood and similar materials shall be cut in lengths of four (4) feet or less' and securely tied with heavy cord or wire into bundles not more than two (2) feet in thickness. (g) Placement of Refuse for Collection All collections of garbage and trashfrom residential and commercial occupancies shall be made from the curb along the street, public or private, in front of each dwelling, or the alley in the rear of each dwelling; or from the premises of commercial areas . having paved travel-ways: except where paved alleys, having access to streets at each end, exist in the rear of business properties, and from such properties collections shall be made from said alleys. The owner or tenant of a commercial occupancy or a multiple dwelling may provide by mutual agreement with the Contractor for collection at a location other than as specified above, if approved by the Director of Public Works. (h) Frequency of Refuse Collections The Contractor shall collect all refuse daily, except Sunday, I from the commercial areas of the City, as identified by the Director of Public Works by means of maps furnished periodically; except that residences of less than five (5) dwelling units, in said commercial areas may be served once each week on a regular schedule, and a lesser number of collections per week than the daily collection may be allowed for certain residential or business occupancies within said commercial area after request for such modification of service has been made to the Director of Public Works and his permission for such modification has been granted. The Contractor may require operators of restaurants, markets and similar establishments to keep garbage in separate con- tainers from the trash. The Contractor will collect all refuse from the residential area of the City at least once each week; and in addition, will provide more frequent service for such commercial occupancies or residences of five (5) or more dwelling units as may, in the opinion of the Director of Public Works, require such additional service. (i) Holidays Collection of garbage and refuse shall not be required on Sundays or on the following legal holidays: New Year's Day, Independence Day, Labor Day, Thanksgiving Day and Christmas; excepting in cases of emergency and upon the express direction of the Director of, Public Works . Whenever a regular collection falls on such a holiday, then collection shall be made on the day following. (j) Emergency Collections In the event of an act of God, earthquake, storm, fire or other extraordinary situations generating abnormal amounts of refuse the City may require additional collection and shallbe charged at a rate commensurate with conditions existing at the time of such an occasion and at such reasonable terms as shall be established by the Director of Public Works. Page 4, of 12 (k) Maintenance of Schedules Presently existing routes, schedules and times for collectionof garbage and trash shall be maintained, but may be changed by authorization of the Director of Public Works and after at least one week's advance notification by the Contractor to the occupants of buildings in the area where the changes are '-to be made. All collections from residential areas shall be made between the hours of 6:30 a.m. and 8 :00 p.m. (1) Exclusiveness of Contract The Contractor shall have the exclusive duty, right and privilege to collect, remove and retain all garbage and rubbish originating .within the City as herein defined, except that this shall not prohibit the actual producers of refuse, or the owners of premises upon which refuse has accumulated, from personally collecting, conveying and dis- posing of such refuse, provided such producers or owners comply with the standards of cleaniness and good housekeeping contained in these specifications and comply with any other governing laws or ordinances. This shall not prohibit collectors of refuse orginating from outside of the City from hauling such refuse over City Streets, provided such collectors comply with the provisions of these specifications and with any other governing laws or ordinances. The Contractor shall have the exclusive right during the term of the contract to perform the duties and covenants herein specified; that is the right to gather, collect and remove garbage, refuse and waste material from the City Limits as the same shall presently or hereafter exist in the City of Santa Ana, and to remove and transport same from said City provided, however, that the occupant of any dwelling may, at his sole election, personally remove any garbage and rubbish accumulating on his premises and dispose of the same in a lawful manner. Contractor agrees that his obligations extend to all premises in the City except areas used for the commercial growth or processing of vegetables, fruits or other similar products. • (m) Standards for Collections Equipment used by the Contractor for collection and hauling of garbage and :.trash shall be such as to assure, in the opinion of the Director of Public Works, that adequate standards of collection will be maintained. It is the declared interest of the City that the Contractor be able to provide a wide variety of containers to meet the capacity requirements of commercial and multiple residential users. Equipment used shall be water tight and maintained ina manner to eliminate objec- tionable odors emanating therefrom. Complete metal operating covers must be a part of the design of equipment employed. No material shall be permitted to leak, fall or be spilled onto City streets, alleys or highways. Any such leakage or spills occurring shall be immediately corrected and the area cleaned. Equipment used must employ adequate safety conditions for operating personnel and must be maintained in good mechanical condition. Page 5, of 12 All collections shall be made as quietly as possible and no unnecessarily noisy trucks or equipment shall be used. Employees of the Contractor who are unnecessarily noisy or who violate the provisions of the State Motor Vehicle Code and/or any applicable City Ordinance in the collection of said materials shall be dismissed upon the demand of the Director of Public Works. (n) Containers Containers used in commercial and multiple dwelling areas shall be of a design and size to contain, at all times, the contents there- in in such manner as to promote best possible housekeeping conditions. Maintenance of containers supplied by the Contractor shall, at all times, be maintained by him in well-kept appearance and sanitary condition. The Contractor shall provide washout facilities for cleaning, disinfecting, and de-odorizing containers on premises when necessary. Residential containers, including the lids thereof, shall be re- placed where found. Containers and lids shall not be left in the street or on neighboring or adjoining premises. Garbage containers shall not be thrown from the truck to the pavement or in any way damaged by rough handling. The City reserves the right, upon submission of proof by the owner, to withhold sufficient compensation under the contract to adjust any claim for refuse containers damaged by the wilful or careless acts of the employees of the Contractor. (o) Fees and Gratuitees The Contractor shall not, nor shall he permit any agent, employee or sub-contractor employed by him, to request, solicit, demand, or accept, ,either directly or indirectly, any compensation or gratuity for the collection of garbage or rubbish as herein defined, except such compensation as may be herein provided to be paid by the City. It is further provided, however, that the Contractor may make avail- able special storage and loading containers, provide additional collections not required by these specifications, pick up refuse at points other than as required in these specifications or provide for the collection of greater volumes of refuse per collection than re- quired in these specifications, any or all of these additional services at the request of the person or business being served. The Contractor may make a direct charge in each instance for such additional service under a written agreement which shall be subject to the approval of the Director of Public Works and at such rates as are reasonable, just and uniform for all persons or businesses being served. All such direct charges shall be collected by the Contractor. SECTION 3. PROCEDURES AND REQUIREMENTS (a) Laws and Regulations The attention of the Contractor is called to the provisions of all ordinances and laws affecting the collection, removal and disposal of trash in the City of Santa Ana, the County of Orange, and the State Page 6, of 12 i of California, and the Contractor will-be required to observe all of the terms of any of such laws or ordinances now in effect and as may be amended hereafter, and will be required to observe all reasonable regulations that may be enacted by the City Council of the City of Santa Ana governing the same during the term of this contract. (b) Terms The contract shall be for a period of seven (7) years. It shall become effective as of 12:01 a.m. on the 1st day of November, 1963, and shall terminate at midnight the 31st day of October 1970. (c) Complaints The City shall receive and record all complaints and communi- cations from persons or businesses being served under the provisions of this agreement. At least twice each work day the Contractor or his agent shall personally appear at the office of the Director of Public Works: or such other location as may be designated by the Director of Public Works, for the purpose of receiving the records of such com- plaints and communications. The Contractor shall, within twenty-four (24) hours thereafter, report in writing to the Director of -Public Works as to the action taken or other disposal made of each complaint. (d) Performance Bond The Contractor shall, prior to the execution of the contract, execute and file with the Clerk of the Council of the City of Santa Ana a surety bond in the penal sum of two hundred thousand dollars ($200, 000.00) conditioned upon the faithful performance of said contract by the Contractor and his sub-contractors, if any. Said Bond may be written for a term of one year, and may thereafter be renewed by certificate, provided however, that said Contractor agrees to maintain such bond or bonds in force for the complete term of this contract. (e) Default In the event that any party hereto shall be in default of any term, condition or covenant hereunder, the non-defaulting party shall give written notice of same to the designated agent of the other. Defaulting party shall have five (5) days within which to cure or remedy same. The failure of either partyto so cure or remedy within said period shall terminate the contract. Provided, further, that if, in the opinion of the- Director of Public Works, (upon reasonable grounds) the contractor shall continue to neglect or refuse to comply with the regulations of the Director and the terms, covenants and conditions of this contract, the City may, at its option, notify the Contractor of its intention to terminate this contract, which notice shall be given in writing and mailed to the most recent address on file with the Director of Public Works, and this contract shall be terminated seventy-two (72) hours from and after the hour said notice is deposited in the United States mail. Page 7, of 12 In the event of cancellation, the City shall hold the Contractor and his sureties jointly and severally liable for any damage or loss sustained by the City in the matter of collection of the .refuse- or the re-advertising, or letting of another contract therefor, including all costs and attorney's fees incurred by the City in the cancellation of this contract and the negotiation of a new contract. The waiver of a breach of any of the terms of said contract shall not cancel or in any way affect the right of the City to declare a default for any re-occurrence of the same or any other breach of the contract. (f) Public Liability and Property Damage Insurance The Contractor shall be required to maintain in full force and effect during the term of the Contract, a public liability policy with $100,000.00 and $500,000.00 limits and a property damage insurance policy of $50,000.00 limit for the benefit of the third persons who may be injured or damaged as a result of any negligent operations of the Contractor in the performance of his work under this contract, which said policy shall name the City as a party protected thereby. The Contractor further agrees to keep on file with the City a certificate or certificates of Insurance, duly executed by the Contractor's insurance carrier or carriers, which shall serve as evidence of the continued existence of said insurance policies. The City shall not, nor shall any, officer or employee thereof, be liable or responsible for any accident, , loss or damage happening or occurring in the doing of the work; and the Contractor shall indemnify and hold hamless the City and its officers and employees of any and all liability arising therefrom, including any Attorney's fee incurred in the defense of any such action. (g) Workman's Compensation Policy Said Contractor shall also maintain in full force and effect during the term of this contract, a workman' s compensation policy and such other forms of insurance as shall be required by law. (h) Waivers No acquiesence, failure or neglect of either of the contracting parties to insist on strict performance of any or all of the terms hereof shall be considered as or constitute a waiver of any term or condition of the contract or any performance required thereunder, or any remedy, damage or other liability arising out of such refusal, neglect or inability to perform at any time. (i) Alien Labor Prohibited The Contractor shall not knowingly employ, in the performance of the work under said eontract, any alien, except in cases of extraor- dinary emergency caused by fire, flood or danger to life or property and said Contractor shall agree to sorfeit to the City the sum of Ten Dollars ($10.00) for each alien employed by him in the execution of said contract for each and every calendar day, or portion thereof, during which such alien is knowingly employed, or caused, or allowed to be employed. Page 8, of 12 The Contractor shall also be bound by and comply with the provisions • of Sections 1850 to 1854, inclusive, of the Labor Code of the State of California. (j ) Use by City of Contractor ' s Equipment Upon the termination of the contract for any reason prior to the end of the period specified herein as the term of- the contract, the city shall have the exclusive right to rent or lease and operate any or all trucks trailers, , tractors, bulldozers and other items of equipment used by the Contractor in the performance of the work specified in these specifications. The right of the City to enter upon, use, rent, or lease facilities and equipment as specified herein shall extend from the date of termination of the contract for a period of sixty (60) calendar days. The rental prices to be paid by the City to the Contractor under the provisions of this sub-section shall be as follows: Garbage or refuse trucks-Thirty-five Dollars ($35.00) per Calendar day; Containers (1 yard or larger)-One Dollar ($1.00) per calendar day. Any moneys due the Contractor for rental of equipment under the provisions of this sub-Section may be withheld by the City and used by it for the purpose of paying any outstanding liens or payments due and unpaid upon the said equipment. • SECTION 4. PAYMENTS BY CITY (a) Basic Computation As compensation for the performance by the Contractor of the work described in this contract he shall receive from the City, on or before the tenth day of each calendar month, the amount stated in the contract multiplied by the total number of active water meters listed in the City Water Department on the last day of the preceding calendar month, and, in addition, the number of units served by water producers other than Santa Ana city operated facilities. This number has been determined as 3,422 as of June 1, 1963. Increases or decreases will be reported by the Director of Public Works to the Director of Finance on the last day of each month. The records of said Water Department shall be available upon reasonable demand by the Contractor for the purpose of auditing the number of said meters. .(b) Compensation Readjustment On the first day of each November and May of each succeeding year the contract unit price shall be adjusted to reflect the percentage change in the Consumers ' Price Index (1957-59 base) Los Angeles Area, published by the U.S.Department of Labor, as indicated by the index figure most recently published prior to the first day of June and January preceding each of the above listed dates respectively. The adjustment shall be computed by using the figure of 108.0 as equal to 100 and increases or decreases in the contract unit price shall be 1 per unit for each increase or decrease of one full percentage point from the base of 108.0. Page 9, of 12 f The point of disposal of refuse under the contract shall be considered to be the Orange County disposal site in Coyote Canyon, ' which is declared to be 10.5 miles from the intersection of First and Main Streets in Santa Ana.. Whenever the location of the above mentioned disposal site is ahangea or any transfer station or similar type of substitute disposal site is provided,without extra charge for disposal to the Contractor, and said new disposal site or substitute disposal site is capable of handling 75% or more of the average number of loads per week carried by the Contractor from the City of Santa Ana, then the contract unit price as computed in this section shall be further adjusted as follows: for each two full road miles thatthe new or substitute disposal site varies from 10.5 miles from the intersection of First and Main Streets there shall be an adjust- ment of one cent in the contract unit price, a reduction in the unit price of the distance described above is reduced or an increase in the contract unit price if the distance is increased . SECTION 5. DISPOSAL CHARGES If, at any time during the term of the contract there shall be levied a charge for disposal of rubbish at the disposal site de- signated by these specifications, the City of Santa Ana shall re- imburse the Contractor monthly for all such charges levied against him during the previous month for rubbish collected within and hauled from the. City of Santa Ana. SECTION 6. SUB-CONTRACTORS AND STOCK TRANSFERS The Contractor shall not assign, transfer, or sub-contract the Contract nor any part thereof without first obtaining the consent of the Santa Ana City Council ,except that the Contractor may sell or otherwise dispose of garbage and salvaged materials after the same hate been collected. Any owners of stock in the Corporation, if any, holding the contract shall not. transfer/ assign, sell or otherwise convey any stock owned by him at the time of filing the proposal form without first obtaining the consent of the Santa Ana City Council; except that such conveyance of stock ownership by gift to a member of the owners immediate family or transfer by will or succession after death of such owner shall be permitted without approval of said City Council. Taylor, 53, has been a successful businessman and civic leader in Santa Ana for the past 17 years. A former appointee to the Santa Ana City Council, Mr. Taylor founded Taylor Thornton Co. , in April, 1946. Six years later the company opened a branch operation in Anaheim. The two original partners have expanded the fin to a county-wide basis. A native of Whitehaven, Tenn. , Mr. Taylor was a state finance and tax official before volunteering for World War II service in tt'e U. S. Coast Guard. He attended Officers Training School at Fort McHenry, and after graduation he served as captain of the port at St, Paul, Minn. After the war, Mr. Taylor settled in Santa Ana and immediately opened his present business. Mr. Taylor is a member of Masonic Lodge g #559, the Santa Ana Elks Club and the First Methodist Church. POINDEX'TER 1st. Vlbe President William B. Poindexter; a native Californian, has long been active in Southern California business and civic affairs. He is president and general manager of the El Centro Sanitation Service, which has a long-term contract with El Centro for the collection and disposal of refuse. He is a partner in the largest public accounting firm in { Imperial County and also functions as an independent tax con- sultant. Mr. Poindexter, has also served three terms as city treasurer of El Centro. Before founding his own accounting firm, he was resident manager of Hutchinson w Bloodgood, Certified Public Accountants. In that capacity, he was engaged in the annual audits of Imperial 1 County, the city of Calexico, and the Imperial Irrigation District, the worldts largest single irrigation operation. A graduate of Chaffey Junior College, Mr. Poindexter was an original organizer and operater of the Yuma Equipment Co. , which dais in the sales and servicing of heavy farm and industrial i, equipment, Active in civic affairs, he serves on the steering committee of the El Centro Municipal Hospital and is a member of the fund raising committee of the Community Chest. Descendant of early California settlers, Mr. Barnes attended II Anaheim public schools and received his law degree at Stanford I University. His father, the late H. E, W. Barnes, was a pioneer Anaheim businessman who served on that City's Council for many years. His grandfather was mayor of Santa Ana in the 1880ts and was I. one of a group of five men who, in 1889, succeeded in detaching Orange County from Los Angeles County. E Mr. Barnes has distinguished himself in Orange County business, civic and political affairs. He has served as chairman of the Orange County March of Dimes and as chairman of the Orange H County Cancer Fund.
