HomeMy WebLinkAboutCHERNOW, REBECCA-2017A-2017-'1 64 - O g ARTS AND CULTURE ARTIST GRANT PROGRAM AGREEMENT BETWEEN THE CITY OF SANTA ANA AND REBECCA CHERNOW This Artist Grant Agreement ("Agreement") is made and entered this 5th day of July, 2017, by and between the City of Santa Ana, a charter City and municipal corporation organized and existing under the Constitution and laws of the State of California ("City"), and (Rebecca Chernow) ("Grantee") and, collectively with City, the "Parties", is for the purpose of providing grant funding pursuant to the Arts and Culture Artist Grant Program. RECITALS: A. On June 15, 2017, the Arts and Culture Commission reviewed all applicants and recommended that Grantee be awarded an artist grant based on its Application for its artwork ("Project") attached hereto and incorporated herein as Exhibit A. B. On July 5, 2017, the City Council approved the grant funding for Grantee and authorized the execution of this Agreement. C. In undertaking the performance pursuant to this Agreement, Grantee represents that it is skilled and knowledgeable in the arts and culture arena and that the Project created or performed hereunder will be created or performed in compliance with such standards as may reasonably be expected from an artist. NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the terms and conditions hereinafter set forth, the parties agree as follows: 1. Term. This Agreement shall be effective upon signature by both Parties and shall expire one year from the date first written above, unless terminated earlier in accordance with this Agreement. 2. Funding. 2.1. Subject to Grantee's performance of all required actions under this Agreement, City shall provide funding, in one or more disbursements, as reasonably determined by City, of an amount not to exceed Two Thousand Five Hundred Dollars ($2,500.00) ("Grant Amount" or "Grant"). 2.2. Appropriate performance of the Grantee will be determined by City in its sole discretion. City reserves the right to cease funding after each disbursement. 2.3. City represents that there is no correlation or connection between its selection of individuals or institutions for grant awards and an individual's or institution's business relationship or potential business relationship with City. 3. Grant Activities. Grantee agrees: 3.1. To perform the activities described in the Grant Application and Timeline submitted to City for consideration dated May 1, 2017, a copy of which is attached as Exhibit A and incorporated into this Agreement as if set out in full. 3.2. To submit all reports (each, a "Report"), which shall include, at a minimum, the items set forth as required by the Application. No personally identifiable information shall be included in any of the Reports, except where specifically requested. The Reports shall be in a format that is INSURANCE NOT REQUIRED WORK MAY PROCEED CLERK OF COUNCIL WITF• reasonably acceptable to City. City may request additional information as City, in its sole discretion, determines is necessary to monitor performance of this Agreement. City shall have the right to use any Reports submitted by Grantee, or any portion thereof, for any reason. 3.3. Grantee shall maintain all pertinent financial and accounting records pertaining to this Agreement in accordance with generally accepted accounting principles and other procedures reasonably specified by City. Upon termination or expiration of this Agreement or request by City, Grantee shall provide, at its expense, copies of all financial and accounting records produced by it arising out of this Agreement. 3.4. Grantee shall allow audits, compliance or special reviews and inspections, including on-site inspection, with or without prior notice, of Grantee's facilities by City or by third parties designated by City, or their authorized representatives. Grantee shall provide its full cooperation for any such audit, review or inspection, including providing timely access, for examination and copying of records (including computerized records) pertinent books, documents, papers, computer programs and records and reasonable access to its personnel. 3.5. Grantee shall ensure that any areas utilized for the Project are maintained and restored to a well-maintained, safe, sanitary, and clean condition, and kept free of any hazardous waste at all times. All equipment associated with the installation of the artwork, trash and debris shall be removed and cleaned up on a daily basis. Grantee shall place a drop cloth or similar barrier on the ground below the artwork while installation is underway, which barrier shall be removed each day upon completion of an installation session. 3.6. The Project may not contain advertising, religious art, sexual content, negative or violent imagery, convey political partisanship or include any hidden, subliminal or camouflaged messages or statements of any kind or nature. 3.7. The Project may not include any breach of intellectual property, trademarks, brands, or images of illegal activity, and that the Grantee is the copyright holder for the Project. 4. Termination. 4.1. City may immediately terminate this Agreement upon one or more of the following: 4.1.1. Grantee's violation of any federal, state or local law or regulation. 4.1.2. Grantee's breach of any of the terms or conditions of this Agreement, including the Application and Timeline, or any unapproved deviation from said documents which has not been cured within 30 days of written notice of such breach. 4.2. In the event the Agreement is terminated under Section 4.1, City reserves the right to require Grantee to refund any or all grant funds awarded to Grantee under this Agreement, and Grantee agrees to refund to City any or all grant funds awarded under this Agreement. 5. Limitation of Liability. 5.1. IN NO EVENT SHALL CITY BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXPENSES FOR ANY NEGLIGENCE, BREACH OF CONTRACT OR ANY OTHER ACT ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE ACTIVITIES COVERED HEREUNDER 5.2. Section 5 and Section 6 do not limit Grantee's rights, including its ability to seek recovery, against anyone other than City, its directors, officers, employees, agents, successors and assigns. 6. Indemnification. 6.1. Grantee shall defend, indemnify, protect and hold harmless the City, and its elected and appointed officers, employees, members or agents from and against all claims for damages, liability, cost and expense (including without limitation attorney's fees) arising out of or alleged by third parties to be the result of the negligent acts, errors or omissions or the willful misconduct of the Grantee, and Grantee's employees, subcontractors or other persons, agencies or firms for whom Grantee is legally responsible in connection with the execution of the work covered by this Agreement. Grantee shall have no duty to indemnify or hold harmless the City if claims, damages, liability, costs, expenses (including without limitation, attorney's fees) arise from the sole negligence or sole willful misconduct of the City subsequent to declaration by the Grantee. Grantee's obligations shall survive the termination of this Agreement. 6.2. Grantee agrees to hereby fully release and forever discharge the City from any and all claims, demands, damages, losses, and liabilities (hereinafter collectively referred to as .,claims"), which are or may be related to or in any way connected with the negligence or willful misconduct of its officers, officials, employees, or agents in connection with the creation, painting, performance or installation of the Project hereunder. 6.3. Grantee further agrees that City may in good faith and on reasonable terms settle any such claims and that City's right to indemnification shall extend to any such settlement, provided City has given notice of such claim and its intent to settle. City's right to indemnification is in addition to, and may be exercised independently of, any remedy held by City under this Agreement, at law or in equity. The indemnity provision set forth in this Agreement shall survive the termination or expiration of this Agreement indefinitely. 7. General Provisions. 7.1. Grantee shall acquire prior written permission from City for any use of the City name or logo in association with its Project. 7.2. If any parts of this Agreement are held to be invalid or unenforceable, the remaining parts of the Agreement shall continue to be valid and enforceable. 7.3. This Agreement shall be construed and the rights and obligations of the Parties shall be determined in accordance with the laws of the State of California, with venue of any action arising out of this Agreement in Orange County, California. 7.4. Grantee shall comply with all governmental requirements which may now or in the future become applicable to its activities under this Agreement. 7.5. This Agreement, including Exhibit A, Application, and any amendments or schedules hereto, contain the full understanding and agreement of the Parties with respect to its subject matter, and no waiver, alteration or modification of any of the provisions to this Agreement shall be binding unless in writing and signed by an authorized officer of both Parties. 7.6. No waiver by either party or any breach, default, or series of breaches or defaults, and no failure, refusal, or neglect of either party to exercise any right, power, or option given to it under this Agreement or to insist upon strict compliance with the terms of this Agreement shall constitute a waiver of these provisions with respect to any subsequent breach or waiver by either party or its right at any time thereafter to require exact and strict compliance with provisions of this Agreement. 7.7. Any notice or other communication required or permitted to be made or given by either party pursuant to this Agreement will be in writing and will be deemed to have been duly given: (i) five business days after the date of mailing if sent by registered or certified U.S. mail, postage prepaid, with return receipt requested; (ii) when transmitted if sent by facsimile, provided a confirmation of transmission is produced by the sending machine; or (iii) when delivered if delivered personally or sent by express courier service. All notices to City shall include a reference to the Project title. All notices will be sent to the other party at its address as set forth below or at such other address as such party will have specified in a notice given in accordance with this section: Grantee: Rebecca Chernow 125 N. This Agreement is subject to all applicable local, State and Federal laws. This Agreement has been executed and delivered in the State of California and the validity, interpretation, performance, and enforcement of any of the clauses of this Agreement shall be determined and governed by the laws of the State of California. Both parties further agree that Orange County, California, shall be the venue for any action or proceeding that may be brought or arise out of, in connection with or by reason of this Agreement. 7.9. Grantee agrees to comply with all applicable equal opportunity and affirmative action laws as appropriate, Grantee shall not discriminate because of race, color, creed, religion, sex, marital status, sexual orientation, age, national origin, ancestry, or disability, as defined and prohibited by applicable law, in the recruitment, selection, training, utilization, promotion, termination or other employment related activities. Grantee affirms that it is an equal opportunity employer (if applicable) and shall comply with all applicable federal, state and local laws and regulations. 7.10. Any funds provided under this Agreement that are not expended, obligated or otherwise committed by the termination or expiration of this Agreement shall be immediately returned to City. 7.11. Grantee grants to City a non-exclusive, irrevocable, transferable, royalty free, worldwide license to use, reproduce, display, distribute, and prepare derivative works, in any form or media at the discretion of the City for the Project conceived, performed or created as a result of this Agreement. 7.12. Grantee and any of the Grantee's agents, employees or representatives are, for all purposes under this Agreement, an independent contractor and shall not be deemed to be an employee of the City, and none of them shall be entitled to any benefits to which City employees are entitled including but not limited to, overtime, retirement benefits, work's compensation benefits, injury leave or other leave benefits. 7.13. Neither party shall assign any rights or obligations under this Agreement. 7.14. Each party covenants that it presently has no interests and shall not have interests, direct or indirect, which would conflict in any manner with performance of services specified under this Agreement. 7.15. Each party warrants that they have executed this Agreement knowingly, freely and voluntarily and with full knowledge of its legal consequences. All parties involved warrant and represent that, prior to executing this Agreement, each party has had the opportunity to review and consider this matter with legal counsel, and that the terms of this Agreement, and its consequences, are fully understood by each party. 7.16. This, Agreement represents the entire agreement and understanding between the parties, and supersedes any and all prior agreements and understandings between the parties, whether oral or written. 7.17. Each undersigned represents and warrants that its signature herein below has the power, authority and right to bind their respective parties to each of the terms of this Agreement, and shall indemnify City fully, including reasonable costs and attorney's fees, for any injuries or damages to City in the event that such authority or power is not, in fact, held by the signatory or is withdrawn. {Signatures on following page} IN WITNESS WHEREOF, the parties hereto have executed this Agreement the date and year first above written. I would like to ask between 40 and 50 individuals from different communities, cultures, socio-economic backgrounds, and ages all currently residing within the city of Santa Ana to visually map out their goals, dreams, and hopes for the future (all the things they "have on their plate") on the surface of plain, cafeteria -style plates that will ultimately be used as dinnerware for an outdoor communal meal in the center of downtown Santa Ana. As project leader, I will provide small, personalized workshops on how to visualize and draw out abstracted ideas, but will leave plenty of space for each person to develop their own style of expression. For one month the decorated plates will be displayed in a centrally located public viewing space in Grand Central Art Center's project gallery that will also be open for additional community members to participate in the project, and return for the potluck at the close of the show. The meal will be held in front of Grand Central, in the public space near the fountain for one afternoon, and all those in attendance will be asked to bring a small dish to pass. At the end of the meal, each person is invited to take their plate home with them and keep it for future use. The project is a means to shed light on the concurrent realities that fellow citizens of a singular municipal locality experience, but may never have the opportunity to overlap. It is also an invitation for relative strangers to sit down and eat a meal together in public space to share ideas, time, and home -cooked food. Artist Statement: My intention as an artist is to examine living systems at the biological, social, and ecological scale to reveal our interdependence. My practice is a constantly evolving process that employs many different mediums and is inspired by the three principles of permaculture: to care for the Earth, care for the people, and return the surplus whenever possible. My work is often large-scale, collaborative or participatory, and fabricated from bio -degradable, re -purposed, or re -useable elements. I am inspired by the leave -no -trace ethic and try to generate as little waste as possible while giving back to the environment I am working within. In combination with my studio practice, I am currently a "creative -in -residence" at a housing community in Santa Ana called Sullivan Manor. This two-year residency is sponsored by the Orange County -based organization Community Engagement that pairs artists with low-income housing communities in order to bring people together to creatively explore their shared spaces through a socially motivated art practice. The residency is part of my ongoing research into blurring the lines between artist and audience, nature and culture, ecology and economy, and removing the walls from around the idea of what art is so that it might exist in everyday life for anyone who wishes to have access to it. I view my role as a facilitator of creativity, and welcome the focal shift from solely my own ideas to those of others who wish to beautify their world for the collective benefit. Together with the residents at Sullivan Manor --many of whom have arrived in California from vastly different sections of the world --we have built communal gardens for vegetables, herbs, and native flowers, as well as a centrally -located large-scale outdoor mosaic inspired by the southern Californian landscape using only recycled glass. I am no longer interested in the concept of art that exists only to represent a utopian vision or inspire political action; I want to know if art can actually be those things. Narrative for proposed use of funds:: In February 2016 1 relocated to Southern California after living in Seattle for many years, and had to rebuild my community from scratch. Since my arrival, I have been getting to know people from many pockets of Santa Ana through my new home at Grand Central Art Center and my work as an artist -in -residence at an affordable housing property comprised of diverse families from Afghanistan, Vietnam, Mexico, and Pakistan. At GCAC, I have become part of the vibrant artist and student community. I've been a returning visiting artist at Cal State Fullerton, and have worked with students and professors from the school. These seemingly disparate connections have organically grown, expanded, and overlapped. Through the currencies of shared space, food, time, and art, I have become woven into a complex network of the most diverse group of people that I have ever been around in my life, all in one city. In gratitude for the overwhelming hospitality that I have been shown, as well as in response to the current national political climate that aims to monger fear and divisiveness, I would like to make a collaborative portrait of Santa Ana in the form of functional art and a public potluck. Using the canvas of a plain dinner plate, I will create a visual art exhibition that will reveal deeply personal narratives and universal commonalities from many individuals who share the same zip code, but might not otherwise ever meet one another due to cultural or geographic divisions. All participants will be asked to use a permanent marker to visually divide the surface of a standard white ceramic plate into sections, like designing the placement of a meal. I will ask each person to describe what they contemplate for themselves --or what is "on their plate" --even if their goals conflict with one another, or are unrealistic, in their choice of language and style. I will provide the writing utensil, the plate, and a written prompt for the project. Though there will be standardized guidelines (the plain plate and the description of the project) each person will inevitably bring their own interpretation to the visualization of their personal narrative, and what is written on the plate will undoubtedly greatly vary between individuals. When the plate is returned to me, I will trace each drawing in a food -safe enamel and fire the words onto the surface in a kiln to make it permanent. I will exhibit the plates in a central public space where the collection can be viewed in its entirety. Drawing from distant corners of a singular city, the exhibition will create a visual portrait of common humanity, as well as a reminder of the challenges and privileges that color deeply personal desires. I would like the project to culminate in a community meal at the end of the exhibition, where each participant, along with their families and friends, can use the dishes, share food, and take the plates home to their own kitchens as a permanent, functional reminder of the collaboration. Supplemental Question 1:Please describe any additional City of Santa Ana resources required for your project (permits, public space, licenses etc.)?: I will need a permit from the City to host a moderately-sized outdoor meal for 40-50 people in the courtyard in front of Grand Central Art Center for one afternoon. No alcohol will be served. Supplemental Question 2: Is this a new or existing program/project?: This is a new project, specific to Santa Ana. Supplemental Question 3: How will the proposed project be presented or shared with the public? Will the art display, event or performance be free and accessible to the public?: The collection of plates will be shown in a salon -style exhibition where they will be mounted on the wall at Grand Central Art Center's project gallery. The display will absolutely be free, viewable from the street, and open to the public for viewing and to participate in. I would like to invite further participation from viewers by providing extra blank plates in the space, so that additional visitors have the opportunity to add to the exhibition while it is up, and can return for the meal at the end of the month-long show if they so choose. Supplemental Question 4: How will this project enrich the Santa Ana arts and culture community?: To execute the project, I plan on renting Nancy Alcala's ceramic kiln to fire the enamel onto the plates, and in doing so will be supporting a local artist who has their own community outreach program. I will be utilizing Grand Central Art Center's exhibition space, and will be bringing in individuals who might not otherwise visit Grand Central or downtown Santa Ana. The potluck is also a visual reference to the public meals that have been held in Santa Ana over the years, but contrasts in its more modest size and potluck style. The project itself will bring a vibrant blend of individuals from the creative community, student population, long-time residents of Santa Ana, individuals from what are often considered marginalized socio-economic backgrounds, and families from diverse cultures all into one space, and to one table together, if only for an afternoon. As part of the documentation of the project, I plan on creating a small visual chapbook (with the help of local published author and friend Sarah Garcia) to distribute to the participants, as well as have copies available for purchase through local venues like Libromobile and Grand Central Art Center after the project is complete. The project's exhibition and the printed documentation will give the public an opportunity to view the anonymous innermost thoughts and extremely personal narratives of a spectrum of individuals who form the textured fabric that is the unseen community of Santa Ana. Through this unique way of knowing one another-- either through the participation in the project, the experience of the exhibition as a viewer, or the sharing of the community meal-- compassion for others is cultivated, and a pathway for a kinder, more understanding worldview is opened by looking through the prism that is Santa Ana, CA. I am the Executive Director of Community Engagement, a nonprofit organization based in Southern California. We seek to stimulate positive social Interaction in diverse communities through innovative and socially motivated art practice. Our mission in Santa Ana has received invaluable support from Ms. Chernow in both the establishment and development of our community based arts programming. Our organization has worked closely with Ms. Chernow for more than a year and I feel confident providing my complete support for her application. Ms. Chernow has been a creative force behind our organization's artistic endeavors. Beyond her talents as an artist, she is a kind and thoughtful individual who always seeks to improve the lives of those around her. Ms. Chernow's involvement with residents of low-income housing in Santa Ana has resulted in the development of improved neighborhood relations and increased inclusivity and cultural awareness. She is extremely adept at building friendships and mentoring youth in the value of self-confidence and respect for your neighbor. Her work has brought happiness, hope, and peace to a community struggling with the challenges of limited financial resources and the social stigmas associated with low-income housing. Our organization is committed to the expansion of artistic efforts in our community of Santa Ana. The positive social interaction we work to provide together builds our understanding and respect for one another and is the first step toward a better world.
