'EMERGENCY AMBULANCE BACKUP <br />TRANSPORTATION AGREEMENT <br />ThisAgreement ismade and entered into tli-is'lstdiydfMay,-29M by and l'i6tweeh Card <br />Anibulawe Service, a California corporation, (hereinifter "CARE"), Emergency <br />Ambulance Service, Inc.-, a California corporation; (hercin0ker MEMERGENCY1 with <br />reference'tothe following recitals: <br />WHEREAS, the parties hereto wish to confirm the terms. of mutual aid and backup <br />agreements in conjunction with emerge&y.servic6s within ex6hisiVe operating and service <br />azeas in the County of Los Angeles; and <br />WHEREAS, each party here -to wishes to utilize'the services of the other from time <br />to time for backup, emergency ambulance transportation within the specifications;.. f the <br />Emergency Ambulance Transportation Services Aerechient and as effective May 1, 2004 <br />and <br />NOW THEREFORE, IT IS ACCORDINGLY AGREED AS. FOLLOWS: <br />1. TERM <br />A. This Agreement shall become effec6eupon ekecuti6ii by the parties <br />hereto and shall continue in full force and effect . for a period of twelve months, -unless <br />terminated -or extended pursuant to the terms hereinafter set forth. This -Agreement <br />shall automatically renew new for successive twelve month, periods, unless terminated by <br />either party hereto as provided for herein. <br />B. Notwithstanding anyother provision of this Agreement, dither party <br />may terminate this Agreement, without cause, by providing the other party,hereto. <br />thirty (30) days prior written notice of their intent to terminate this Agreement, <br />2. SERVICE RESPONSIBILITIES <br />A. Each party - , <br />agrees to provide. and respond with wl subject to, availability, <br />backup enlergency.ambulartce transportation when requested by the other party, <br />s' <br />Backup serviceinclude, but are <br />re not limited to, locaiing an arnbulan6e at aspecified <br />standby location ifreooed. <br />B. Each party agreestb maintain all necessary licenses and permits <br />required to operate an ambulance service in the State of CaliforniaC- and the County of <br />Los Angeles and to,be in compliance with all statutes regulations, and ordinances as <br />may now be in effect or as may he-reafter be.implerridnted or amended. <br />C. Each party, upon receiving a request for emergency ambulance service <br />from the other patty, Will provide the requested "party's dispatcher its estimated time of <br />arrival to the requested transport location. The backup provider shall immediately <br />notif es that a delay may occur which <br />y the other party if for any reason it detcrmin <br />would prevent the requested party's ambulance from arriving at the location within the <br />quoted estimated time of arrival. <br />250-283 <br />
