EXHIBIT 5 <br />LS 8.20.19 <br />RESOLUTION NO. 2019-xx <br />A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF <br />SANTA ANA AUTHORIZING AMENDMENT OF THE <br />COMMERCIAL CANNABIS OPERATING AGREEMENT <br />TEMPLATE TO IDENTIFY SOCIAL EQUITY GOALS, AND <br />REQUIREMENTS AND SPECIFY REQUIREMENTS FOR <br />COMMUNITY BENEFIT AND SUSTAINABLE BUSINESS <br />PRACTICES PLANS AND AUTHORIZE THE CITY <br />MANAGER TO EXECUTE THE CANNABIS OPERATING <br />AGREEMENTS <br />WHEREAS, the City has adopted an ordinance to permit certain adult -use and <br />medicinal cannabis retail uses in the City's Light and Heavy Industrial zoning districts; <br />WHEREAS, the City Council approved Ordinance NS-2929 on November 21, <br />2017 to regulate and permit adult -use retail cannabis business activities in Santa Ana <br />subject to issuance of regulatory safety permits and execution of operating <br />agreements; <br />WHEREAS, the City Council adopted Resolution No. 2017-074 on November <br />21, 2017, which authorized the City Manager to execute adult -use cannabis retailer <br />operating agreements; <br />WHEREAS, the City Council approved Ordinances NS-2941, NS-2942, and <br />2944 to regulate and permit medicinal and adult -use testing laboratories, cultivation, <br />distribution, and manufacturing facilities in Santa Ana on March 20, 2018, April 3, <br />2018, and May 1, 2018, respectively subject to issuance of regulatory safety permits <br />and execution of operating agreements; <br />WHEREAS, pursuant to Chapter 40 of the Santa Ana Municipal Code, all <br />commercial cannabis businesses seeking to operate in Santa Ana must enter into an <br />operating agreement with the City. The operating agreement specifies terms and <br />conditions including local hiring and sourcing and Community Benefit and Sustainable <br />Business Practices Plans; <br />WHEREAS, the City Council has an interest in ensuring that Santa Ana <br />residents and businesses continue to benefit from the burgeoning commercial <br />cannabis industry in Santa Ana. The commercial cannabis operating agreement is the <br />tool by which the City ensures that residents and businesses benefit from the <br />commercial cannabis industry in the City; and <br />WHEREAS, the City Council also desires to include social equity goals and <br />requirements in the operating agreements to reflect its commitment to promote <br />equitable ownership and employment opportunities in the cannabis industry in order to <br />Resolution No. 2019-xx <br />75A-79 Page 1 of 3 <br />
