ARTICLE XXI <br />21.0 FULL UNDERSTANDING, WAIVER & SEPARABILITY <br />21.1 Intent of Agreement <br />It is understood and agreed that the parties to this MOU are subject to all current and future <br />applicable Federal and California laws, the City of Santa Ana Charter and Municipal Code, <br />as well as the City's EERR (l181-75). <br />The provisions of this MOU shall supersede all prior agreements and MOU's, or contrary <br />salary and/or personnel rules and regulations or administrative codes, provisions of the <br />City, oral or written, express or implied between the parties, and shall govern the entire <br />relationship and shall be the sole source of any and all rights which may be asserted <br />hereunder. <br />This MOU is not intended to conflict with Federal or State law or the City Charter. <br />21.2 Rules and Regulations <br />Notwithstanding the above mentioned language, City personnel rules and regulations and <br />departmental rules and regulations exist. These rules and regulations shall be continued to <br />the extent they do not breach specific provisions of this MOU. Such rules and regulations <br />may, from time to time, be changed by the City. if these changes affect wages, hours, and/or <br />other terms and conditions of employment, the City shall meet and confer with the Union; <br />provided, further, however, no provision of the rules and regulations shall be changed to <br />breach specific provisions of this MOU. <br />21.3 Waiver of Bargaining <br />Except as otherwise specifically provided herein, this MOU fully and completely <br />incorporates the understanding of the parties regarding the provisions contained in this <br />MOU. Neither party shall, during the term of this MOU, demand any change to the MOLL, <br />except that nothing shall prohibit the parties from changing the terms of the MOU by <br />mutual agreement and in writing signed by the parties. <br />21.4 Emergency Waiver Provision <br />In the event of circumstances beyond the control of the City, such as acts of God, fire, <br />flood, insurrection, civil disorder, national emergency, or similar circumstances, provisions <br />of this MOU or the Personnel Rules or Resolutions of the City, which restrict the C ity's <br />ability to respond to these emergencies, shall be suspended for the duration of such <br />emergency.
