BLACK & COMPANY, INC. <br />TO PROVIDE TECHNICAL CONSULTANT SERVICES TO IMPLEMENT <br />CITYWIDE BUDGET MANAGEMENT SOFTWARE <br />THIS AGREEMENT is made and entered into on this 19th day of May, 2020 by and between <br />F;H._ Black &. Company,Inc. ("Consultant'), and the City of Santa Ana, a charter city and <br />municipal corporation organized and existing under the Constitution and laws of the State <br />of California ("City"). <br />>. <br />RECITALS <br />A. The City desires to retain a Consultant having special skill and knowledge to provide <br />budget management software for large organizations to deliver a public sector budgeting <br />solution that supports the various needs of the budget office and City departments in the <br />development and publication of the City's annual budget and related documents. <br />B. On May 4, 2017, the City issued a Request for Proposal ("RFP) # 17-053, by which it <br />sought consultants with extensive experience in providing budget management software <br />and Consultant was previously selected and awarded an agreement (N-2019-027) in which <br />to perform said services. Agreement #N-2019-027 expired on March 6, 2019 without <br />completing the required services due to multiple scheduling conflicts between the parties. <br />C. City seeks to re-engage Consultant to complete services and provide for new training <br />sessions for which Consultant represents that it is able and willing to provide such services <br />to the City. <br />D. In undertaking the performance of this Agreement, Consultant represents that it is <br />knowledgeable in its field and that any services performed by Consultant under this <br />Agreement will be performed in compliance with such standards as may reasonably be <br />expected from a professional consulting firm in the field. <br />NOW THEREFORE, in consideration of the mutual and respective promises, and subject to the <br />terms and conditions hereinafter set forth, the parties agree as follows: <br />SCOPE OF SERVICES <br />Consultant shall perform during the term of this Agreement, the tasks and obligations <br />including all labor, materials, tools, equipment, and incidental customary work required to fully <br />and adequately complete the services, which includes the initial implementation and related <br />services to install and maintain the CaseWare software, which will allow the City to automatically <br />publish its budget book <br />2. COMPENSATION <br />a. The total amount to be expended during the term of this Agreement, as detailed in <br />Exhibit A, attached hereto, shall not exceed $n,'W'25. This amount includes: 1) <br />$ 10,000 for custom training of five (5) users; 2) $13,650 for seventy (70) hours of <br />#200280 Pagel of 9 <br />
