Upon request from a Purchasing Entity, Contractor must provide the assessment with <br />the understanding that the Purchasing Entity is under no obligation to enter into an MPS <br />engagement. <br />e) MPS pricing and billing options shall be flexible, as long as pricing doesn't exceed Master <br />Agreement pricing, and the Purchasing Entity will drive the complexity of the solution required <br />with a staged approach to implementation. <br />4.4.2. Maintenance Agreements <br />a) Pricing <br />i) Pricing shall include a zero base, cost per click rate for b&w and/or color for Groups A, B, <br />C and D. <br />ii) Pricing for a monthly base charge, a set copy allowance and an overage rate for b&w <br />and/or color shall also be provided. <br />III) Pricing must be provided that includes all parts, labor, Preventative Maintenance, Service <br />Calls, and Supplies for Groups A, B, C and D. <br />iv) A pricing option for ALL Groups shall include parts, labor, Preventative Maintenance (if <br />applicable), and Service Calls, but excludes Supplies. <br />v) Contractor may increase their Service and Supply pricing to include staples (if applicable <br />to the Device). <br />vi) Contractor may charge flat rate fees for Services performed on any Accessories. <br />vii) Service Calls due to misuse, neglect or abuse shall not be covered by the Maintenance <br />Agreement, and Contractor and Authorized Dealers may bill the Purchasing Entity at an <br />hourly rate for Services rendered. <br />viii) 11"x17" impressions: <br />1) Shall be counted as two (2) clicks on Group A Devices; and <br />2) May be counted as two (2) clicks on Group C Devices. <br />ix) A two-sided document shall be counted as two (2) clicks. <br />x) Contractor must not charge for scans on any MFD. <br />xi) Initial Term: <br />1) Pricing shall remain firm for the initial term of the Maintenance Agreement. <br />2) For lease and rental Equipment, the Maintenance Agreement term is equal to the term <br />of the lease or rental (12, 18, 24, 36, 48, 60 months etc.). <br />3) For purchased Equipment, the initial term is whatever period of time the Purchasing <br />Entity elects, as long as it does not exceed 60 months on Group A, Group B, Group <br />D, and Group F Devices and 84 months on Group C Devices. <br />xii) Renewal Term: <br />1) If a Purchasing Entity wishes to renew a Maintenance Agreement for Equipment that <br />was acquired under this Master Agreement, then the Contractor may negotiate new <br />pricing.
